Basic Project Development Services. DELTA-T shall: 1.1.1 Help Client develop and analyze feasible Project alternatives, including potential facility sites, and assist in the selection of the most appropriate technical and site options in conjunction with the needs of the Project; 1.1.2 Provide projected plant operating cost factors and assist Client with profitability and sensitivity analyses for selected Project alternative(s); 1.1.3 Work with Client to define Plant specifications, and assist in developing Project roles and responsibilities for all participating parties; 1.1.4 Develop a preliminary general arrangement drawing for the Plant based on the selected alternatives and site physical and geo-technical data provided by the Client; 1.1.5 Provide process emissions data for environmental permitting activities in support of the environmental permitting firm to be retained by Client; 1.1.6 Utilize DELTA-T’s experience in ethanol plant operation, products marketing, and industry economics to help Client develop a business plan; 1.1.7 Provide technical and economic data and strategic guidance to assist Client in making presentations to potential equity investors and financial institutions; DELTA-T shall continue to develop and make modifications to each of the services referenced under Section 1.1 as necessary in accordance with changing or evolving Project plans. DELTA-T shall perform such services at such times, and according to such schedule, as reasonably necessary to support effective development of the Project. Mutually agreed project development tasks not addressed in Section 1.1 above, will be engaged by separate agreements such as a compensated scope of work which may be appended to this Agreement.

Basic Project Development Services. Agra shall: 1.1.1 Work with the Client to define Project specifications. 1.1.2 Assist in developing Project roles and responsibilities for all parties. 1.1.3 Develop a preliminary general Project Arrangement Drawings based on the selected alternatives, site physical and geo-technical data provided by the Client. These drawings shall comprise a customary Phase I Civil Engineering Package and shall include, without limitation, the following component packages: (a) Civil site plan showing all horizontal control points; (b) Grading package; (c) Drainage package; (d) Erosion control package; (e) Subsurface package, including compaction, surcharge and restoration data; (f) Utility package. including water, wxxxx, fire control, electricity and natural gas; (g) Road access package; and (h) Rail access package. Drawings shall show key elevation points and other data customarily required in such drawings. The drawings shall be coordinated with consultants and other contractors identified by the Client and shall reflect information provided to Client regarding utility, road and rail entry points to the site. 1.1.4 Consultant shall assist Client in selecting an Architect for the project, shall evaluate the capability of candidates and shall, together with Client, approve the selection made. Consultant will coordinate the services provided by the Architect and the Architect’s consultants with those services provided by the Client and the Clients’ consultants. 1.1.5 Consultant shall consult with the Client, research applicable criteria, attend Project meetings, communicate with members of the Project team, and issue progress reports as requested by the Client. 1.1.6 Consultant will prepare and periodically update a schedule of Site Evaluations and Planning Services that identifies milestone dates for the decisions of the Client, services furnished by Consultant, and completion of documentation to be provided by Consultant. Consultant will coordinate the Site Evaluations and Planning Services schedule with the Client’s Project Schedule. 1.1.7 Consultant will assist the Client, as requested by the Client, in connection with the Clients’ responsibility for filing documents required for the approval of governing and reviewing authorities which have jurisdiction over the Project. These documents may include plats, replats, property subdivisions, waivers, and variances for zoning and other development guidelines. DELTA-T shall perform such services at such times, and according to such schedule, as reasonably necessary to support effective development of the Project. Mutually agreed project development tasks not addressed in Section 1.1 above, will be engaged by separate agreements such as a compensated scope of work which may be appended to this Agreement. Related to Basic Project Development Services

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement. The Provider specifically agrees to include at least one Port representative in any economic development negotiations or discussions in which the Provider is involved concerning (i) a port-related business prospect or (ii) a business transaction which will ultimately require Port involvement, financial or otherwise.

  • Information Systems Acquisition Development and Maintenance a. Client Data – Client Data will only be used by State Street for the purposes specified in this Agreement.

  • PROJECT SERVICES Landlord shall furnish services as follows:

  • Construction Phase Services 3.1.1 – Basic Construction Services

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Construction Management Services a. A-E may be required to review and recommend approval of submittals, shop drawings, Request for Information (RFI) and/or calculations for temporary structures such as trench shoring, false work and other temporary structural forms. b. A-E may be required to review and advise the County Representative on the overall project schedule, including staging and completion dates, duration, milestones, and interfaces. Immediately notify Representative if the proposed work schedule does not conform to the contract documents, including the plans, specifications, and permits or that may require special inspection or testing, or work stoppage. c. Review on a monthly basis the project schedule and/or Critical Path Method (CPM) schedule submitted by the Construction Contractor. Make recommendations concerning the Construction Contractor’s adherence thereto. Recommend possible solutions to scheduling problems so as to complete the project on time, within budget, and in accordance with the contract drawings and specifications. d. Review scope of work and identify potential contract change orders. Prepare independent cost estimates for any changes resulting from design revisions or change in field conditions. Prepare and recommend for approval all contract change orders. e. Evaluate the merit of any potential claims or requests for equitable adjustment submitted by the Construction Contractor. Prepare analysis of potential claims include recommendations regarding settlement of the claims. f. Assist County staff in project related issues with other Agencies, or departments, engineering and material testing support firms, CEQA consultants, utilities agencies, etc. g. Assist in community outreach meetings and media relations h. Review for acceptance/approval of Storm Water Pollution Prevention Plan (SWPPP) in accordance with the general Permit of Discharges of Storm Water Associated with Construction Activity (Construction General Permit, including dewatering/diversion plans per the State’s DeMinimus Permit).

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Maintenance and Support Services If this Agreement is for IT goods or services, this section applies: Unless otherwise specified in this Agreement: The Contractor shall promptly provide the Court with all Upgrades, including without limitation: (i) all Upgrades generally made available by Contractor to its other customers; (ii) Upgrades as necessary so that the Work complies with the Specifications and Applicable Law (including changes in Applicable Law); (iii) Upgrades as necessary so that the Work operates under new versions or releases of the Court’s operating system or database platform; and (iv) all on-site services necessary for installation of Upgrades. Without limiting any other obligation of Contractor under this Agreement, Contractor represents and warrants that it will maintain services, equipment, software or any other part of the Work so that they operate in accordance with their Specifications and Documentation; and The Contractor shall respond to the Court within four (4) hours after the Court reports a Technical Support Incident (such hours all occurring during Standard M&S Hours) to Contractor. DELIVERY, ACCEPTANCE, AND PAYMENT Delivery. Contractor shall deliver to the Court the Deliverables in accordance with this Agreement, including the Statement of Work. Unless otherwise specified by this Agreement, Contractor will deliver all goods purchased by the Court “Free on Board Destination Freight Prepaid” to the Court at the address and location specified by the Court. Title to all goods purchased by the Court vests in the Court upon payment of the applicable purchase price. Contractor will bear the risk of loss for any Work being delivered until received by the Court at the proper location. All shipments by Contractor or its Subcontractors must include packing sheets identifying: this Agreement number, the Court’s purchase order number, item number, quantity and unit of measure, part number and description of the goods shipped, and appropriate evidence of inspection, if required. Goods for different Agreements shall be listed on separate packing sheets.

  • Laboratory Services Covered Services include prescribed diagnostic clinical and anatomic pathological laboratory services and materials when authorized by a Member's PCP and HPN’s Managed Care Program.
