Bid RequirementsExcept as expressly provided to the contrary by this Agreement, all bids must satisfy the following requirements (collectively, the “Bid Requirements”): (i) the Sellers must determine, after consultation with A&M and the Committee, that the bid (A) is not materially more burdensome or conditional than the transaction described in this Agreement (including, for this purpose, a determination that there is a high certainty of timely consummation) and (B) has a value not less than the sum of (x) $88,900,000 (which amount represents the sum of (i) the Purchase Price payable by the Purchaser under this Agreement, including the Purchaser’s Deposit, (ii) $2,800,000, the amount of the Break-up Fee, (iii) $500,000, the amount of the Overbid Increment, and (iv) $600,000, the maximum amount of the Expense Reimbursement), plus (y) the consideration to the Sellers arising from the assumption of the Assumed Liabilities under this Agreement, plus (z) all other consideration to the Sellers under this Agreement; (ii) the bid is on substantially the same or better terms and conditions than those set forth in this Agreement; (iii) the bid is not conditioned upon the Bankruptcy Court’s approval of any bid protections, such as a break-up fee, termination fee, expense reimbursement or similar type of payment; (iv) the bid is not conditioned upon the Potential Bidder’s financing requirements and is accompanied by reasonable evidence (in the form of ) of the Potential Bidder’s financial ability to promptly consummate its Qualified Overbid; (v) the bid acknowledges and represents that the bidder: (A) has had a full opportunity to conduct all due diligence regarding the Purchased Assets and the Assumed Liabilities prior to making its bona fide, written offer; (B) has relied solely upon its own independent review, investigation and/or inspection of any documents and/or the Purchased Assets in making its bid; (C) did not rely upon any written or oral statements, representations, promises, warranties or guaranties whatsoever, whether express, implied, by operation of law or otherwise, regarding the Purchased Assets, or the completeness of any information provided in connection therewith or the Auction, except as expressly stated in these Bidding Procedures and the Sellers’ representations and warranties in this Agreement; and (D) is not contingent upon any additional due diligence or approvals of any Governmental Authority; and (vi) the bid is received by the Bid Deadline.

Bid Requirements. 4.1 For the purpose of selection of contractor, the bid document is divided into two parts viz. the Technical Bid and the Commercial Bid. The requirements for Technical Bid are as under: -
Bid Requirements. Subrecipient or its Subcontractors shall obtain the following price bids before awarding a contract that will be funded in whole or in part with CDBG Funds: (a) when a contract provides for an expenditure equal to or less than $10,000 in total, Subrecipient may award the contract based on, at least, two (2) written price bids from different sources; (b) when a contract provides for an expenditure greater than $10,000, but equal to or less than $50,000 in total, Subrecipient may award the contract after soliciting written price bids from, at least, five (5) potential sources and receiving, at least, three (3) written price bids from different sources; or (c) when a contract provides for an expenditure greater than $50,000, but equal to or less than $1,000,000 in total, Subrecipient may award the contract only after advertising for sealed bids or proposals for a minimum of five (5) days in the San Diego Daily Transcript Newspaper at least thirty (30) days before the sealed bids or proposals are due. When a contract provides for an expenditure greater than $25,000, the Subrecipient shall follow the requirements in the San Diego Municipal Code to maximize the participation of small and local businesses.
Bid Requirements. All bids must be submitted on the form prescribed by the BMHA in this Request for Proposal (RFP). Bid forms must be signed by an individual authorized to execute contracts for the Company in order to be accepted. These forms, are required at the time of submission, must be signed and provided to BMHA with this proposal before any contract is awarded.:  A completed Solicitation Cover Sheet. Workers Compensation - Statutory Amount b. $500,000 Automobile liability on owned, non-owned and hired motor vehicles used in connection with this contract. c. General Liability - $500,000  Certificate of Corporate Good standing for Prime and all levels of Subcontractors.  Declaration regarding material assistance to terrorist organizations (HLS 0038) Proof of coverage shall be maintained uninterrupted for the duration of the contract. Failure to maintain coverage shall be considered in default of the contract and will be grounds for the contracting officer to terminate the contract for default. Workmen’s Compensation, in accordance with State Law for all employees engaged under this contract. Proof of the bidder’s current state Xxxxxxx’x Compensation Certificate is to be attached to the proposal. Proof of Workmen’s Compensation coverage shall be maintained uninterrupted for the duration of the contract. Failure to maintain a current valid uninterrupted Worker’s Compensation certificate will be grounds for the contracting officer to terminate the contract for default. Please note that HUD Form 5370 (attached in exhibit C) shall become a part of any contract arising out of this Invitation for Bids.
Bid Requirements. A. Bid shall be awarded based on the total price of all equipment listed in Appendix A with the understanding that about 15 - 20 of the network protectors of the list in Appendix A will be accomplished in a 12 month period. B. Bid shall include a total for each Network protectors listed in Appendix A. The price for each network protector will be based on rated electrical capacity. The contractor shall price their work on a "per unit" basis to allow for a variance in the total number of net work protectors included in a year. C. The awarded vendor will be required to honor these prices should GIT decide to change the service schedule F. The contractor shall provide hourly rate for Normal working hours 8:00 a.m. to 5:00 p.m. Monday through Friday, after hours (after 5.00PM), Weekends and holidays. G. Each bid shall include: a. Labor and Materials costs b. Transportation cost c. Analytical, consulting, Testing and management services costs d. Deliverables included in this specification H. At the time of testing verify Appendix A, if the actual equipment doesn’t correspond with equipment listed in Appendix A the contractor shall do the following:- 1. If the actual equipment is not listed in Appendix A, the contractor shall provide to the preventive Maintenance Project Manager for approval a written quote to include the information and price of the equipment .The price shall be based on the unit price offered and shall not exceed the price of similar Network protector in Appendix A. 2. If the equipment listed in Appendix A is in the location other than the listed location on appendix A, contractor shall provide a written explanation stating the name and location of equipment with details to the preventive Maintenance project Manager. Bid Requirements. Contractor is required to review the Home Performance reporting software results to ensure that the recommended package meets the minimum savings threshold for projected annual energy savings. Modeled total energy savings for each Program Project must be at least 15 percent to be eligible to participate in the CEWO Program.
