Prior to allowing any employee or contingent worker to Process any Agreement Personal Data, Seller shall (i) conduct an appropriate background investigation of the individual as permitted by law (and receive an acceptable response), (ii) require the individual to execute an enforceable confidentiality agreement (in a form acceptable to the Boeing), (iii) provide the individual with appropriate privacy and security training, (iv) require the individual to comply with this [Schedule/Agreement], and (v) ensure the individual is appropriately reliable, qualified and trained in relation to their Processing of Agreement Personal Data. Contractor will remain liable for its compliance with the obligations of this GDPR Addendum and for any acts or omissions of any Subprocessor that causes Contractor to breach any of its obligations under this GDPR Addendum. Contractor maintains an up-to-date list of its authorized Subprocessors, which it will provide to Institution upon request. Contractor will also provide Institution with reasonable prior notice if it intends to replace any Subprocessors. Institution may object in writing to Contractor’s appointment of a new Subprocessor or the replacement of a current Subprocessor, provided that such objection is based on reasonable grounds relating to data protection. In such event, the Parties will discuss such concerns in good faith with a view to achieving resolution and if this is not possible, Institution may suspend or terminate Contractor’s further Processing of Institution Data under this GDPR Addendum and the Underlying Agreement.
