CONSTRUCTION FACILITIES. (a) The Tranche A Lenders hereby establish for the benefit of the Borrower a construction loan facility (the “Tranche A Construction Facility”) having an initial committed principal amount equal to the Tranche A Loan Amount. (b) The Tranche B Lenders hereby establish for the benefit of the Borrower a construction loan facility (the “Tranche B Construction Facility”, and, together with the Tranche A Construction Facility, the “Construction Facilities”) having an initial aggregate committed principal amount set forth opposite the heading “Tranche B Loan Amount” on Appendix B (the “Tranche B Loan Amount”). (c) Subject to and upon the terms and conditions set forth herein: (i) each Tranche A Lender severally agrees to make, from time-to-time during the Tranche A Construction Loan Availability Period, loans under the Tranche A Construction Facility (the “Tranche A Construction Loans”) to the Borrower in an aggregate principal amount that will not result in (x) such Tranche A Lender’s Tranche A Construction Loans exceeding the Tranche A Construction Loan Commitment of such Tranche A Lender or (y) the aggregate amount of all Tranche A Construction Loans exceeding the Tranche A Loan Amount; and (ii) each Tranche B Lender severally agrees to make, from time-to-time during the Tranche B Construction Loan Availability Period, loans under the Tranche B Construction Facility (the “Tranche B Construction Loans” and, together with the Tranche A Construction Loans, the “Construction Loans”) to the Borrower in an aggregate principal amount that will not result in (x) such Tranche B Lender’s Tranche B Construction Loans exceeding the Tranche B Construction Loan Commitment of such Tranche B Lender or (y) the aggregate amount of all Tranche B Construction Loans exceeding the Tranche B Loan Amount. (d) The Construction Loans are available only on the terms and subject to the conditions specified hereunder, and once repaid, in whole or in part, at maturity (in accordance with Sections 2.1(f), 2.2(e) and 3.15(a)) or by prepayment, may not be re-borrowed in whole or in part. (e) The proceeds of the Construction Loans shall be used solely (x) to pay Project Costs in accordance with the Construction Budget and (y) to make no more than three True-Up Distributions in accordance with the next sentence and Section 7.9(c). CONSTRUCTION FACILITIES. (a) Tenant shall remove all Tenant trash and debris to designated trash receptacles during the construction of the Premises. Connection to temporary power including all temporary power lines, transformers and electrical distribution is Tenant’s responsibility and shall be removed upon completion of the Premises. (b) Plan check, building permits, sewer connection charges and other City, County and State charges in connection with all of Tenant’s Work shall be at Tenant’s expense. The design and quality of all work and installations undertaken by Tenant on the Premises shall be subject to the approval of the Landlord in accordance with all City, County, and State ordinances, rules and regulations. (c) Tenant’s contractor shall be responsible for obtaining all Building, Health & Fire Department and any other permits required for Tenant’s occupancy. (d) Landlord’s approval of final drawings does not guarantee approval by governing authorities, and it shall be the responsibility of the Tenant to meet and comply with all National, State, and Local code requirements. (e) Tenant’s contractor will confine its materials, tools, & work force to the Premises. (f) All construction workers and materials will enter and exit the building via the loading dock and the service elevators. No construction material or tradesmen will be allowed on the passenger elevators. (g) Tenant shall coordinate its general contractor and its subcontractors with Landlord’s contractors. Conflicts between Landlord’s Work and Tenant’s Work shall be resolved to the benefit of the Landlord’s Work, including any and all trade union issues. Tenant is responsible for complying with the existing trade union agreements of the building. The work to be done by Tenant in satisfying its obligation in connection with the Lease shall not be limited to work described in the foregoing section. CONSTRUCTION FACILITIES. ‌ (a) Up until (but excluding) the Conversion Triggering Date, the Lenders make available to the Borrower one or more Construction Facilities each relating to one Eligible Lease. Each Construction Facility shall be made available in amounts as requested pursuant to the Utilisation Plan to be submitted by the Borrower to the Agent together with each Request for the Opening of a Construction Facility, provided that the aggregate utilised amount under any Construction Facility shall not exceed (i) the Initial Construction Facility Amount as regards the Request for the Opening of the Initial Construction Facility and (ii) the relevant Construction Facility Amount as regards any further Request for the Opening of a Construction Facility. The aggregate amount of all Construction Facilities shall at no time exceed the Loan Commitment. (b) During the Availability Period and subject to Clause 5 (Conditions Precedent), the Borrower may utilise each Construction Facility by way of Loans in minimum amounts of CHF [] with Interest Periods of one or three months as selected by the Borrower. (c) If two or more Loans have an Interest Period beginning and ending on the same dates, these Loans will be consolidated into, and treated as, a single Loan on the last day of that Interest Period. (d) The Borrower may request that a Construction Facility be made available to it by delivery to the Agent of a duly completed Request for the Opening of a Construction Facility not later than at the Specified Time. (e) Each Request for the Opening of a Construction Facility is irrevocable and will not be regarded as having been duly completed unless: (i) the currency specified in a Construction Facility Request must be CHF; (ii) the amount of the Construction Facility corresponds to the Initial Construction Facility Amount or the Construction Facility Amount, respectively, and shall be for a minimum amount of CHF [] as regards the Initial Construction Facility or CHF [] as regards any Construction Facility, as the case may be; and (iii) it is accompanied by a copy of the relevant Eligible Lease, the Construction Budget, the relevant TU Contract and the Utilisation Plan. (f) Upon receipt of a duly completed Request for the Opening of a Construction Facility (incl. ancillary documents), the Agent will‌ (i) calculate the Initial Construction Facility Amount or the relevant Construction Facility Amount, as the case may be; (ii) establish the Amortisation Scheme; and (iii) notify the Borrower...
CONSTRUCTION FACILITIES. 1. Water and power facilities: Party B shall be responsible for the supply of water and power. Party B shall unconditionally provide other construction contractors with the existing and provisional water and power supplies, but may negotiate with other users to share the costs. 2.
