1.2.2 Services related to the design, development, update and upgrade of the advertising release platforms.

1) Develop the brand of COFCO/Xxxxx.xxx in the ecommerce market through genuine association with Tasmania’s premium brand.

3) Invite representatives of Tasmanian Government and industrial representatives to participate in international and domestic related events hosted by COFCO/Xxxxx.xxx;

1. This project mainly addresses issues including lack of core technology and information security risks in China’s existing industry of internet of things for security surveillance. Combining core technology of SVAC national standards and “Starlight China Chip Project” with electronics manufacturing industry of Guangdong Province, this project implements innovation-driven strategy to promote upgrading and expanding of Guangdong’s industry of internet of things for security surveillance, making it a strategic emerging industry, and improve Guangdong’s competitiveness and voice in the global security market and market of internet of things.
2. Vimicro implements the project of “Industrialization Development and Application of Chip System of Starlight China Chip Internet of Things Project-SVAC National Standardized Internet of Things for Security Surveillance” in Guangdong Province, with a total investment of RMB 1.6 billion; Vimicro will invest RMB 1.15 billion in capital and core technology of intellectual property rights including patents valuing RMB 0.15 billion, totaling RMB 1.3 billion, as well as core talent team and business channels.
3. Vimicro sets up “Vimicro Guangdong Corporation” (Temporary name) registered in Guangdong Province as the executor of the project to carry out R & D of technology, industrialization of achievements and construction of systems engineering as well as the headquarters of Vimicro in Southern China.

Vimicro sets up “Chip R & D Center of Internet of Things for Security Surveillance”, “System R & D Center of Internet of Things for Security Surveillance” and “Guangdong Provincial Research Institute of State Key Laboratory of Digital Multimedia Chip Technology” in Guangdong Province in a way of combined construction, R & D, achievements and application. Contents of Cooperation. 0. Xxxxx B can only carry out programmatic advertising on the network traffic trading service platform through the DSP confirmed by Party A in writing or e-mail and satisfied by Party A, and connect with Party A’s network traffic trading system according to the technical specifications provided by Party A, and Party A will provide Network Traffic Trading Services according to the Agreement. Xxxxx A has the right to adjust the pricing rules and payment methods of Network Traffic Trading Services according to the actual situation, and relevant adjustments shall be communicated with Party B in advance. Contents of Cooperation. 1. Among the products developed from the cooperative projects by Party A and Party B, foliar fertilizers and bio-pesticides shall be produced in the facility of Party A, and bio-bacterial fertilizers shall be produced in the facility of Party B.
2. Party A shall take major responsibility for products distribution and Party B shall assist in some distributing efforts; Party A shall provide the sample of package design.
3. Party A shall provide the stevia residues (0-10 meshes as required) as the raw materials for the production of bio-bacterial fertilizers and fermented bio-liquid obtained from stevia extracts (with polysaccharide content at 7%) as the raw material for bio-pesticides.
4. Party A shall provide the strain and formula required for bio-bacterial fertilizers. The price of strain is 22,000 yuan/metric ton. The strain shall be shipped to the production facility of Party B, and Party A shall cover the shipping cost.
5. The price of stevia residues provided by Party B for bio-bacterial fertilizers is 280 yuan/metric tons. The price of fermented bio-liquid obtained from stevia extracts is 8,000 yuan/metric ton (the aforementioned prices only apply to the current inventory. Party A and Party B shall negotiate to determine the prices for newly produced supply subject to market condition). Party B shall cover the shipping cost.
6. The bio-bacterial fertilizers jointly launched by Party A and Party B shall be marketed under the brand of Party B. Both parties have the right to distribute the products. The price of bio-bacterial fertilizers supplying market is 800 yuan/metric ton. The price applicable to the settlement between Party A and Party B is 400 yuan/metric ton.
7. Party B has the right to distribute the products that are manufactured by Party A. Party B is entitled to the prices that Party A offers to its primary distributors.
8. The above articles of 4, 5, and 6 shall be executed every two months to settle up the transactions between Party A and Party B. Both parties shall issue invoices based on the actually delivered volumes and prices for bxxx settlement five days before the beginning of the due month.
9. During the term, if Party A or Party B has planed to adjust pricing, the party shall obtain the consent of the counter party and send the written notice fifteen days in advance.
