Cooperation Project. Party A, as the network operator, shall provide network platform and communication services, as well as operational and interfacing specifications for Monternet WAP services to Party B; Party B, as the service provider, shall develop and provide application content services in accordance with the specifications provided by Party A. Party B may link its application content to Party A’s Monternet WAP main website subject to testing and permit of Party A, the URL address of which is xxxx://xxx.xxxxxxxxx.xxx.
Cooperation Project. Party B authorizes Party A to sell Xxxxxx Games Pre-paid Cards as its exclusive agent during the Term of this Agreement. For improving the experiences of the users, Party A may sell the Xxxxxx Games Pre-paid Cards in the form of Xxxxxx Interactive Entertainment Cards, and let the users to pay the Products by using the Xxxxxx Interactive Entertainment Cards through its Sheng-fu-tong System. The Xxxxxx Interactive Entertainment Cards and the Xxxxxx Games Pre-paid Cards can be converted through the backend system developed by Party A.
Cooperation Project. Party A shall provide the network platform and communication services as the network operator, and provide Party B with the Monternet WAP business specification and interfaces technical specification; Party B, as the service provider, shall develop/provide the application contents services based on the above specification. After the test and approval of Party A, the contents furnished by Party B shall be connected into the WAP primary station of the Monternet at the URL address of xxxx://xxx.xxxxxxxxx.xxx. The project has started from December 1, 2002, with the mutually agreed period starting from December 1, 2002 to December 31, 2003.
Cooperation Project. 1.1 The Parties agree to cooperate with each other to carry out manufacturing of new energy vehicles. To the extent of the plant production capacity specified herein, NIO will license JAC to use its trademarks and related technologies for the purpose of manufacturing the agreed model of new energy vehicles (with the specific specifications, parameters and option requirements to be provided by NIO) (the “Cooperation Model”), and JAC will complete the construction of the new energy vehicle manufacturing plant (the “Plant”) for the purpose of manufacturing the Cooperation Model (the “Cooperation” or the “Cooperation Project”).
1.2 The Parties agree that, based on the requirements under NIO’s product, technique and quality standards, JAC will invest in a brand-new, high-quality new energy vehicle manufacturing plant with world-class technique (including manufacturing technique for all-aluminum bodies) and a planned production capacity of 100,000 vehicles (two shifts). The Plant shall be suitable for the positioning of the high-end new energy vehicle products of NIO.
1.3 Further, the Parties agree that JAC will be solely responsible for the fund raising and construction mode involved in the construction of the Plant, and JAC shall use its best efforts to procure compliance with the construction schedule set forth in Article 3.
1.4 The Parties agree that NIO shall pay manufacturing and processing fee (excluding value-added tax, exercise tax, main materials of paint (finishing coat, clear coat, floating coat, base coat, electrophoretic materials, pretreatment materials and curing agent), all parts and components and auxiliary materials constituting the vehicle (except for the auxiliary materials involved in the manufacturing process), special adhesives for bodies, rivet and outsourcing costs of outsourced parts) to JAC at the rate of ****** per vehicle on a monthly basis for a period of three years.
1.5 The start of production (the “SOP Date”) under the Cooperation Project shall occur no later than six months after the equipment installation and commissioning has passed inspection. Considering that the JAC Plant may suffer loss due to low sales volume for the first three years from the SOP Date, NIO agrees to fully compensate the loss suffered by the Plant each year (each 12 consecutive months from the SOP Date). Cooperation Project. Party A hereby grants Party B with exclusive regional advertising agency rights on Music Radio channel of CNR within the designated city, i.e. Xi’an, under this Agreement. Regional Advertising means the advertising broadcasted within a designated city during the programs of Music Radio channel of CNR.
Cooperation Project. 1.1 The Parties agree to cooperate with each other to carry out the manufacturing of motorcycles. NIU will license CSQ to use its trademarks for the purpose of manufacturing the agreed model of motorcycles (with the specific specifications, parameters and option requirements to be provided by NIU) (the “Cooperation Model”), and CSQ will commit its resources for the purpose of manufacturing the Cooperation Model (the “Cooperation” or the “Cooperation Project”).
1.2 This Agreement will survive any restructuring, merger and acquisition, change of shareholders or similar situation occurring to CSQ. If any of the aforesaid situations occurs to CSQ, CSQ shall notify NIU at least 60 business days in advance. Under the same terms and conditions, NIU has the preferential right to participate in such restructuring, merger and acquisition, equity transfer or other similar transaction. For the avoidance of doubt, if NIU elects not to participate in such restructuring, merger and acquisition, equity transfer or other similar transactions, CSQ shall ensure that this Agreement will survive any such transaction or arrangement.
1.3 The Parties agree that payment arrangements in relation to the Cooperation Project will be negotiated by the Parties and set forth in a separate written agreement.
1.4 The Parties agree to use the trade xxxx for the Cooperation Model in relation to the Cooperation Project in a manner that will be negotiated by the Parties and set forth in a separate written agreement.
Cooperation Project. 1.1 In accordance with the Project Filed with Anhui Provincial Development and Reform Commission (No. [***]), JAC intends to lease the existing land and plant in the Xinqiao Science and Technology Innovation Demonstration Zone in Hefei (the “Xinqiao Plant”) and supporting auxiliary facilities thereof, which shall be transformed into four processing workshops and related production facilities with planned annual manufacturing capacity of 100,000 new energy passenger vehicles for production of NIO ET5 and other models agreed in writing by the Parties (the “Cooperative Model”).
1.2 The Parties agree to cooperate with each other to carry out manufacturing of Cooperative Model. NIO Tech will license JAC to use its trademarks and related technologies for manufacturing the Cooperative Model, which specific specifications, parameters and option requirements shall be provided by NIO Tech; JAC shall be responsible to manufacture the Cooperative Model; NIO Anhui shall be responsible to supply raw materials to JAC for its production of the Cooperative Model and act as the exclusive worldwide master distributor of the Cooperative Vehicle (the “Cooperation Project”).
1.3 NIO Tech and JAC hereby agree that in line with NIO Tech's product, processing and quality requirements and the information of the Project Filed with Anhui Provincial Development and Reform Commission (No. [***]), JAC will invest in high-quality, first-class four processing manufacturing and producing facilities for new energy vehicles, which shall be suitable for the positioning of the high-end new energy vehicle products of NIO Tech and NIO Anhui.
Cooperation Project. 1.1 Party A and Party B shall cooperate for the broadcast program provided by Party A on wireless value-added service on the telecom added-value service platform-service platform of China Mobile provided by Party B; Party A shall be responsible for program production and broadcast and development of some technical process; Party B shall provide IVR channel of wireless value-added service and the charge code l2590899766, l2590899769 , (hereinafter as "cooperation code") and necessary technical support and shall be responsible for settlement and coordination with the telecom operator China Mobile.
1.2 Both parties shall share the information fee arising from the cooperation project under this agreement as stipulated in this agreement.
1.3 During the cooperation process, if the cooperation code needs to be increased or modified because of service demand, both parties shall sign a separate supplement agreement to modify or increase the cooperation code without influencing the implementation of data transfer, settlement and other clauses of both parties.

Cooperation Project. 1. Party A, Party B and Party C will establish a cooperation company in Longyan, and jointly elect Xx. Xxxxx Qingchuan (ID No.: XXX) as the legal representative of the cooperation company. Party A, Party B and Party C will cooperate to construct the "Tao Xiangtian" Passion Fruit Standard Demonstration Base - an Alibaba agricultural demonstration project in Peixie Village, Xiaochi Town, Longyan, Fujian, which is located in Peixie Village, Xiaochi Town, Longyan, Fujian, with an area of approximately 80,000 square meters (please refer to the annexes for detailed geographical location and scope).
