Agency Rights. Grantee shall provide Agency with draft copies of all outreach, media, and/or educational materials to be developed using Grant Funds, and prior to production (regardless of medium: print, broadcast, radio, etc.). Agency may suggest revisions and must pre-approve production of any materials developed using Grant Funds. All brochures; course, workshop and conference an- nouncements; and other materials that are developed and/or printed using Grant Funds shall include a statement crediting Agency. Materials produced through the Project shall be provided to Agency for its use and distribution and may not be sold for profit by either the Grantee or any other party. Every invention, discovery, work or authorship, trade secret or other tangible or intangible item that Grantee is required to deliver to Agency under this Agreement and all intellectual property rights therein (“Work Product”), including derivative works and compilations shall be the property of Agency; any original work of authorship created by Grantee under this Agreement is “work made for hire” of which Agency is the author. Grantee hereby irrevocably assigns to Agency any and all rights, title, and interest in all original Work Product created by Grantee under this Agreement. Upon Agency’s reasonable request, Xxxxxxx shall execute such further documents and instruments necessary to fully vest such rights in Agency. Grantee forever waives any and all rights relating to Work Product created by Grantee under this Agreement, including without limitation, any and all rights arising under 17 U.S.C. §106A or any other rights of identification of authorship or rights of approval, restriction or limitation on use or subsequent modifications.
Agency Rights. Section 1. In accordance with the Civil Service Reform Act of 1978 the Agency retains the authority: A. To determine the mission, budget, organization, number of employees, and internal security practices of the Agency; and, B. In accordance with applicable laws: (1) To hire, assign, direct, lay off, and retain employees in the Agency, or to suspend, remove, reduce in grade or pay, or to subject such employees to other remedial action; (2) To assign work, to make determinations with respect to contracting out, and to determine the personnel by which the Agency’s operations shall be conducted; (3) With respect to filling positions, to make selections for appointments from: (a) Among properly ranked and certified candidates for promotion; or (b) Any other appropriate source; and (4) To take whatever actions may be necessary to carry out the missions of the Agency during emergencies.
Agency Rights. The Servicer’s rights with respect to the Agency Mortgage Loans are subject and subordinate in all respects to all rights, powers and prerogatives of the applicable Agency under the Applicable Guide, at law and in equity, including without limitation an Agency’s right to suspend or terminate the Owner’s Servicing Rights (in whole or in part, and with or without cause) and to suspend or terminate the Owner as an approved seller/servicer or servicer (whether with or without cause) without recourse to an Agency whatsoever, such that the Servicer’s rights with respect to the Agency Mortgage Loans pursuant to this Agreement are subject to extinguishment at any time.
Agency Rights. It is understood and agreed that the Agency retains all of its powers and authority to direct, manage and control to the full extent of the law. Included in but not limited to those powers are the exclusive right to: determine its organization; direct the work of its employees; determine the times and hours of operations; determine the kinds and levels of services to be provided, and the methods and means of providing them; establish its educational policies, goals and objectives; ensure the rights and educational opportunities of students; determine staffing patterns; determine the number and kinds of personnel required; maintain the efficiency of Agency operations; build, move or modify facilities; establish budget procedures and determine budgetary allocation; determine the methods of raising revenue; and take action on any matter in the event of an emergency, which shall be defined as a sudden, urgent, or unforeseen occasion or occasion requiring immediate action. In addition, the Agency retains the right to hire, transfer, classify, assign, evaluate, promote, demote, terminate and discipline employees, and all other rights and privileges not expressly waived by this agreement or requirements of law. The exercise of the foregoing powers, rights, authority, duties and responsibilities by the Agency, the adoption of policies, rules regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be limited only by the specific and express terms of this CBA, and then only to the extent such specific and express terms are in conformance with law.
Agency Rights. Unless otherwise specified in the solicitation, the Lead State may accept any item or combination of items as specified in the solicitation or of any proposal unless the Offeror expressly restricts an item or combination of items in its proposal and conditions its response on receiving all items for which it provided a proposal. In the event that the Offeror so restricts its proposal, the Lead State may consider the Offeror’s restriction and evaluate whether the award on such basis will result in the best value to the Lead State and WSCA-NASPO. The Lead State may otherwise determine at their sole discretion that such restriction is non-responsive and renders the Offeror ineligible for further evaluation.

The exercise of the foregoing powers, rights, authority, duties and responsibilities by the Agency, the adoption of policies, rules, regulations and practices in furtherance thereof, shall be limited only by the specific and express terms of this agreement and written Board policies, and then only to the extent such specific and express terms and policies are in conformance with the law. C. The exercise by management of the rights and discretion as described herein shall not be subject to the grievance/arbitration procedure, except when the exercise of such rights conflicts with the specific terms and conditions of this agreement. D. Nothing in this article is intended to limit, undermine or waive the Union's right to meet and negotiate concerning matters within the scope of representation.
Agency Rights. 3.1 Nothing in this Agreement or any supplement thereto shall limit or impair the authority and rights of Agency in its sole discretion to determine, establish, or ascertain the nature, scope or character of any services, programs or activities rendered or operated by Agency or Agency's authority and rights to expand or contract such services, programs or activities. Subject to the grievance procedure set forth in Article IV hereof, nothing in this Agreement or any supplement thereto shall limit or restrict the authority and rights of Agency in its discretion to evaluate or reevaluate job content or classification standards, and to implement such evaluation or reevaluation. Accordingly, Agency in its discretion, may with respect to new positions created during the term of this Agreement and currently existing positions, revise, from time to time, job descriptions and classification standards and the "Description of Qualifications" contained in Article XIII, Section 13.4 thereof are not meant to be inclusive or exhaustive of job duties, standards or classifications. The right to hire, suspend, lay-off and discharge employees is vested exclusively in Agency, subject to the terms and conditions of this Agreement. No provisions of this Agreement shall be construed so as to allow a reduction in the present wages of any employee.
Agency Rights. This article in no way compromises the authority and responsibility of the Agency to determine what training will be undertaken, who will be trained and the extent of fiscal resources which will be committed to training.
Agency Rights. Contractor acknowledges that the public education and promotion activities listed are critical to the success of Agency’s diversion performance relative to the Act. As such, Contractor acknowledges Agency’s rights to the following: 1. Contractor shall make available to Agency and SBWMA all public educational materials used by Contractor, which Agency and SBWMA shall approve prior to their use; 2. Agency and SBWMA shall retain the right to modify, expand, or reduce the minimum public education requirements; 3. Agency may require Contractor to work with a public education consultant selected by Agency or the SBWMA; 4. Agency may perform, or request that the SBWMA perform on its behalf, the public education efforts assigned to the Contractor; and 5. Agency or SBWMA may provide additional, supplemental public education materials as it deems appropriate.
Agency Rights. The Servicer’s rights with respect to the Agency Mortgage Loans are subject and subordinate in all respects to all rights, powers and prerogatives of the applicable Agency under the applicable Guide, at law and in equity, including without limitation an Agency’s right to suspend or terminate the Owner’s Servicing Rights (in whole or in part, and with or without cause) and to suspend or terminate the Owner as an approved seller/servicer or servicer (whether with or without cause) without recourse to an Agency whatsoever, such that the Servicer’s rights with respect to the Agency Mortgage Loans pursuant to this Agreement are subject to extinguishment at any time. If Xxxxxxx Xxx suspends or disqualifies the Owner as an approved Xxxxxxx Xxx Xxxxxx/Servicer, or terminates the Xxxxxxx Xxx Servicing Contract between Xxxxxxx Xxx and the Owner, then notwithstanding any provision in this Agreement to the contrary, with respect to any Xxxxxxx Xxx Mortgage Loans, this Agreement shall, without notice, demand or other action, immediately terminate and be of no further force and effect.
