Employee Welfare Benefits. During Executive’s employment with the Corporation, Executive shall be entitled to participate in any group insurance for hospitalization, medical, dental, vision, prescription drug, accident, disability, life or similar plan or program of the Corporation now existing or established hereafter to the extent that Executive is eligible under the general provisions thereof. The Corporation may, in its sole discretion and from time to time, establish additional senior management benefit programs as it deems appropriate. Executive understands that any such plans may be modified or eliminated in the discretion of the Corporation in accordance with applicable law.

Employee Welfare Benefits. Affected Employees will be integrated into the employee welfare benefit plans of Associated, including health, dental, group term life insurance, tuition reimbursement, long-term disability and other employee benefit plans available to similarly situated employees, as of such date as Associated determines; provided, however, that Company’s employee welfare benefit plans shall continue in force until the applicable Associated employee welfare benefit plan applies to the Affected Employees. Company employees will not forfeit Dependent Care or Flexible Spending Account balances as a consequence of the merger or the substitution of Associated’s plans.
Employee Welfare Benefits. During the Employment Period, Executive ------------------------- shall be entitled to participate in, and shall receive benefits in accordance with the terms of all welfare benefits plans, practice, policies, and programs that are made available by DIRECT III to either salaried employees of DIRECT III (including any medical and life insurance plans and programs) or other similar executive officers of DIRECT III, whichever is greater.

Employee Welfare Benefits. (i) Cendant will provide those persons who are active WEX employees and WEX COBRA participants as of the initial public offering (the “Transaction”) with administrative services for those benefits described below in this paragraph (i). For employee welfare benefit plans, other than medical, dental flexible spending, short term disability, and vision plans, WEX will adopt and maintain new employee benefit plans and enter into new insurance contracts with the same vendors currently used by Cendant, or replacement vendors (these plans include business travel accident insurance, group life insurance (employee, spouse and dependent), EAP services, and long term disability, accidental death & dismemberment and severance). These new employee benefit plans and insurance contracts will be in place effective as of the Transaction. Cendant (and its current administrative vendors) will continue to provide all administrative services for these new WEX plans through December 31, 2005. The summary plan descriptions for the Cendant plans covering these benefits will remain in effect for covered WEX employees, except that WEX will immediately distribute to all participants a supplemental communication to the summary plan descriptions describing the changes in the plans, if any, and further explaining that WEX is replacing Cendant as the plan sponsor and providing any other administrative and contact information. For employee welfare benefit plans which are medical, dental, flexible spending, short term disability, and vision plans, persons who are active WEX employees and WEX COBRA participants as of the Transaction will remain eligible for coverage under the same medical, dental and vision plans sponsored by Cendant under which they are covered as of the Transaction, and Cendant shall continue to provide such coverage (subject to the terms of the plans applied by taking into account active service with WEX after the Transaction as service with Cendant) and administrative services through December 31, 2005. WEX will cause its plans to assume all COBRA obligations of Cendant and its plans with respect to active WEX employees and WEX COBRA participants as of December 31, 2005. The summary plan descriptions for the Cendant plans covering these benefits will remain in effect for covered WEX employees through December 31, 2005. Employee Welfare Benefits. Sellers shall be solely responsible for: (a) claims for the type of benefits described in Section 3(1) of ERISA (whether or not covered by ERISA) ("Welfare Benefits") and for workers' compensation, in each case that are incurred by or with respect to any Business Employee prior to the date such employee becomes employed by the Buyer, PROVIDED, in the case of a disability or workers' compensation claim, the Buyer shall have the right to enforce this provision against the Sellers only with respect to such a claim that is actually filed on or before (x) with respect to Closing Date Employees, the first anniversary of -63- <Page> the Closing Date, and (y) with respect to Toledo Employees, the first anniversary of the Conversion Date (or, in the case of a claim for a disability benefits under the General Xxxxx Toledo Plan, the date of the DB Transfer); (b) claims relating to COBRA Coverage attributable to "qualifying events" with respect to any Business Employee and his or her beneficiaries and dependents that occur before the date such Business Employee becomes employed by Buyer; and (c) claims for Welfare Benefits and for workers' compensation, in each case that are incurred by or with respect to any Business Employee who does not become employed by Buyer, whether incurred before, on or after the Closing Date (in the case of the Closing Date Employees) or the Conversion Date (in the case of the Toledo Employees). Buyer shall be solely responsible for: (a) claims for Welfare Benefits and for workers' compensation, in each case that are incurred by or with respect to Business Employees from and after the date they become employees of Buyer; and (b) claims relating to COBRA Coverage attributable to "qualifying events" with respect to Business Employees who become employees of Buyer, and their beneficiaries and dependents, that occur after such employees become employees of Buyer. For purposes of the foregoing, a disability or workers' compensation claim shall be considered incurred at the time the injury or condition giving rise to the claim occurs, and a medical/dental claim shall be considered incurred when the services are rendered or the supplies are provided, and not when the condition arose; PROVIDED that claims relating to a hospital confinement that begins before the date a Business Employee becomes employed by Buyer shall be deemed to have occurred before such employee became employed by Buyer.

JH will adopt and maintain new employee benefit plans with the same vendors currently used by Cendant. Cendant will continue to provide all administrative services for these new JH plans through the remainder of 2004. The summary plan description for the Cendant plans will remain in place for the new JH medical, dental and vision plans, except that JH will distribute to all participants an SPD supplement explaining any differences between the Cendant plans and the new JH replacement plans, and further explaining that JH is the sponsor of the new JH replacement plans. JH will distribute new summary plan descriptions for all other plans. The benefits subject to this paragraph are medical, dental and vision benefits, and accidental death & dismemberment, group term life insurance, short term disability and long term disability benefits. (ii) Cendant will provide JH with assistance in setting up new welfare benefit plans to be sponsored by JH and to commence in 2005, when transitional administrative services by Cendant end. Cendant will provide consulting services to JH relating to the selection of benefit vendors and structuring future benefit plan designs and costs. (iii) Cendant will continue to work out claim processing with current vendor, Core, for short term disability, long term disability and accidental death & dismemberment plan for the JH employees through December 31, 2004, except that JH, and not Cendant, will be the fiduciary of such plans. (iv) Cendant will cause “The Answer Place” to continue to provide assistance with benefit plans and other matters, subject to any practical limitations determined by Cendant. (v) Cendant business & travel accident insurance will terminate effective as of the closing of the initial public offering. Cendant will provide consulting services assisting JH in identifying and selecting replacement coverage.
