Employee's Services. The Employee hereby covenants and agrees that: (a) the Employee shall, in the exercise of the Employee's duties, at all times follow the policies of Klondex G&S (and the policies of Affiliates, to the extent applicable) and the lawful instructions given and any regulations made by the Board of Directors of Klondex G&S (and the Board of Directors of Klondex Mines, to the extent applicable) and will, from time to time, and at all times when required to do so, give an account of Employee's activities to the President with respect to all transactions, matters and things relating to Klondex G&S and Affiliates; and (b) the Employee shall, for the term of this Agreement, unless prevented by illness: (i) devote the Employee's whole time and attention to the Employee's duties in the Employee's position and provide Klondex G&S (and Affiliates, to the extent applicable) with the full benefit of the Employee's knowledge, expertise, skill, experience and ingenuity with respect to the business and affairs of Klondex G&S and Affiliates, except to the extent that the parties agree in writing that the Employee may work or provide services for remuneration to another entity, including serving on the board of directors or as an officer of other public or private companies, provided that such activities do not unduly interfere with the Employee's obligations to Klondex G&S and Affiliates; (ii) do his utmost to promote, develop and extend the business of Klondex G&S and Affiliates, during the term of this Agreement, communicate and channel to Klondex G&S and/or Affiliates all knowledge, business and customer contacts and any other information that could concern or be in any way beneficial to the business of Klondex G&S and Affiliates. Any such information thus communicated to Klondex G&S and Affiliates will be and remain the property of Klondex G&S and/or Affiliates notwithstanding any subsequent termination of the Employee's employment; and (iii) exercise the degree of care, diligence and skill that a prudent senior officer would exercise in comparable circumstances.

Employee's Services. Employee represents and agrees that the services to be performed under the terms of this contract are of a special, unique, unusual, extraordinary, and intellectual character that gives them a peculiar value, the loss of which cannot be reasonably or adequately compensated in damages in an action at law. Employee therefore expressly agrees that Employer, in addition to any other rights or remedies that Employer may possess, shall be entitled to injunctive and other equitable relief to prevent or remedy a breach of this contract by Employee. Employee's Services. For a period of 18 months from the Closing Date, Buyer undertakes to make available to Seller or to Seller's Affiliate the services of the Employees, in accordance with the provisions of Schedule 4. Seller shall reimburse Buyer the costs of such services, calculated for each Employee as the percentage of the work time devoted by such Employee to the services each month, out of the Employee's monthly salary. Buyer shall issue a monthly invoice to Seller or to Seller's Affiliate for such services which shall be paid within 10 days. Seller shall be liable to Buyer, jointly and severally with Seller's Affiliate, if applicable, for the full payment of Buyer's invoices. Late payment of any invoice which is not rectified within 7 days of notice from Buyer shall cause the immediate and irrevocable termination of the services under this Section 10.
Employee's Services. EMPLOYEE shall serve as a FULL-TIME, EXEMPT, AT-WILL EMPLOYEE and will work from the EMPLOYER’s office in Amarillo, Texas and/or at other locations as directed by the EMPLOYER. EMPLOYEE shall be responsible for complying and implementing the EMPLOYER’s programs, policies, and projects as summarized in Exhibit “A” of this Agreement ("Scope of Work") and as may be otherwise needed and requested by EMPLOYER. This contract is for the personal services of the EMPLOYEE and shall not be assigned by the EMPLOYEE to any other person or entity.
Employee's Services. During the term of this Agreement, Employee shall devote 100% of his working hours to advance the business and welfare of the Company and its subsidiaries and shall have such powers and duties as may from time to time be prescribed by the Board of Directors or the Chief Executive Officer of the Company, which duties may, in the Company's sole discretion, be changed in any legal manner from time to time. The initial duties of Employee shall include, without limitation, serving as a Managing Director of the Company and such other duties as may be mutually agreed between the Company and Employee. Employee shall provide the Company with the benefit of his best judgment and efforts in performing his duties hereunder.

Employee's Services. 1.1 Employee shall provide to Company services similar to those provided under the Employee’s previous employment arrangements with the Company (the “Employee Services”) as in effect immediately prior to the date of this Agreement; provided, however, that Employee will no longer serve as an officer or director of Company or any of its subsidiaries and shall not serve in a supervisor of any of Company employees except as specifically requested by an officer of the Company or its ultimate parent, CGG-Veritas). Employee will report to and take directions or instructions as required from the officers of Company or its ultimate parent company, CGG-Veritas, or their respective replacements from time to time. 1.2 Although Employee’s previous Employment Agreement with Company terminated on January 15, 2007, Employee will continue to be an employee of the Company and will continue receiving all of the Company’s employee benefits existing as of January 15, 2007 until the termination of this Agreement, in accordance with the terms of the Company’s employee benefit plans, programs and arrangements as in effect from time to time; provided, however, that Employee will not be eligible to participate in any equity compensation program provided to other employees of Company nor, except as provided in Section 4.1 hereof, any bonus compensation program provided to other employees of Company.

Employee's Services. During the Employment Period (as hereinafter defined), the Corporation agrees to employ the Employee, and the Employee agrees to serve the Corporation, as the senior executive officer of the Corporation, having the title Chief Executive Officer of the Corporation. During the Employment Period, the Employee shall perform such services and duties as shall be assigned to him or delegated to him from time to time by the Board of Directors of the Corporation (the "Board of Directors") or the Executive Committee of the Board of Directors (the "Executive Committee"). At all times during the Employment Period, the Employee's duties shall be consistent with those customarily performed by senior executive officers of other entities doing business in the apparel industry. The Employee's duties shall include, without additional compensation, the performance of similar services for any subsidiaries of the Corporation. The Employee agrees that, except as otherwise provided herein, he shall devote substantially all of his business time, attention and energy to the business of the Corporation and its subsidiaries in the advancement of the best interest of the Corporation and its subsidiaries. The Employee will perform his duties hereunder principally in the New York metropolitan area. On the Effective Date, the Employee shall be elected as Chairman of the Board of Directors for a three-year term. Upon the termination of his employment under this Agreement, the Employee agrees to resign from the Board of Directors. During the Employment Period, it shall not be a violation of this Agreement for the Employee to (a) serve on corporate, civic or charitable boards or committees or otherwise engage in charitable activities and community affairs, (b) deliver lectures, fulfill speaking engagements or teach at educational institutions, and (c) manage personal investments, so long as such activities do not materially interfere with the performance of Employee's responsibilities as an employee of the Corporation in accordance with this Agreement.
Employee's Services. The Employee's services hereunder shall be rendered as the Lender's employee. The Lender hereby agrees that the Lender will fully perform and discharge, and that the Producer shall have no responsibility or liability on account of, any and all obligations of an employer with respect to the Employee and the Employee's services hereunder, including, but not limited to, the withholding and/or payment of any sums required to be withheld and/or paid by such employer to any governmental authority, or pursuant to any guild or union health, welfare, or pension plan, or on account of any other so-called fringe benefits, based on or resulting from the services rendered by the Employee hereunder or the compensation paid to the Lender for such services, and the Lender agrees to and does hereby indemnify and hold the Producer harmless from and against any such liability or obligation. Notwithstanding the foregoing, the Producer shall, upon receipt of appropriate invoices from the Lender, reimburse the Lender the amount, if any, which the Lender actually pays to any applicable collective bargaining organization's pension plan and health and welfare plan on account of the services rendered by the Employee hereunder. In no event shall the amount required to be paid by the Producer pursuant to this subparagraph exceed the amount which the Producer would have been required to pay if the Employee rendered services hereunder as the Producer's employee-for-hire.
Employee's Services. The Employee is an employee of the Company. Except as otherwise expressly provided herein, this Agreement does not alter or affect the Employee's employment agreement or relations with the Company or any of the Company's subsidiaries.
