Engagement and Responsibilities. 1.1 Upon the terms and subject to the conditions set forth in this Agreement, and commencing as of the Effective Date, the Company hereby engages and employs Employee as an officer of the Company, with the title "Senior Vice President." Employee hereby accepts such engagement and employment pursuant to the terms hereof. Employee shall report to the Chief Executive Officer of the Company.
1.2 Employee's duties and responsibilities shall be those incident to the position set forth in Section 1.1 as set forth in the Bylaws of the Company and those which are normally and customarily vested in such officers of a corporation. In addition, Employee's duties shall include those duties and services for the Company and its affiliates as the Board or Chief Executive Officer of the Company, shall, in its, their, or his sole and absolute discretion, from time to time reasonably direct which are not inconsistent with Employee's positions described in Section 1.1.
1.3 Employee agrees to devote all of Employee's business time, energy and efforts to the business of the Company and will use Employee's best efforts and abilities faithfully and diligently to promote the Company's business interests. For so long as Employee is employed by the Company, Employee shall not, directly or indirectly, either as an employee, employer, consultant, agent, investor, principal, partner, stockholder (except as the holder of less than 5% of the issued and outstanding stock of a publicly held corporation), corporate officer or director, or in any other individual or representative capacity, engage or participate in any business that is in competition in any manner whatsoever with the business of the Company, as such businesses are now or hereafter conducted. Subject to the foregoing prohibition and provided such services or investments do not violate any applicable law, regulation or order, or interfere in any way with the faithful and diligent performance by Employee of the services to the Company otherwise required or contemplated by this Agreement, the Company expressly acknowledges that Employee may:
1.3.1 make and manage personal business investments of Employee's choice without consulting the Board;
1.3.2 serve in any capacity with any non-profit civic, educational or charitable organization; and/or
1.3.3 serve on the board of directors of any corporation that does not compete in any manner whatsoever with the business of the Company, as such businesses are now or hereafter conducted.
Engagement and Responsibilities. (a) Upon the terms and subject to the conditions set forth in this Agreement, the Company hereby employs DANHI as its Chief Executive Officer. DANHI hereby accepts such employment. DANHI shall have such title or titles as the Board or President may from time to time determine.
(b) DANHI’s duties and responsibilities shall be those incident to the positions described in Section 1(a) as set forth in the Bylaws of the Company and those which are normally and customarily vested in such offices of a corporation. In addition, DANHI’s duties shall include those duties and services for the Company and its affiliates as the Board shall, in its sole and absolute discretion, from time to time reasonably direct which are not inconsistent with DANHI’s positions described in Section 1(a).
(c) DANHI agrees to devote, on an exclusive basis, the necessary time, energy and efforts to run the day-to-day operations of the Company and will use his best efforts and abilities faithfully and diligently to promote the Company’s business interests. It is understood between the Company and DANHI that he will devote no less than 40 hours per week in the execution of his duties. For as long as DANHI is employed by the Company, DANHI shall not, directly or indirectly, either as an employee, employer, consultant, agent, investor, principal, partner, stockholder (except as the holder of less than 1% of the issued and outstanding stock of a publicly held corporation), corporate officer or director, or in any other individual or representative capacity, engage or participate in any business that is in competition in any manner whatsoever with the business of the Company, as such businesses are now or hereafter conducted, or any business which the Company contemplates conducting or intends to conduct.
Engagement and Responsibilities. 1.1 Upon the terms and subject to the conditions set forth in this Agreement, and commencing as of the Effective Date, the Company hereby engages and employs Employee as an officer of the Company, with the title and designation “Vice President, Research and Development (VPRD).” Employee hereby accepts such engagement and employment pursuant to the terms hereof. Employee shall report to the Chief Executive Officer of the Company (“CEO”).
1.2 Employee agrees to devote all of Employee’s business time, energy and efforts to the business of the Company and will use Employee’s best efforts and abilities faithfully and diligently to promote the Company’s business interests. Employee’s duties and responsibilities shall be those that are normally and customarily vested in the offices of the Vice President, including, without limitation, the following (collectively, the “Duties”), subject in all cases to limitations imposed by the Board:
1.2.1 In general, the Employee shall be the company executive with sole responsibility for the timely development and initial production of all products and services to be offered by the Employer;
1.2.2 shall have general supervision, direction and control of all engineering and outsourced resources responsible for product development, prototype manufacturing and regulatory approval
(i) shall be responsible for the detailed development of product requirements, specifications and project plans for the timely delivery of all products the company commits resources to.
(ii) shall be responsible for managing the Employer’s products, including product design; product safety; and the design, development, and validation of regulatory control systems,
(iii) manage the development of manufacturing documentation and pilot production for the Employer’s products.
1.2.3 participate in the assessment and market analysis of new projects for development and;
1.2.4 participate in, and contribute to, the development of the Employer’s annual business strategy review.
1.3 Employee hereby agrees and acknowledges that the nature and scope of his Duties will require him to undertake a certain amount of travel in connection with fulfilling such duties.
1.4 Employee shall remain free from Conflict of Interest as defined in section 2.2 of this agreement. Company expressly acknowledges that Employee may:
1.4.1 with the approval of the CEO and Board, participate as a Board director, advisor or observer for other public and private companies

GXXXXXXXX hereby accepts such employment. GXXXXXXXX shall have such title or titles as the Board or President may from time to time determine.
b) GXXXXXXXX’x duties and responsibilities shall be those incident to the positions described in Section 1(a) as set forth in the Bylaws of the Company and those which are normally and customarily vested in such offices of a corporation. In addition, GXXXXXXXX’x duties shall include those duties and services for the Company and its affiliates as the Board shall, in its sole and absolute discretion, from time to time reasonably direct which are not inconsistent with GXXXXXXXX’x positions described in Section 1(a).
c) GXXXXXXXX agrees to devote, on a non-exclusive basis, the necessary time, energy and efforts to the business of the Company and will use his best efforts and abilities faithfully and diligently to promote the Company’s business interests. It is understood between the Company and GXXXXXXXX that he will devote no less than 20 hours per week in the execution of his duties. For as long as GXXXXXXXX is employed by the Company, GXXXXXXXX shall not, directly or indirectly, either as an employee, employer, consultant, agent, investor, principal, partner, stockholder (except as the holder of less than 1% of the issued and outstanding stock of a publicly held corporation), corporate officer or director, or in any other individual or representative capacity, engage or participate in any business that is in competition in any manner whatsoever with the business of the Company, as such businesses are now or hereafter conducted, or any business which the Company contemplates conducting or intends to conduct.
Engagement and Responsibilities. (a) Upon the terms and subject to the conditions set forth in this Agreement, the Company hereby engages Consultant as a consultant, and Consultant hereby accepts such engagement.
(b) Consultant hereby agrees that all duties and responsibilities of Consultant set forth in this Agreement shall be performed by Rupert Galliers-Pratt ("GALLIERX-XXXXX").
(x) Gaxxxxxx-Xxxxx xhall have the txxxx xx Xxxxx Executive Officer.
(d) Galliers-Pratt shall devote all xx xxx xxxxxxss time, energy and efforts to the business of the Company and will use his best efforts and abilities faithfully and diligently to promote the Company's business interests. Galliers-Pratt's duties and resxxxxxxxxxxxxx xxall be those incident to those which are normally and customarily vested in the office of chief executive officer of a corporation. In addition, Galliers-Pratt's duties shall ixxxxxx xxxxx xxxies and services for the Company and its affiliates as the Board shall, in its sole and absolute discretion, from time to time reasonably direct which are not inconsistent with Galliers-Pratt's position descrxxxx xx Xxxxxxx 1(c). Notwithstanding the foregoing, but subject to Section 1(e) of this Agreement, Galliers-Pratt shall be permittxx xx xxxxx xx the Board of Directors of, or in a similar capacity with, other Persons and to manage his personal investments.
(e) For so long as Consultant is engaged by the Company, neither Consultant nor Galliers-Pratt shall, directly xx xxxxxxxxxx, either as an employee, employer, consultant, agent, investor, principal, partner, stockholder (except as the holder of less than 5% of the issued and outstanding stock of a publicly held corporation), corporate officer or director, or in any other individual or representative capacity, engage or participate in any business that is in competition in any manner whatsoever with the business of the Company Group, as such businesses are now or hereafter conducted.
Engagement and Responsibilities. 1.1 Upon the terms and subject to the conditions set forth in this Agreement, Q Matrix, Inc. hereby engages Consultant as a consultant, and Consultant accepts such engagement. Unless Q Matrix, Inc. consents otherwise; Consultant agrees that Xxxxx X. Xxxx shall be primarily responsible for the services of Consultant under this Agreement.
1.2 The Consultant acknowledges that the company desires to accomplish the following agenda:
a. The company wishes to implement a $2,000,000 equity offering with a qualified broker dealer.
Engagement and Responsibilities. (a) Upon the terms and subject to the conditions set forth in this Agreement, the Company hereby engages Consultant as a consultant, and Consultant accepted such engagement.
(b) Consultant's duties and responsibilities shall include advice and assistance in the following areas:
(i) strategic planning; (ii) investor relations; (iii) develop domestic and foreign strategic business opportunities; and (iv) new product lines.
(c) The Consultant, as of the date of this Agreement, a director of the Company. It is understood that the service to be provided by this Agreement are over and above the services to be provided in his capacity as a director. It is understood further, however, that Consultant shall perform his services on a part-time basis.
Engagement and Responsibilities. Licensee hereby engages Licensor to operate the customer service centre and data centre for Licensee's Business on the terms and conditions set out in this Agreement. Licensor will be responsible to provide and manage all staff, equipment, and facilities necessary for the operation of:
(a) the customer service centre to receive and promptly and effective ly reply to and process requests for information and service from present, potential, and future Customers; and
(b) the data centre to promptly and accurately process and issue financial, management, and Customer reports for Licensee's Business (in a form and by such deadlines as the Supervisor may reasonably require from time to time) and to issue and process payments of funds to Customers based on converted Customer Credits in accordance with the Rules and Regulations. Licensor hereby accepts the above engagement and agrees to carry out the above duties and responsibilities in accordance with this Agreement and the reasonable targets and requirements and directions of Licensee from time to time. Licensor agrees its duties and responsibilities may be reasonably modified, reduced, or increased at Licensee's request from time to time to meet the requirements of Licensee's Business.
Engagement and Responsibilities a) Upon the terms and subject to the conditions set forth in this Agreement, the Company hereby employs MXXXXX as Senior Vice President of the Company. MXXXXX hereby accepts such employment.
b) MXXXXX’x duties and responsibilities shall be those incident to the positions described in Section 1(a) as set forth in the Bylaws of the Company and those which are normally and customarily vested in such offices of a corporation. In addition, MXXXXX’x duties shall include those duties and services for the Company and its affiliates as the Board shall, in its sole and absolute discretion, from time to time reasonably direct which are not inconsistent with MXXXXX’x position described in Section 1(a).
c) MXXXXX agrees to devote, on a non-exclusive basis, the necessary time, energy and efforts to the business of the Company and will use his best efforts and abilities faithfully and diligently to promote the Company’s business interests. It is understood between the Company and MXXXXX that he will devote no less than 15 hours per week in the execution of his duties. For as long as MXXXXX is employed by the Company, MXXXXX shall not, directly or indirectly, either as an employee, employer, consultant, agent, investor, principal, partner, stockholder (except as the holder of less than 1% of the issued and outstanding stock of a publicly held corporation), corporate officer or director, or in any other individual or representative capacity, engage or participate in any business that is in competition in any manner whatsoever with the business of the Company, as such businesses are now or hereafter conducted, or any business which the Company contemplates conducting or intends to conduct.
Engagement and Responsibilities. 2.1 Upon the terms and subject to the conditions set forth in this Agreement, the Company hereby employs Employee as its Chief Technology Officer, and Employee accepts such employment. Employee shall also serve from time to time as an officer and employee of such subsidiaries or affiliates of the Company as the Board, Chief Executive Officer or President of the Company may from time to time request.
2.2 Employee agrees to devote all of Employee's business time, energy and efforts to the business of the Company and will use Employee's best efforts and abilities faithfully and diligently to promote the Company's business interests. Employee's duties and responsibilities shall be as set forth on Exhibit A attached hereto. In addition, Employee's duties shall include those duties and services for the Company and its affiliates as the Board or the Company's Chief Executive Officer or President shall, in their sole and absolute discretion, from time to time reasonably direct.
2.3 After Company gives Employee notice of termination under Section 4 herein and during any period Employee is receiving severance compensation under Section 5 herein, Company may instruct Employee to stop performing services hereunder or may require Employee to perform such administrative, training or other functions as Company may reasonably regard as necessary or appropriate to facilitate transition and minimize the adverse impact to Company Group.
