Inspection, Testing and Acceptance. (a) Any inspection by Purchaser of Equipment on ABB's premises shall be scheduled in advance to be performed during normal working hours and subject to rules and regulations in place at the ABB premises.
(b) If the purchase order provides for factory acceptance testing, ABB shall notify Purchaser when ABB will conduct such testing prior to shipment. Unless Purchaser states specific objections in writing within ten (10) days after completion of factory acceptance testing, completion of the acceptance test constitutes Purchaser's factory acceptance of the Equipment and its authorization for shipment.
(c) If the purchase order provides for site acceptance testing, testing will be performed by ABB personnel to verify that the Equipment has arrived at site complete, without physical damage, and in good operating condition. Completion of site acceptance testing constitutes full and final acceptance of the Equipment. If, through no fault of ABB, acceptance testing is not completed within thirty (30) days after arrival of the Equipment at the site, the site acceptance test shall be deemed completed and the Equipment shall be deemed accepted.
Inspection, Testing and Acceptance. Prior to delivery of any Goods, the Contractor must conduct pre-installation testing to confirm that all Goods have no apparent defects. All Goods and Services are subject to final inspection and acceptance by the County. In the event of nonconforming Goods and/or Services, the County may elect to do any or all of the following: a) waive the non-conformance; b) stop the work immediately; c) require the Contractor to bring Goods and Services into compliance; and/or d) terminate the Contract and seek all remedies available in law and in equity. The Contractor agrees to diligently correct any work and replace any Goods and Services or make alternations necessary to meet specification requirements free of cost to the County. Inspection, testing, acceptance, or use of the Goods and Services will not affect the Contractors obligation under the warranty. All warranties shall survive inspection, testing, acceptance, and use.
Inspection, Testing and Acceptance. A. Products purchased pursuant to this Agreement shall be subject to inspection, testing, and acceptance by Buyer, which shall occur within [*] of delivery of Product.
B. All Products built by Seller for Buyer will have a specific set of Product testing procedures and acceptance criteria as currently in place at the Salt Lake City facility or as otherwise agreed to by both Parties. Upon request of either Party, the Parties will cooperate to document such procedures and criteria in writing. Should Products or Seller's processes be found to be non- conforming, Seller will withhold shipping Product until such non-conformance is resolved to Buyer's reasonable satisfaction. Buyer will not be responsible for Products that fail to meet agreed upon acceptance criteria.
C. All Products are subject to Buyer's inspection and test at Buyer's facility before final acceptance. Buyer has a [*] acceptance period after delivery. In the event of a non-conforming order (i.e. failure to meet Purchase Order or failure to meet warranty), Buyer has the right to reject the order in whole or in part within such [*] period.
D. Upon two (2) business Days' notice, Buyer shall have the right to perform vendor qualifications and/or on-site inspections at Seller's manufacturing facilities during Seller's normal business hours. If an inspection or test is made on Seller's premises, Seller shall provide Buyer's inspectors with reasonable facilities and assistance at no additional charge. In the event that any on-site inspection of the Products indicates that the Products do not conform to the requirements of this Agreement, Seller shall not ship such Products to Buyer until such nonconformity has been corrected to Buyer's reasonable satisfaction and Buyer has approved shipment of such Products in writing. This does not preclude, prevent or limit Buyer's right to perform acceptance testing at Buyer's facilities.

Inspection, Testing and Acceptance. All services shall be subject to inspection and testing by Water System at all reasonable times and places. The expenses of inspection and/or testing performed by Water System shall be paid by Water System, but shall be reimbursed to Water System by Contractor if the services tested or inspected do not conform to the specifications of this Agreement and such non-conformity results in rejection of the services by Water System. Inspection and acceptance by Water System does not relieve Contractor from any responsibility regarding defects of other failures to meet Agreement requirements. Nothing herein is intended to require Water System to perform any inspection or testing.

(b) If the applicable purchase order or purchase agreement provides for factory acceptance testing, ZBB shall notify the Ordering Party when ZBB will conduct such testing prior to shipment. Unless the Ordering Party states specific objections in writing within ten (10) days after completion of factory acceptance testing, completion of the acceptance test constitutes the Ordering Party’s factory acceptance of the Products and its authorization for shipment.
(c) Promptly after delivery of the Products to the Ordering Party, the Ordering Party shall ship the Products to the destination where they are to be installed. The Ordering Party shall use all reasonable efforts to obtain all applicable permits for the installation and operation of the Products and the system in which the Products are to be installed within forty-five (45) days of arrival at the destination. The Ordering Party shall inspect the Products during the un-crating and, if any damage to the Products is found, the Ordering Party shall immediately notify ZBB in writing in order that ZBB and the Ordering Party can jointly determine the root cause and responsibility therefor prior to proceeding. If ZBB is responsible for such damage, then, as the Ordering Party’s sole and exclusive remedy, the Ordering Party shall return the damaged Products to ZBB for repair or replacement or, if repair or replacement is commercially impracticable, a refund of the original purchase price, freight collect, at ZBB’s option. If the Products are undamaged and once the applicable permits are obtained, the Ordering Party shall move the Products to the location of the installation and issue a written notice to proceed to ZBB. ZBB shall send a representative to the installation site to complete the installation and commissioning of the Products (i.e., perform all electrical hookups and run a test charge/discharge). The Ordering Party shall provide ZBB with all assistance reasonably required for ZBB’s representatives to be present at the installation, if the installation site is outside of the United States, including assisting in obtaining any work visas that may be necessary. Inspection, Testing and Acceptance. UTSI shall perform a structured testing programme in accordance with the provisions of Schedule F which shall be sufficient to demonstrate to the satisfaction of TTL that the Equipment, or any Element meet the requirements of the Agreement and to achieve all Acceptances of the Element. Such testing shall comprise off-site tests and on-site Acceptance tests to achieve Acceptance. The Acceptance Test Plan shall be proposed by UTSI and shall be reviewed and approved by TTL. Same is detailed in Schedule E. Testing at UTSI’s factory (“Factory Acceptance Testing”)
7.1.1 The purpose of Factory Acceptance Testing is to verify that the Equipment/Element production is satisfactory and that the Equipment/Element is ready to be shipped to TTL.
7.1.2 UTSI shall perform Factory Acceptance Testing in accordance with the test Plan of UTSI prior to Shipment.
7.1.3 TTL shall have the right to witness Factory Acceptance Testing. An inspection plan will be agreed to by UTSI and TTL so as to minimise disruption to UTSI’s activities and overall project schedule.
7.1.4 TTL may witness the production and testing procedures in general to verify that UTSI is deploying all quality controls to deliver the Equipment/Element conforming to specifications and standards specified in the Agreement. TTL shall bear all the costs and expenses including travelling, boarding, lodging expenses and out of pocket expenses in respect of such personnel sent to witness such testing.
7.1.5 Notwithstanding the fact that TTL has witnessed Factory Acceptance Testing or not, the UTSI shall provide to TTL the Factory Acceptance Test Results and will make best to provide the same in [***] days of the completion of such testing.
7.1.6 No test or examination of any of the Equipment/Element whether witnessed, agreed or otherwise organised or carried out by TTL shall release UTSI from its obligation to carry out the On-Site Tests or to perform any of its other obligations as set out in and in accordance with the provisions of the Agreements.

To confirm that the Goods comply with the Technical Specifications, the Supplier shall have the right to inspect and test the Goods at any time during manufacture and prior to shipment, and to inspect and test the Goods on or within a reasonable time after Delivery Date or Dates. The Supplier or its subcontractor(s) shall furnish all reasonable facilities and assistance, including access to drawings and production data and other relevant documents at no cost to GGGI. Details of the inspection and/or testing that GGGI requires, if there are any, shall be specified in Annex A. The GGGI may reject the Goods when they are evaluated to be inadequate or not conforming to the Technical Specifications provided in Annex A. GGGI shall ask the Supplier to either rectify or modify/improve or replace the Goods, as necessary, and at no cost to GGGI, to meet the required specifications. If the inspection and/or testing reveals that the Goods fully meet the Technical Specifications, GGGI shall accept the Goods by issuing a letter signed by the appropriate GGGI official certifying that the Goods were evaluated and found to be delivered according to the terms of the Contract. Such acceptance (“Final Acceptance”) shall not relieve the Supplier of the warranty obligations under this Contract. In case the Goods do not satisfy the Technical Specifications in spite of the Supplier's continual remedying, GGGI shall, after mutual discussion, be entitled to return the Goods to the Supplier. In this case, the Supplier shall refund the full amount prepaid for any rejected Goods and shall indemnify GGGI against all losses, damages and any additional expenses that GGGI incurred to repair or replace the defective Goods. The Supplier's consent to the inspection and/or testing of the Goods or inspection of any spare parts shall not release the Supplier from its warranties or other obligations under the Contract. Unless otherwise agreed, the risk of loss and title to the Goods pass to GGGI upon the Final Acceptance.
