Operations Planning. The Consultant shall assist the County in planning for the operation and maintenance of the completed facility.
Operations Planning. The Parties agree to plan the production under each Supply Agreement in accordance with the following principles:
1. On October 1 of each year during the term of each Supply Agreement, Hershey will provide to Callebaut an estimate of the twelve (12) month demand for the upcoming calendar year (January to December) by Product (the “Annual Estimate”).
Operations Planning. A) Callebaut shall deliver Products meeting all Hershey Quality Specifications to Hershey’s designated plant and receiving station.
B) The procedure for determining annual, quarterly, weekly and daily demands for the Products manufactured by Callebaut at its Monterrey facility is described in the Master Agreement.
C) An estimate for the first eighteen (18) months of Product demand is attached hereto as Exhibit V-M.
D) The Parties agree that there are maximum quantities of Products that Callebaut can deliver in a given period of time. Such quantities are described in Exhibit VI-M. The minimum quantity of Product that will be delivered to Hershey by Callebaut will be one (1) full 5,000-gallon (approximately 48,000 lbs or 21,800 Kg) tanker load unless pre-approved.
E) The Parties will develop procedures to enable visibility to each other’s demand and inventory information.
F) Callebaut will provide a fleet of trucks and tankers capable of delivering the Products. Unless otherwise specified herein, Callebaut shall be responsible for all costs associated with delivery of the Products.
G) Callebaut’s fleet of tankers will be capable of unloading at least 60 gallons per minute of Product. Hershey will be responsible for providing sufficient pumps, hoses and connections to empty the tankers at this rate. Callebaut will at its cost retrofit any tankers in its fleet with the appropriate fittings and discharge devices to match Hershey’s receiving equipment at Callebaut’s cost.
H) Callebaut shall inspect all tankers shipping the Products and shall reject any carrier not meeting the Hershey Specifications. Callebaut shall be responsible for cleaning and sanitizing tankers on an agreed upon frequency.
I) Callebaut will maintain adequate and accurate shipping records in order that Product lots on all shipments may be traced.
J) All shipments of Product shall meet the standard of identity for the planned Product.
Operations Planning. Review Systems Integrator submittals and obtain manufacturer warranties, as-built drawings, and training materials and manuals required under the Contract. Provide oversight and review of training manuals, coordinate training sessions participation provided by the Systems Integrator, and review attendance and training completed by the training participants. Review operations manuals and toll facility startup by the Operator. Coordinate activities of the Operator and toll facility operations with the remaining construction activities of the Design-Builder.

3.2.1. On or before [**] of each year during the Term, Hershey will provide to Xxxxxxxxx the plan of the 12-month demand for the upcoming calendar year (January to December) by Product and Facility (the “Annual Plan Volume”). The Annual Plan Volume does [**]. Once agreed by the Parties, the Annual Plan Volume will be accessible via the Hershey Vendor Portal and will become effective on January 1st of the subsequent year. Additionally, for all Facilities, Hershey will further identify via Orders, the daily shipments, inclusive of Saturdays, Sundays and non-business days if Hershey requires shipments on such days. Except as set forth in this Section 3.2 and in a Facility Addendum, such Forecasted Production Plan is [**].
3.2.3. Hershey [**] from Callebaut (i) only the [**] production of Paste Products reflected in the relevant Forecasted Production Plan for the Facilities for [**] after such Forecasted Production Plan was received and the [**]; and (ii) the [**] production of [**] and Intermediate Ingredients and Finished Products reflected in the relevant Forecasted Production Plan. The operations planning group is responsible for developing proposed service plans/schedules that will impact the Peninsula Rail Corridor during the implementation of the high speed rail program. The group will: • Provide input into and review the development of rail service operating scenarios for the Peninsula Rail corridor, which requires coordination between Caltrain, CHSRA, and TJPA; • Review and approve a proposed service plan that considers Caltrain, high-speed trains, freight, and other commuter/intercity passenger rail that currently operates in the corridor. The PRP will seek input from operators (ACE, Amtrak Intercity, BART. Capitol Corridor, Union Pacific, VTA) on the project at critical milestones; • Oversee the development of a proposed fleet transition plan, which includes the transition from diesel-powered to electric- powered equipment and the introduction of high-speed trains; • Oversee the development of a proposed service reliability plan to maintain a minimum acceptable level of passenger service during periods of construction and an acceptable pace of construction; and • Develop and propose a process for system access by CHSRA contractors including the allocation of support staff, work windows, roadway worker protection and safety training. • Support Activities include:
