Management Process. 6.1 On the Closing Date, each party shall designate a project manager (a “Project Manager”) to report and discuss issues with respect to the provision of the Services. The Project Managers shall meet to discuss the performance of the Services as often as reasonably necessary to ensure the orderly provision of the Services, and in any event at least weekly, and shall have authority to address and remedy problems related to the provision of the Services. Each party shall designate successor Project Managers in the event that a designated individual is not available to perform such role hereunder.
6.2 In the event that any dispute arises under this Agreement, the parties agree to negotiate in good faith to resolve such dispute prior to seeking other relief. Either party may at any time deliver a notice to the other party that it wishes to refer a dispute to the Project Managers. Following receipt of such notice, the Project Managers shall negotiate in good faith to resolve such dispute within a period of two (2) days (or such longer period of time as such Project Managers may agree in writing). If at the end of such period, the Project Managers have not fully resolved the dispute, the Purchaser may undertake to rectify the matter in dispute, including but not limited to providing the Services in dispute, provided that if Purchaser undertakes to address the matters in dispute, the Seller will be responsible for the all costs incurred by Purchaser by reason of being required to rectify the matters in dispute and/or to provide such Services, provided further, that Seller shall be responsible for losses incurred by Purchaser as a result of Seller’s failure to provide such Services. For the avoidance of doubt, costs and losses incurred by Purchaser as a result of the failure to provide the Services required by this Agreement will be reimbursed to Purchaser first through disbursement of the Holdback Amount and second, in the event the costs and losses incurred by Purchaser exceed the Holdback Amount, from the Seller.
Management Process. Managers, supervisors or co-workers should not attempt to make judgements on a perceived medical condition or problem. Comments and assessment should be limited to fitness for work and the activity to perform work or associated duties. Where the use of alcohol or other drugs is identified as a problem in the workplace, the company will: 📬 advise the employee that his or her performance or conduct is unsatisfactory and that disciplinary action may be taken if the problem is not resolved; 📬 facilitate the employee in seeking access to counselling, treatment and rehabilitation to address the problem; 📬 assist, where reasonably practicable, an affected employee who is prepared to undertake rehabilitative treatment by temporarily adjusting workloads and/or performance expectations until the employee is able to resume the inherent requirements of the position; 📬 maintain normal confidentiality and privacy including, wherever possible, of any records and information regarding alcohol or drug related problems disclosed voluntarily to the company by the affected employee or becoming known to the company; 📬 apply relevant disciplinary action where the employee, for example, refuses to address the alcohol or drug related problem, or the problem continues; 📬 disciplinary action may mean termination of employment. Further, any employee who is observed at the workplace, coming to or returning to work in an obviously impaired condition will be removed from the work place or not permitted to enter the workplace. In such a case, a responsible manager or supervisor will provide or arrange for transportation home for the employee.
Management Process. If the Secretary issues a waiver under paragraph (1), the academic liaison designated pursuant to subsection (g) of section 1286 of the Xxxx X. XxXxxx National Defense Authorization Act for Fiscal Year 2019 (10 U.S.C. 2358 note), as amended by section 1299C of this Act, shall manage the waiver process on behalf of the Secretary.

Following receipt of such notice, the Project Managers shall negotiate in good faith to resolve such dispute within a period of ten (10) days (or such longer period of time as such Project Managers may agree in writing). If at the end of such period, the Project Managers have not fully resolved the dispute, the Project Managers shall within ten (10) days appoint one expert satisfactory to both Parent and Purchaser to mediate the dispute and shall share equally the costs thereof. If within twenty (20) days following the appointment of such mediator the parties have not fully resolved the dispute, either party may seek relief in accordance with Section 19.
Management Process. The managers for the IIPL MCAD projects shall work at the direction of USI Solid Edge Product Business Unit ("PBU") technical managers regarding day-to-day issues (e.g. status reports, conference calls, schedules, work definition, delivery, etc.
Management Process. Upon the signing of a definitive outsourcing agreement, the most critical process has just begun. Failure to vigilantly monitor and manage an outsourced relationship is a recipe for disaster. Often, the remedies offered a Licensee under an outsourcing arrangement are only triggered upon notification from the Licensee.

Management Process. 27.1 If any disputes or disagreements between Contractor and IBM shall arise relating to issues relative to the provisions stated in (d) below or in any provisions that require or permit a party to invoke this Section, the following procedures shall apply:
(a) if the issue is related to a specific Site, Contractor shall give written notification of such dispute or disagreement to the IBM Senior Location manager and a copy to IBM Procurement and IBM shall give written notification of such dispute or disagreement to the Contractor's Executive Management, with a copy to IBM Procurement.
(b) if the issue is related to the Agreement generally, Contractor shall give written notification of such dispute or disagreement to both IBM Procurement and the IBM Executive for Real Estate Site Operations and IBM Procurement shall give written notification of such dispute or disagreement to the President of the Contractor;
(c) the representatives listed in (a) and (b) above shall communicate with each other promptly with a view of resolving such dispute or disagreement within sixty (60) days of commencing their negotiations (or such extended period as they agree is appropriate).
(d) The process described above shall apply to any dispute or disagreement related to additional costs, budgets, Section 12.1, Article 19 and any other item that the representatives of both parties may agree to subject to this process.
Management Process. The development of technology following the ACDC architectural model implies that the management and control of the TDF applies to the upper layers, i.e. at the ACDC Solution and ACDC Service levels. The TDF does not control the individual ACDC tool development process and that responsibility falls on the corresponding tool owner. At this level, the TDF can only provide the guidelines and specifications necessary to ensure the correct integration, delivery and operation. The TDF management process focuses on coordinating the steps that have to be taken in order to integrate individual tools into the ACDC Solution and make it operative. The TDF management is done at different levels, as it is outlined in the diagram showed in Figure 23.
