Membership Tiers. The Network Administrator, in its sole discretion, may but shall not be required to offer membership tiers, which may include additional benefits. Such benefits may include but are not limited to last minute unit upgrades, advance access to unique acquired inventory, waiver of certain fees, and rebates and discounts on other products and services and may be offered on a first-come, first-served basis. Any additional fees which may be required and the availability, type and quantity of such benefits shall be determined by the Network Administrator, in its sole discretion, and may change from time to time without advance notice to the Member. The Network Administrator may discontinue offering or administering any such membership options beyond their current term and benefits therein, any time, in its sole discretion. Membership tiers may be subject to additional terms and conditions and other restrictions may apply. Transactions may require a combination of fees, cash paid and/or RCI Points, and may be subject to applicable taxes. Some products and services may be provided by third parties and may be subject to separate terms and conditions of such third parties. RCI does not warrant and is not liable for the availability, value or safety of any such third party benefits. If membership tiers are available to Members, terms and conditions of such alternative membership options, including pricing information can be found at xxx.xxx.xxx. Membership tiers may not be available to all Members.

Membership Tiers. Membership Tiers are based on the Member’s gross annual revenue for the year prior to their admission as a Member and, for each subsequent year, gross annual revenue for the year preceding their Membership renewal. Members will determine and report to Prebid with each renewal their gross annual revenue. For purposes of this Agreement, “gross annual revenue” is defined as the aggregate global gross revenue of the Member and its controlled or wholly-owned subsidiaries, for the Member’s most recently ended fiscal year, determined consistent with GAAP.
Membership Tiers. There are five (5) membership tiers, namely Dropshipper, Sales Consultant, Distributor, Main Dealer, Partner and Exclusive Partner, which you will achieve once you have made the payment of the deposit and acquisition price determined for each membership tier. In order to maintain your membership tier, you must comply with the top-up system implemented for each membership tier, failing which you will be classified as Dropshipper in the subsequent month automatically without any notice and all the benefits and conditions applicable to Dropshipper shall apply simultaneously. Depending on your tier status, you will be entitled to a host of exclusive benefits. You consent to the jurisdiction of the Center. Any discipline imposed by the Center or USA Gymnastics extends to your participation in all aspects of the Olympic Movement. You agree that any disciplinary measure, whether interim or final, whether imposed before or after the date of this Agreement, whether expired or in effect, may be posted on our website or otherwise publicly published and may include information identifying you and describing the misconduct alleged. You authorize USA Gymnastics and its members to disclose, in good faith, any information or honestly held opinions about you, including without limitation any membership records, USA Gymnastics SafeSport or Center information, or other disciplinary information, with any current or potential employer of yours. You further agree that USA Gymnastics may disclose any information provided by, or about, you as USA Gymnastics determines is reasonably necessary to comply with any law, regulation, legal process, or any request by any governmental body or agency, the Center, or the United States Olympic and Paralympic Committee (“USOPC”). TO THE MAXIMUM EXTENT ALLOWED BY LAW, YOU FOREVER RELEASE AND DISCHARGE USA GYMNASTICS AND/OR ITS MEMBERS FROM ANY AND ALL LOSS, LIABILITY, DAMAGE OR CLAIM OF ANY KIND OR NATURE, WHETHER KNOWN OR UNKNOWN, WHETHER IN LAW OR IN EQUITY, WHETHER NOW EXISTING OR ACCRUING IN THE FUTURE, ARISING OUT OF OR IN CONNECTION WITH ANY INFORMATION OR OPINIONS DISCLOSED IN ACCORDANCE WITH THIS SECTION.

  • Transfer of Membership Membership shall not be transferred except with the approval and consent of the Board of Managers and in accordance with the Capital Units Transfer System.
