MINIMUM CONTRACT AMOUNT/MAXIMUM QUANTITY. The following minimum and maximum ordering obligation are anticipated for contract award under this solicitation/contract. Minimum Ordering Obligation: $100,000 Maximum Ordering Obligation: 47,580 Hours The Government has no obligation to issue Delivery Orders (DO’s) to the Contractor beyond the minimum ordering obligation specified above. The terms, conditions, clauses and provisions contained in this solicitation/contract shall be applicable to the contract and DO’s issued under this contract, unless otherwise specified by an individual DO. The terms and conditions provided within this document are intended to cover the various situations, which may occur during performance. Other terms and conditions may be specified in a DO that are applicable only to that particular DO, depending on the circumstances. PART I - SECTION C SCOPE OF WORK C.1 SCOPE This Statement of Work (SOW) specifies the support and services required within the Engineering Development Services Navigation Team AJP-652 necessary to accomplish its mission. The Navigation Team requires the identified support and services in three areas: Local Area Augmentation System (LAAS); XXXXX (including XXXXX-C and E-XXXXX); and the Transponder Landing System (TLS). This SOW defines requirements, deliverables, schedule, and documentation required to support these areas. The Satellite Navigation support required is divided into three subtasks: Support the operation, maintenance, and upgrade of the Local Area Augmentation System (LAAS) Test Prototype (LTP), located at the FAA Technical Center. Support Standards evaluation, LAAS Contract evaluation, and System Design Approval (SDA) support of the GPS Local Area Augmentation System (LAAS). Support the evaluation of LAAS performance using data collected from the National Satellite Test Bed (NSTB) and Wide Area Augmentation System (WAAS). Note that tasks may be assigned in accordance with the Acquisition Management System (AMS) Test and Evaluation (T&E) Process Guidelines, and other related guidelines as necessary. Locations The Contractor shall perform the work activities described in this SOW on-site at the Xxxxxxx X. Xxxxxx Technical Center (WJHTC) and/or offsite as required.   • Contract Quantity The Contract Quantity during each Contract Year is the amount set forth in the applicable Contract Year in Section D of the Cover Sheet (“Delivery Term Contract Quantity Schedule”), which amount is inclusive of outages.

  • Contract Amount Compensation amount(s), when stated in this Bid Specifications, shall not be construed as either the maximum or minimum amount which Department shall be obligated to accept as the result of this Bid Specifications or any Agreement entered into as a result of this Bid Specifications.

  • Contract Year A twelve (12) month period during the term of the Agreement commencing on the Effective Date and each anniversary thereof.

  • Total Contract Amount The contract total shall not exceed $350,000. Pricing shall be per Exhibit E attached.

  • MINIMUM ORDER QUANTITY The State makes no commitment to purchase any minimum or maximum quantity, or dollar volume of products from the selected suppliers. Utilization of this agreement will be on an as needed basis by State Agencies and/or Cooperative Participants, Cities, Counties, Schools K-12, Colleges and Universities. The State will award to multiple suppliers; however, the State reserves the right to purchase like and similar products from other suppliers as necessary to meet operational requirements.

  • C1 Contract Price In consideration of the Contractor’s performance of its obligations under the Contract, the Authority shall pay the Contract Price in accordance with clause C2 (Payment and VAT).

  • Maximum or Minimum Interest Rate If specified on the face hereof, this Note may have either or both of a Maximum Interest Rate or a Minimum Interest Rate. If a Maximum Interest Rate is so designated, the interest rate for a Floating Rate Note cannot ever exceed such Maximum Interest Rate and in the event that the interest rate on any Interest Reset Date would exceed such Maximum Interest Rate (as if no Maximum Interest Rate were in effect) then the interest rate on such Interest Reset Date shall be the Maximum Interest Rate. If a Minimum Interest Rate is so designated, the interest rate for a Floating Rate Note cannot ever be less than such Minimum Interest Rate and in the event that the interest rate on any Interest Reset Date would be less than such Minimum Interest Rate (as if no Minimum Interest Rate were in effect) then the interest rate on such Interest Reset Date shall be the Minimum Interest Rate. Notwithstanding anything to the contrary contained herein, the interest rate on a Floating Rate Note shall not exceed the maximum interest rate permitted by applicable law.

  • Minimum Commitment If for a certain Service a minimum commitment has been determined in the Agreement, the Customer guarantees to respect the minimum commitment described in the Agreement during the entire period of the Agreement. If the Customer does not respect this minimum commitment, the Customer shall pay the compensation mentioned in the Agreement. If no compensation has been mentioned in the Agreement, the Customer has to pay the applicable Charges for the respective Service, or the average of the applicable Charges if different Charges are applied for the respective Service, per missing number of its minimum commitment. Services that are timely cancelled by the Customer or Services for which the Customer has paid a cancellation fee , do not, even not partly, release the Customer from its obligation to respect the minimum commitment . Services cancelled as due to Force Majeure and Services cancelled by Lineas for other reasons than Force Majeure, will be considered as a Services ordered and paid for by the Customer. Services cancelled by the Customer or by Lineas because of holidays do not, even not partly, release the Customer from its obligation to respect its minimum commitment.

  • Minimum Amounts and Maximum Number of Eurodollar Tranches Notwithstanding anything to the contrary in this Agreement, all borrowings, conversions, continuations and optional prepayments of Eurodollar Loans hereunder and all selections of Interest Periods hereunder shall be in such amounts and be made pursuant to such elections so that, (a) after giving effect thereto, the aggregate principal amount of the Eurodollar Loans comprising each Eurodollar Tranche shall be equal to $5,000,000 or a whole multiple of $1,000,000 in excess thereof and (b) no more than ten Eurodollar Tranches shall be outstanding at any one time.

  • Guaranteed Maximum Costs The City’s payment obligation to Contractor cannot at any time exceed the amount certified by City’s Controller for the purpose and period stated in such certification. Absent an authorized Emergency per the City Charter or applicable Code, no City representative is authorized to offer or promise, nor is the City required to honor, any offered or promised payments to Contractor under this Agreement in excess of the certified maximum amount without the Controller having first certified the additional promised amount and the Parties having modified this Agreement as provided in Section 11.5, “Modification of this Agreement.”
