Other Benefits Upon Termination. Subject to the foregoing, the Executive’s participation in (if any) and rights under (if any) any Company employee benefit plans and programs upon and after any termination of the Executive’s employment by either party for any or no reason (including without limitation under the LTIP and any Restricted Stock Award Agreement(s) executed thereunder) will be governed by the terms and conditions of those plans and programs (as in effect or amended from time to time).
Other Benefits Upon Termination. Unless the Executive is terminated for Cause, Executive shall receive and be eligible to participate, until January 2, 2012, in the Plans, fringe benefits and other benefit programs on terms no less favorable than provided to other senior managers and officers of Cedar Fair. In the event that participation in any such Plan, fringe benefits or other benefit programs is barred, Cedar Fair shall arrange to provide the Executive with benefits substantially similar to those which he otherwise would have received had he remained employed through the Term of Employment.
Other Benefits Upon Termination. All benefits to which Xxxxxxxx is entitled under this Agreement shall cease upon Xxxxxxxx’x termination in accordance with this Section VI, unless expressly continued under other provisions in this Agreement, under any specific written policy or benefit plan applicable to Xxxxxxxx, or unless otherwise required by law.
Other Benefits Upon Termination. The Employee's accrual of, or participation in employee benefit plans will cease at the effective date of the termination of this Agreement, and the Employee will be entitled to accrued benefits pursuant to such plans as provided in such plans or as required under applicable law. Except in the case of termination by the Corporation for Cause, the Employee will receive compensation for any vacation, holiday, sick leave, or other leave unused as of end of the month in which the termination of employment occurs.
Other Benefits Upon Termination. In the event that the Executive's employment is terminated pursuant to Sections 9.1, 9.2, or 9.5, then the Executive (or Executive's beneficiary or estate in the case of termination pursuant to Section 9.2) shall also be entitled to annual incentive compensation as set forth in Sections 5.2 and 5.3, as applicable and prorated as of the date of termination. All payments required to be made by the Company to the Executive pursuant to this Section 10 shall be paid in the manner and at the times specified in Section 5.1 hereof save and except where they are expressly set forth in this section.
Other Benefits Upon Termination. Executive will be paid Executive’s unused 61 vacation days at the same time as Executive’s August 2019 salary (calculated using Executive’s FY2019 bonus and an annual entitlement rate of 10.64%). In addition, Executive can stay in the Company's apartment in Divonne-les-Bains until October 31, 2019. Executive is authorized to keep his mobile phone (following the deletion of any Company confidential information and execution of the Company’s standard wipe protocols) and the Company shall take the necessary steps in order to have the phone number transferred to the Executive.
Other Benefits Upon Termination. Upon any termination of Executive’s employment hereunder, Executive shall be entitled to such rights in respect of any employee benefit plan in which Executive participates (including, without limitation, health and life insurance coverage and participation in retirement, savings, deferred compensation and stock purchase plans but excluding any plan or program providing for equity awards (other than to the extent specifically provided herein), and only to such rights, as are provided by such plan or program or by law in the prevailing circumstances (and to any other rights as may be provided by any other written agreement or arrangement with the Company in respect of a termination of his employment approved by the Board of Directors and applicable in the prevailing circumstances). Executive shall also retain all of his rights under Sections 4.06(a), 4.07, 4.08 and 4.09 hereof, notwithstanding the reason for termination of his employment. In addition, if the Employment Period ends before February 2, 2009, the Company shall continue to provide Executive with the same health insurance benefits he was entitled to during his employment, or reimburse him for the COBRA continuation expense he incurs in continuing such coverage at his own expense.
Other Benefits Upon Termination. 4.1 Effective April 30, 1999 Mattel will forgive the principal amount and accrued unpaid interest on Xxxxx'x outstanding loan.
Other Benefits Upon Termination. On the effective date of any termination of Employee's employment hereunder (other than a termination for cause or due to death), (i) the Company and the Bank shall transfer title to Employee's membership in Greenbriar Hills Country Club to Employee; and (ii) Employee shall receive the title to the automobile then being provided to him in accordance with Section 5(b)(iii)(D).
Other Benefits Upon Termination. Upon any termination of Executive’s employment hereunder, Executive shall be entitled to such rights in respect of any employee benefit plan in which Executive participates (including, without limitation, health and life insurance coverage and participation in retirement, savings, deferred compensation and stock purchase plans but excluding any plan or program providing for equity awards referred to in subsection 6.03 or any plan or program referred to in subsection 6.05), and to only such rights, as are provided by such plan or program in the prevailing circumstances (and to any other rights as may be provided by any other written agreement or arrangement with the Company in respect of a termination of her employment approved by the Board of Directors and applicable in the prevailing circumstances).
