Participant Materials materials in any medium intended to inform participants of benefits, procedures, providers, budget calculations, including but not limited to brochures or other materials used by or on behalf of a Contractor to communicate with participants.
Participant Materials. Trainer agrees to purchase and provide approved participant materials for each participant in a HeartMath Branded Workshop, as specified in Exhibit A. Medical Disclaimer—Because HeartMath research and techniques relate to mental, emotional and physical health Trainer agrees to act in accord with the following HeartMath policy and not make any claims contrary to this policy: Independent Contractor—Trainer is an independent contractor, and is responsible for paying appropriate federal and state taxes and all costs associated with Trainer’s business. Trainer is responsible for its success, independent of HeartMath/HeartMath Benelux. Trainer shall carry liability insurance for its business. If Trainer has employees, Trainer agrees that they will follow the terms of this agreement. HeartMath/HeartMath Benelux does not make any warranties or representations as to the success of Trainer’s independent business. Confidentiality—Trainer understands that as a licensee, Trainer may learn of confidential information regarding HeartMath/HeartMath Benelux and/or its customers or prospects. Trainer agrees not to divulge any confidential information regarding HeartMath/HeartMath Benelux and/or its customers at any time during or following the term of this agreement. Trainer shall advise HeartMath/HeartMath Benelux immediately in the event of any loss or inadvertent disclosure of such information. Trainer agrees not to publish, any conclusions, summaries, or profiles regarding work done using HeartMath/HeartMath Benelux technology without the written consent of HeartMath/HeartMath Benelux, which shall not be unreasonably withheld. Publication of research findings must be reviewed and approved by HeartMath/HeartMath Benelux prior to publication. Term—This agreement is valid for one year and will automatically renew for additional 1 year periods provided 1) All fees owed to HeartMath/HeartMath Benelux are current, 2) You are actively teaching HeartMath techniques to your clients. This could be demonstrated by attending the yearly professionalization day that HeartMath Benelux will organize or the purchase of approved 1-on-1 workbooks and HeartMath products and 3) Trainer has followed the requirements in Exhibit A. Participant Materials. Participant materials are defined in Article I, Definitions. Participant materials shall be accurate, readily accessible, appropriate for, and easily understood by the Contractor target population. All materials produced and/or used by the ICAs and FEAs must be understandable and readable for the average participant and reflect sensitivity to the diverse cultures served. The Contractor must make all reasonable efforts to locate and use culturally appropriate material. Materials shall take into account individuals who are visually limited or who are limited English proficient. Participant materials shall be available to participants in paper form, unless electronic materials are available, the participant or the participant’s legal decision maker prefers electronic materials, and the electronic materials meet the requirements in section 3 below. All materials produced and/or used by the Contractor must: Use easily understood language and format. Use a font size no smaller than 12 point. Be available in alternate formats and through the provision of auxiliary aids and services upon request and at no cost. The Contractor may provide participants with materials using electronic media only if all of the following requirements are met: Permission to Receive Materials Electronically
i. Contractor must have obtained the participant’s consent to receive materials electronically. This can be gathered either on paper (and uploaded to the participant’s WISITS record) or can be provided over the phone, but in this instance, the Contractor must document this approval in a case note within the participant’s record in the Department’s case management system (WISITS).
ii. Contractor must have safeguards in place to ensure delivery of electronic materials is in compliance with confidentiality laws, and: Participants must be able to opt out of receiving electronic communications upon request. Participant contact information must be current and materials are sent timely, with important materials identified in a way that participants understand their importance. Contractor must have a process for mailing of hard copies when electronic communications are undeliverable. The format is readily accessible;
i. The information is placed in a location on the Contractor’s website that is prominent;
ii. The information is provided in an electronic form which can be electronically retained and printed;

Participant Materials. Client agrees to purchase Materials for each Authorized Participant that it trains in the Trust Edge Experience. At a minimum, each Authorized Participant is required to have a participant workbook and participant toolkit for each session presented. Pricing for materials is to be based on Xxxxxxxx Leadership’s current rates, subject to change without notice, and Client is responsible for all shipping costs for the materials. The Material shall be presented by at least one Certified Facilitator.
Participant Materials. The approved Training Provider shall acquire participant manuals as required by the program directly from IHSA at the price established for the material. IHSA has the right to limit quantities of participant manuals ordered at any one time. All participant manuals or other material shall be ordered by the Training Provider and shall be delivered to the registered address of the Training Provider. All training materials and participant manuals are offered in English only.

CitiStreet shall not, without notice to the Adviser, make representations concerning the shares of the Funds except those contained in the then current prospectus and in current printed sales literature approved by the Adviser or the Funds. Licensees shall reproduce and prepare all participant materials (“Participant Materials”) only from the Master Participant Materials. Neither Rejoice, Xxxxx, Xxxxx & Tan nor Licensees shall revise, modify, delete or translate, in whole or in part, any portion of the Master Participant Materials without the written authorization of Online. All Participant Materials shall include an appropriate copyright notice stating that the copyrights in the Participant Materials belong to Online’s parent company, INVESTools Inc.
Participant Materials. 27.1 All Intellectual Property furnished to or made available to the Contractor by or on behalf of the Participant (the “Participant Materials”) shall, as between the Participant and the Contractor, remain the property of the Participant.
27.2 The Contractor shall not, and shall ensure that the Staff do not: use the Participant Materials except where necessary for the performance of obligations under this Call-off Contract; or disclose the Participant Materials except where necessary for the performance of obligations under this Contract, having obtained the Approval of the Participant.

Participant Materials. Administrator shall develop and mail Participant materials (except for the SPD if Client is governed by ERISA) as required by 42 C.F.R 423.128 unless Client is subject to ERISA. If Client is subject to ERISA, Client attests that it is in full compliance with all applicable ERISA laws and regulations and agrees to provide attestation or reasonable documentation to support compliance upon reasonable the written request of Administrator or CMS including the provision of Client’s current Summary Plan Description (“SPD”) including any material modifications if applicable for review to ensure consistency with CMS required Participant Materials. Administrator shall post the SPD to the Client’s portal for review by Participants at Client’s request. Such materials will consist of CMS compliant model templates. These materials may only be customized using Client branding, Client contact information (where required) and Client variable paragraphs that explain any Client-specific eligibility/plan rules. Administrator may update materials from time to time to comply with CMS requirements or due to changes in Administrator processes. Administrator will provide Client with template copies of such materials, including any updated materials. Should Client send any additional materials to Participants, such materials must first be approved by Administrator. As set forth under the CMS Contract, the parties agree that, with respect to the EGWP, Administrator will not be subject to the information requirements set forth in 42 C.F.R §423.48 and the prior review and approval of marketing materials and enrollment forms requirements by CMS set forth in 42 C.F.R §423.2260.
