Principal Components of the Project. The Project consists of the following principal components, as well as the other components delineated in the Project Plans, all of which are hereby approved by the City subject to the other provisions of this Agreement: (a) Demolition of all existing structures on the Property. (b) Construction of a mixed-use hotel development on the Property in accordance with the Project Plans for: (i) Hotel Use having up to 136 guest rooms and other Hotel facilities, and (ii) the Leasable Space with a minimum of 2,400 square feet and maximum of 4,500 square feet of Floor Area. (c) Construction of a multi-level subterranean parking garage and basement on the Property in accordance with the project Plans with a minimum of seventy-eight (78) striped parking spaces consisting of standard, compact and handicapped spaces.

Principal Components of the Project. The Project consists of the following principal components, as well as the other components delineated in the Project Plans, all of which are hereby approved by the City subject to the other provisions of this Agreement: 2.2.1 Demolition and removal of the existing structures and uses on the Property. 2.2.2 Construction of a new multi-story mixed-use residential/commercial building with a Maximum Floor Area of 67,470 square feet, including: (a) On and above the ground floor, 100 market rate residential apartment units, consisting of 15 three-bedrooms, 21 two-bedrooms, 50 one-bedrooms, and 14 studio units, and accessory uses including courtyards and roof decks for use by the occupants of the housing units and their guests as depicted on the Project Plans; floor; (b) Up to 5,878 square feet of commercial Floor Area on the ground 2.2.3 Construction of a four (4)-level subterranean parking garage with 296 parking spaces and other uses in accordance with the Project Plans and as described further in this Article 2 and Section 2.5 below; 2.2.4 The recordation in the Official Records (as defined below) of the New Easement on substantively identical terms to the Initial Parking Easement or on such other terms as are approved by Condo Owner (as defined in the Initial Parking Easement) (which approval shall be deemed evidenced by Condo Owner’s execution of the New Easement), which shall burden the Property in favor of Condo Owner.

Principal Components of the Project. The Project consists of the following principal components, as well as the other components delineated in the Project Plans, all of which are hereby approved by the City subject to the other provisions of this Agreement: The conversion of approximately 50,000 square feet of existing entitled but vacant retail space on the 3rd level of the Bloomingdale’s building located on the Property into a multi-screen movie theater complex with up to thirteen (13) screens, up to 1500 seats (including stadium style seating), related ticketing, lobby and concession space (collectively, the “Theater”). No additional floor area will be added. The Project may also include bar/café/retail space and/or a lounge area (“Lounge Area”), each with food and beverage service, including alcoholic beverages. Figure 11B of the Project Plans illustrates the conceptual layout of the Project with the Lounge Area. Alternatively, the Lounge Area could be used for additional Theater space or Theater concession areas, depending upon the needs of the Theater Operator. Figure 11A of the Project Plans illustrates the conceptual layout of the Project without the Lounge Area. To accommodate the Theater, the existing roof of the Bloomingdale’s building will be raised by up to approximately 36 feet, from a current height of 48 feet, to up to approximately 84 feet above existing grade. Subject to certain conditions set forth in Section B of Exhibit “D”, the Project may include two (2) rooftop satellite dish antennas, which may both receive (i.e., downlink) and transmit (i.e., uplink) and which may exceed the height of the roof by an additional six (6) feet.

Of the 57 Rental Housing units, 16 will be singles, 25 will be one-bedroom Rental Housing units, 3 will be one-bedroom plus den Rental Housing units, and 13 will be two-bedroom units including 6 two- bedroom affordable Rental Housing units as specified in Sections 2.8.1 and 2.8.2(a); and (b) Construction of a new subterranean parking garage beneath the mixed-use building providing no less than 73 parking spaces (based on a parking demand study) and up to 83 parking spaces as shown on the Project Plans.
