Project Attributes. The renewable energy certificates or credits, green tags, emission credits, carbon offsets and any other environmental attribute currently available or available at any time in the future related to each Property, Facilities or Project, as well as all tax credits, including, without limitation, production tax credits and investment tax credits.

Project Attributes. Exhibit E contains a summary description of the conceptual land plan, architectural and landscaping themes and design aesthetic for the Project. Developer will incorporate these planning and design concepts into the Project applications for Town Approvals as provided in Section 2.2. The Parties intend for the Project to reflect a design and build quality that will maximize the ability of Developer to attract national retailers to the Project, similarly to the retailer mix of other regional shopping centers Developer has successfully completed in metropolitan Denver. However, Town acknowledges that Developer has not committed to secure any particular retailer mix as of the Effective Date.
Project Attributes. You understand and agree that, subject to the requirements of the Program and applicable law, all credits (including tax credits, emission reduction credits, renewable energy credits, and carbon offset credits, but excluding any Xxxx Credits allocated to You), benefits, incentives, attributes, and rebates, howsoever entitled, derived, or attributable from or to the Project, whether existing now or in the future (the “Project Attributes”), are the property of and for the benefit of Provider (or its designee), usable and transferable at its sole discretion. You agree to reasonably cooperate with Provider (or its designee) so that it may claim the Project Attributes. You agree to assign and transfer to Provider (or its designee) any and all Project Attributes in which You acquire an ownership interest. You agree to refrain from entering into any agreement that would entitle You or a third party to claim the Project Attributes.

DCF funds would be used to provide approximately 600 minutes, or about a year of average riding, of no-cost rides, and would also subsidize that monthly member rate to reduce costs to PBOT and the project partners to be invested in other equity and climate programs (in other words, with these DCF funds riders would pay $5/month and have 600 free minutes to be used as they wish, and additional DCF funds would further reduce costs to the project partners). PBOT will evaluate the program initially and over time to optimize toward the most practical and beneficial credit to reduce rider barriers, for example changing the distribution of credits to accommodate more riders or to minimize unused credits. PBOT has requested funding to provide 1,000 BIKETOWN for All members and high school youth with 600 minutes of free riding. Current ridership in the BIKETOWN for All program is below 800 riders, but PBOT expects the increased access provided by e-bikes and the expanded territory, together with their ongoing community outreach, to increase ridership to that target level. Based on historical rider data analysis, in one year this is expected to provide 40,000 trips, 60,000 e-bike miles, and 600,000 minutes of physical activity while eliminating approximately 11,200 automobile trips. B. Recipient shall procure, construct, or install the Project by the Installation Date set forth in Section I(A).   • Green Attributes Seller hereby provides and conveys all Green Attributes associated with all electricity generation from the Project to Buyer as part of the Product being delivered. Seller represents and warrants that Seller holds the rights to all Green Attributes from the Project, and Seller agrees to convey and hereby conveys all such Green Attributes to Buyer as included in the delivery of the Product from the Project.

  • Environmental Attributes Seller acknowledges and agrees that any Environmental Attribute associated with or related to the Product will not be sold or otherwise made available to a third party but will be sold to Buyer pursuant to this Agreement. For the avoidance of doubt, the Product sold hereunder must meet the definition of “renewable energy credit” under the IPA Act.

  • Tax Attributes (i) Tax attributes with respect to, and the -------------- overpayment of, property taxes, sales and use taxes and franchise taxes which relate primarily to the Company Business and (ii) to the extent provided in the Tax Sharing Agreement, tax attributes with respect to, and the overpayment of, income and payroll taxes which relate to the Company Business or are otherwise allocated to the Company.

  • Project 3.01. The Recipient declares its commitment to the objectives of the Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of Article IV of the General Conditions.

  • Materials and Equipment ‌ Material means property that may be consumed or expended during performance, component parts of a higher assembly, or items that lose their individual identity through incorporation into an end item. Equipment means a tangible item that is functionally complete for its intended purpose, durable, nonexpendable, and needed for performance. Materials and Equipment shall be priced in accordance with the terms of the task order award, contract type, and applicable FAR and agency-specific regulatory supplements. Unless otherwise directed by task order terms and conditions, the Contractor may apply indirect costs to materials and equipment consistent with the Contractor’s usual accounting practices.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • Project Work PURCHASER shall complete the following projects in accordance with the specifications provided in Exhibits B, C, D, E, and F and written instructions from STATE. Project locations are shown on Exhibit A unless otherwise described. PURCHASER shall furnish all material unless otherwise specified.

  • Plant The expression ‘Plant’ as used in the tender papers shall mean every temporary accessory necessary or considered necessary by the Engineer to execute, construct, complete and maintain the work and all altered, modified, substituted and additional works ordered in the time and the manner herein provided and all temporary materials and special and other articles and appliance of every sort kind and description whatsoever intended or used therefore.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.
