Purpose and Commitment. 2.1 Subject to the terms and conditions set forth herein, MBI intends to collaborate in researching, developing and registering the Commercial Product and FMC on behalf of itself and its FMC Group Affiliates intends to collaborate in evaluating, marketing and selling the Commercial Product in certain LATAM Countries 2.2 Subject to the terms and conditions set forth herein, the FMC Group will be the exclusive distributor of the Commercial Product for use in the Field in the Territory and MBI will exclusively supply the Commercial Product for use in the Field in the Territory to the FMC Group. 2.3 FMC (through itself and its FMC Group Affiliates) is committed to invest a minimum amount of [*****] from 2011 through 2013 to prepare the platform for the launch of the Commercial Product. These amounts are separate from and are in addition to the payments listed in Exhibit 2. For the avoidance of doubt, expenditures constituting such minimum investment shall include but not be limited to FMC Group internal staff man-hours assigned to evaluate, market and sell the product, including reasonable overhead, as well as out-of-pocket costs incurred in engaging third parties on development, marketing, and associated launch activities, as well as any fees or approvals needed for FMC Group to launch the Commercial Product. FMC shall update MBI quarterly on its launch efforts, provided, however, that this update shall not include any right to audit FMC Group’s expenditures.

For the development and for the technical pre-launch and the market research SYT shall invest additionally USD [*****]. 2.4 SYT shall invest these amounts directly and in addition to the marketing and sales expenses necessary to reach the Business Plan targets. 2.5 During the year 2010 SYT is already testing the Commercial Product in Key Crops under the terms of the Material Transfer Agreement signed between the Parties in April 29, 2008.

The Employer and the Union hope that their effort in this initiative will help to build a better line of communications and a more harmonious workplace for everyone, The Committee will be comprised of an equal number of employee from the Union and Management based on criteria as set out Article of the Collective Agreement. The Administrator and the unit Chair or Designate will meet prior to the Committee meetings to exchange proposed agenda items for that meeting. Those items will be listed in order of priority. The Employer will arrange to integrate the two lists and have a single agenda typed and distributed to Committee members prior to the meeting. Emergency items arising after the agenda is prepared can be entertained on agreement of the parties at the outset of the meeting. Business arising from the minutes of the previous meeting will be handled as the first item on each agenda. The Committee will meet on advance written request of either party once every two (2) months, or as required. It will be the Committee's objective to limit each meeting to minutes, but in no case will the meeting last longer than hour.

To this end, this committee will provide a regular opportunity to discuss ongoing issues and problems and a chance to resolve these problems to the benefit of both parties. Employees who are required to attend a Labour/Management Committee meeting shall be paid at their straight time hourly rate of pay. At no time will employees in attendance at a Labour/Management meeting qualify for overtime as set out in Article 16 or any other Article of the Collective Agreement that provides for overtime. The Committee will be comprised of two (2) representatives each. The General Manager and the Departmental Xxxxxxx will meet two (2) days, prior to the Committee meetings, to exchange proposed agenda items for that meeting. These items will be listed in order of priority. The Employer will arrange to integrate the two (2) lists prior to the meeting. Items addressed at a meeting may be re-opened for the next meeting. Business arising from the minutes of the previous meeting will be handled as the first item on each meeting's agenda.

This will enable both parties to have a better understanding of opportunities to resolve problems and issues in an open exchange of ideas and views between Union and Management and is not to be mistaken as a grievance meeting. Purpose and Commitment. DHS recognizes that Texas, like other States, is directly and concretely affected by changes to DHS rules and policies that have the effect of easing, relaxing, or limiting immigration enforcement. Such changes can impact Texas’s law enforcement, housing, education, employment, commerce, and healthcare needs and budgets. The harm to Texas is particularly acute where its budget has been set months or years in advance and it has no time to adjust its budget to respond to DHS policy changes. Specifically, DHS recognizes that the following actions result in concrete injuries to Texas: (1) a decrease of any immigration enforcement priorities; (2) a reduction in the number of DHS agents performing immigration enforcement functions; 1 The Department of Homeland Security, CBP, ICE, and USCIS are collectively referred to in this Agreement as “DHS.” The Department of Homeland Security, CBP, ICE, and USCIS enter into this Agreement individually and collectively, such that termination or removal of one or more of those parties (whether by law or contract) does not terminate this Agreement as to any other parties. (3) a decrease or pause on returns or removals of removable or inadmissible aliens; (4) a decrease or pause on apprehensions or administrative arrests; (5) relaxation of the standards for granting relief from return or removal, such as asylum; (6) an increase in releases from detention; (7) a relaxation of the standards for granting release from detention; (8) changes to immigration benefits or eligibility, including work authorization, discretionary actions, or discretionary decisions; and (9) rules, policies, procedures, and decisions that could result in significant increases to the number of people residing in a community. At the same time, Texas recognizes that DHS relies on cooperation with Texas and information shared by Texas to carry out DHS’s immigration enforcement functions. Any decrease in a State’s cooperation or information sharing with DHS may result in a decrease in immigration enforcement. To that end, this Agreement establishes a binding and enforceable commitment between DHS and Texas, in which Texas will provide information and assistance to help DHS perform its border security, legal immigration, immigration enforcement, and national security missions in exchange for DHS’s commitment to consult Texas and consider its views before taking any action, adopting or modifying a policy or procedure, or making any decision that could: (1) reduce...
