Remuneration for Services. Remuneration
2.1 OKME will pay Mesdi for Services as set forth in the Statement of Work that are satisfactorily rendered. OKME shall notify Mesdi of each person within OKME with the authority to authorize work and their approval limits. OKME will also compensate Mesdi for reasonable travel expenses incurred with the prior approval of OKME’s Representative. Mesdi will submit itemized invoices for services for payment and reimbursement to OKME’s Representative once per month at the end of the month and within 30 days. OKME will pay Mesdi within 30 days of the submission of each invoice.
Remuneration for Services. During the term of this Agreement, each Affiliate will pay to the Service Provider a quarterly service fee (the "Service Fee"), in arrears, equal to the Service Provider's costs and expenses to provide Services to such Affiliate in the preceding quarter; such payment shall include, but not be limited to, reimbursement to the Service Provider of payroll-related expenses, telephone expenses, postage, office equipment and supplies, overhead, rent for equipment and office space, expenses associated with computer hardware and software, and expenses of receptionist and telephone answering services. The Service Fee will be billed by invoice to each Affiliate stating in reasonable detail the Services rendered to such Affiliate, fees charged therefor and costs and expenses incurred. The Service Fee will be due and payable within thirty (30) days of invoice date.
Remuneration for Services. The Company shall:
(a) Pay to the Contractor a fee in the amount of $12,500 (gross) per month;
(b) Pay to the Contractor a reasonable amount for all premium costs incurred by the Contractor for a benefit package for Pardiak and his immediate family, relating to the following benefits: life insurance (at three times the Contractor's annual fee), accidental death and dismemberment, extended health, dental and long-term disability; and provide payment for the Contractor to receive an annual medical examination (i.e. Medisys);
(c) Provide to the Contractor an annual paid vacation of 20 working days to be taken when the Contractor deems appropriate in consideration of the Company's operational requirements. Should the Company's operational requirements not permit the Contractor to exercise 20 working days of vacation in any given year, the Contractor may accumulate and use the non-exercised portion of his vacation in any subsequent year or chose to be paid in cash for the unused portion of his vacation. If at the end of this Agreement the Contractor has unused vacation time to its credit, then the Company will pay the Contractor the equivalent in cash;
(d) Pay to the Contractor a car allowance in the amount of $1,000 per month;
(e) Grant from time-to-time to the Contractor stock options. The granting of stock options shall be based on the performance of the Contractor, and such grant shall be solely in the discretion of and in an amount to be determined by the Company's Compensation Committee; and
(f) Pay to the Contractor bonuses associated with but not limited to financings, mergers and acquisitions, dispositions, joint ventures, strategic alliances and licensing and royalty agreements. The payment of a bonus shall be based on the performance of the Contractor, and such payment shall be solely in the discretion of and in an amount to be determined by the Company's Compensation Committee. The Contractor will immediately be paid a renewal bonus of $50,000
Remuneration for Services. Preparer is entitled to receive a portion of fees collected from clients for Services rendered per the Compensation option agreed upon and indicated below. Preparer will be paid from paid tax return fees.
Remuneration for Services. SMCCCD will invoice in December 2024 and May 2025, the bills are due in January 2025 and June 2025.
Remuneration for Services. For the performance of all of the Lender’s obligations hereunder and for all rights granted by the Lender, and upon the condition that the Lender and Employee keep and perform all of the Lender’s and Employee’s respective obligations hereunder, the District shall pay the Lender the sum of THIRTEEN THOUSAND AND FORTY DOLLARS ($13,040.00) per month during the Term, in accordance with the District’s regular pay periods. The Lender agrees to perform all employer obligations in connection with Employee’s services hereunder, including, without limitation, the payment to Employee of all compensation or other consideration required to be paid under any agreement between the Lender and Employee, and the payment of all withholding, employment and/or other taxes.
Remuneration for Services. The Issuer shall pay to the Trustee remuneration for its services as trustee as from the date of this Trust Deed, such remuneration to be at such rate as may from time to time be agreed between the Issuer and the Trustee. Such remuneration shall be payable in advance on 21 May in each year, the first such payment to be made on the date hereof. Upon the issue of any Further Bonds the rate of remuneration in force immediately prior thereto shall be increased by such amount as shall be agreed between the Issuer and the Trustee, such increased remuneration to be calculated from such date as shall be agreed as aforesaid. The rate of remuneration in force from time to time may upon the final redemption of the whole of the Bonds of any series be reduced by such amount as shall be agreed between the Issuer and the Trustee, such reduced remuneration to be calculated from such date as shall be agreed as aforesaid. Such remuneration shall accrue from day to day and be payable (in priority to payments to the Bondholders and Couponholders) up to and including the date when, all the Bonds having become due for redemption, the redemption moneys and interest thereon to the date of redemption have been paid to the Principal Paying Agent or the Trustee, provided that if upon due presentation of any Bond or Coupon or any cheque, payment of the moneys due in respect thereof is improperly withheld or refused, remuneration will commence again to accrue.
Remuneration for Services. 5.1. CHC will pay the Consultant for the Services $1,000 per month on the last day of each month during the Term whether or not CHC has requested any Services from the Consultant during such month. The Consultant shall be responsible for all taxes, deductions and statutory remittances whatsoever associated with its remuneration under this Agreement (the “Deductions and Remittances”). The Consultant shall indemnify and hold CHC harmless against any and all claims for payment of the Deductions and Remittances whatsoever and howsoever arising.
5.2. You acknowledge that in addition to the payments under Clause 5.1 hereof, the consideration set out in paragraph 2.1 g. of the letter to you from Xxxxxxx Xxxxxx dated February 7, 2011 shall also be consideration for your obligations hereunder, including without limitation the provisions relating to confidentiality and non-competition.
5.3. The Consultant’s remuneration for her Services referred to in Clauses 5.1 and 5.2 above shall be the only compensation payable to the Consultant under this Agreement and is inclusive all of wages or fees of any third parties or subcontractors hired by the Consultant to assist her, and includes all applicable taxes, Deductions and Remittances payable by the Consultant. Unless expressly agreed to in advance or as described herein, all costs or expenses incurred by the Consultant in the performance of her services hereunder are for her own account.
Remuneration for Services. 5.1. CHC will pay the Consultant $33,3333 per month for the Services payable on the last day of each month during the Consulting Period. CHC shall provide consultant with the use of a computer and cellular phone during the Consulting Period.
5.2. The Consultant shall be responsible for all taxes, deductions and statutory remittances whatsoever associated with the remuneration under this Agreement (the “Deductions and Remittances”). The Consultant shall indemnify and hold CHC harmless against any and all claims for payment of the Deductions and Remittances whatsoever and howsoever arising.
5.3. Consultant acknowledges that in addition to the payments under Clause 5.1 hereof, the consideration set out in the letter to you from Xxxxxxx Xxxxxx dated August 8, 2011 shall also be consideration for your obligations hereunder.
5.4. The Consultant’s remuneration for his Services referred to in Clauses 5.1 and 5.2 above shall be the only compensation payable to the Consultant under this Agreement and is inclusive all of wages or fees of any third parties or subcontractors hired by the Consultant to assist him, and includes all applicable taxes, deductions and remittances payable by the Consultant. Unless expressly agreed to in advance or as described herein, all costs or expenses incurred by the Consultant in the performance of his services hereunder are for his own account.
Remuneration for Services. The Corporation agrees to pay the Employee the Base Salary in monthly instalments of Nine Thousand One Hundred and Sixty-Seven United Kingdom Pounds (£9,167) payable in arrears on the last day of the month. The Corporation also agrees to provide the following benefits to the Employee (the "Other Benefits"):
(a) Stock options to purchase an aggregate of 300,000 common shares of the Corporation, such stock options to be granted pursuant to the terms of the Corporation's Stock Option Plan, to have a five year term (subject to earlier termination in accordance with the said Plan) and to have such exercise price as is determined by the Board of Directors in its sole discretion upon granting the stock options.
(b) An annual performance bonus of up to 35% of the Base Salary, if deemed advisable by, and subject to such terms as determined by, the Board of Directors in its sole discretion.
(c) The Corporation shall provide for the Employee while in employment with the Corporation such medical and evacuation insurance coverage which the Corporation may have in place from time to time generally for employees of the Corporation. The Employee hereby consents to a medical officer making a full report to the Corporation upon any medical examination that may be required under the terms of any medical insurance scheme.
(d) Paid leave for all statutory and public holidays normally observed in England and for a further 30 working days' (Monday to Friday) in respect of each completed year of service; such period of leave to be proportionately reduced if this Agreement is terminated prior to the end of the Term.
