Requesting Time. In order to be eligible for Sick Leave Bank time, bargaining unit employees must meet the following criteria: • Completed probation in their current position; • Anticipate exhausting all available leave (sick, PTO etc.) at the time of application; • Exhaust all available leave (sick, PTO, etc.) prior to using any Sick Leave Bank awarded time; • Have a qualifying reason for leave. Employees may be required to provide supporting documentation to Human Resource Services.

Requesting Time. Off For time-off arrangements to work satisfactorily, both the Trade Unions and the employer should ensure that its officers and representatives are fully aware of their role, responsibilities and functions. The Unions will normally give 14 days notice in respect of requests for time- off. However, there may be circumstances where less than 14 days notice will be accepted. Whilst it is the responsibility of the employer to maintain services to the public, the Trade Union Representatives should bear in mind the problem of discharging these responsibilities and should ensure that every request for time off is notified to the relevant Head of Service as far in advance as is reasonable in the circumstances. Subject to the exceptions set out under ‘Entitlement to Time Off’ all requests for time-off are to be made in writing to the relevant Head of Service, using the form at Appendix 2. The Trade Union Representative should indicate the general nature of the business for which time-off is required, the intended location and the expected period of absence, although the confidential nature of certain requests must be respected and need not be revealed. Each application should be considered on its merits and no reasonable request should be refused. However, Managers may request that time-off be deferred or refused because of operational reasons, e.g. problems of office cover or safety which would result if time-off were taken at a particular time. The grounds for postponement/refusal should be made clear and parties should endeavour to agree on an alternative time for the time-off. In considering postponement, both parties should weigh the urgency of the matter for which time-off is required against the consequences of granting the time-off. It may also be necessary to ask for alternative union representatives to be available to employees, in the event that absence of a preferred union representative is likely to have a major impact on work. Managers should be willing to consider urgent requests for time-off in response to emergencies. For example, in cases where immediate consultation with the employer is needed on issues involving restructuring, redundancies and re-deployment, where representation at disciplinary proceedings or in grievance cases is required or where potential disputes require immediate attention.   • Requesting Leave Eligible employees must (1) notify their supervisor following their department’s call-in policy or guidelines and (2) contact the American Red Cross Absence Management Service Center (the “Leaves Administrator”) at 0-000-000-0000 at least 30 days in advance of the start of the leave. If leave is not foreseeable, employees must provide as much notice as reasonably practicable under the circumstances. Requests for leave under this policy must be made to the Leaves Administrator within 15 days of the qualifying event, except for Parental Leave. Employees applying for leave under this policy are required to submit the documentation requested by the Leaves Administrator to support the request. Where leave under this policy also qualifies for FMLA leave or similar state paid leave programs, employees must submit the required FMLA or state leave documentation, which may also suffice to support this policy’s documentation requirement as determined by the Leaves Administrator. If the requested Paid Family Leave is not approved by the Leaves Administrator prior to requested start date of the leave, an employee can elect to use PTO while waiting for approval of the leave request beyond the one week waiting period. If the Paid Family Leave is approved, the Leaves Administrator will reinstate 80% of PTO hours taken beyond the waiting period with Paid Family Leave. If this results in an overpayment, the Red Cross will recover the overpayment following its standard recovery procedures through Payroll. Failure to provide documentation requested by the Leaves Administrator in support of the leave by the due date set by the Administrator will result in the request being denied.

  • Demand Registration (a) Subject to the provisions hereof, at any time on or after the date that is 180 days after the Closing Date, the Holders of a majority of Registrable Securities shall have the right to require the Company to file a Registration Statement registering for sale all or part of their respective Registrable Securities under the Securities Act (a “Demand Registration”) by delivering a written request therefor to the Company (i) specifying the number of Registrable Securities to be included in such registration by such Holder or Holders, (ii) specifying whether the intended method of disposition thereof is pursuant to an Underwritten Offering (as defined below), and (iii) containing all information about such Holder required to be included in such Registration Statement in accordance with applicable Law. As soon as practicable after the receipt of such demand, the Company shall (x) promptly notify all Holders from whom the request for registration has not been received and (y) use reasonable best efforts to effect such registration (including, without limitation, appropriate qualification under applicable blue sky or other state securities Laws and appropriate compliance with applicable regulations issued under the Securities Act and any other governmental requirements or regulations) of the Registrable Securities that the Company has been so requested to register; provided, however, that (i) the Holders shall not make a request for a Demand Registration under this Section 3.2(a) for Registrable Securities having an anticipated aggregate offering price of less than $5,000,000, (ii) the Holders will not be entitled to require the Company to effect more than three (3) Demand Registrations in the aggregate under this Agreement, and (iii) the Company will not be obligated to effect more than one (1) Demand Registration in any six (6) month period.

  • Piggyback Registration (a) If the Company proposes to register any of its Common Stock under the Securities Act (other than pursuant to a Demand Registration), it will each such time, subject to the provisions of Section 5.02(b) hereof, give prompt written notice at least 15 days prior to the anticipated filing date of the registration statement relating to such registration to all Shareholders which notice shall set forth such Shareholders' rights under this Section 5.02 and shall offer all Shareholders the opportunity to include in such registration statement such number of shares of Common Stock as each such Shareholder may request (a "Piggyback Registration"). Upon the written request of any such Shareholder made within 10 days after the receipt of notice from the Company (which request shall specify the number of shares of Common Stock intended to be disposed of by such Shareholder), the Company will use its reasonable best efforts to effect the registration under the Securities Act of all shares of Common Stock which the Company has been so requested to register by such Shareholders, to the extent requisite to permit the disposition of the shares of Common Stock so to be registered; provided that (i) if such registration involves an Underwritten Public Offering, all such Shareholders requesting to be included in the Company's registration must sell their Registrable Securities to the underwriters selected as provided in Section 5.04(f) on the same terms and conditions as apply to the Company or the Selling Shareholder, as applicable, and (ii) if, at any time after giving written notice of its intention to register any stock pursuant to this Section 5.02(a) and prior to the effective date of the registration statement filed in connection with such registration, the Company shall determine for any reason not to register such stock, the Company shall give written notice to all such Shareholders and, thereupon, shall be relieved of its obligation to register any Registrable Securities in connection with such registration. No registration effected under this Section 5.02 shall relieve the Company of its obligations to effect a Demand Registration to the extent required by Section 5.01 hereof. The Company will pay all Registration Expenses in connection with each registration of Registrable Securities requested pursuant to this Section 5.02.
