Resource Commitment. The majority of the Severity Level 3 Fixes shall be included in a future Update.
Resource Commitment. Each Party shall use Commercially Reasonable Efforts to conduct, in accordance with the terms of this Agreement, the work allocated to such Party in the Research Plan. During the Research Program Term, FivePrime and GSK shall each commit sufficient resources and staffing to perform all the activities allocated to it under the Research Plan. Specifically:
a) FivePrime shall determine appropriate FivePrime staffing levels from time to time to resource the Research Programs sufficiently. Except for the payments by GSK as set forth in Article 6, FivePrime shall be fully responsible for its research efforts and shall bear all corresponding costs; and
b) GSK shall determine appropriate GSK staffing levels from time to time to resource the Research Programs sufficiently. GSK shall be fully responsible for its research efforts and shall bear all corresponding costs.
c) During the Research Program Term, each Party shall provide the JSC with a written update summarizing its respective activities under the Research Program, in advance of each scheduled JSC meeting. If there are any Claimed Targets, the update must describe GSK’s research with such Claimed Targets conducted in the time since the prior report to the JSC.
Resource Commitment. A Bayer implementation team typically consists of a Project Manager, Implementation Specialist and Technical Implementation Lead. Additional resources may be added or substituted by Bayer as needed to meet an implementation timeline or a change in scope of the Implementation Project.
Resource Commitment. The University shall, with the funds and/or equipment and/or technology made available by the Sponsor, furnish the necessary and appropriate personnel, materials, services, laboratories and other facilities and equipment for the conduct of its part of the work and initial Research Program (“Program”) described in Schedule II hereto and incorporated herein by reference. The Program may be amended or modified from time to time as the parties shall mutually agree. The University and Sponsor shall each permit the other party and any of its personnel to visit the laboratories or other facilities where the Research Program is being conducted at reasonable times and make all personnel who are engaged in the Research Program available to consult with the other party and any of its personnel during such visits or by telephone and/or by correspondence during the term of the Research Program.
Resource Commitment. During the term of this Agreement, the undersigned Participant will either (a) provide the equivalent of at least one full-time Software Developer who will generally be dedicated to design and development of the Software or (b) provide such other resource or perform such services that are approved by the Project Board. For purposes of the foregoing requirement, “generally dedicated” means that such Software Developer will devote, on average, approximately thirty-two (32) hours or more per week to design and development of the Software.

3.2.1. During the Research Term FivePrime shall determine and maintain appropriate FivePrime staffing levels as are necessary from time to time to resource and timely perform its activities under the Research Plan. Except for the payments to be made by UCB as expressly set forth in Section 8, FivePrime shall be fully responsible for its research efforts and shall bear all corresponding costs and expenses.
3.2.2. During the Research Term UCB shall determine and maintain appropriate UCB staffing levels as are necessary from time to time to resource and timely perform its activities under the Research Plan. UCB shall be fully responsible for its research efforts and shall bear all corresponding costs and expenses.
3.2.3. During the Research Term, each Party shall provide the JSC with a written update summarizing the status of its respective activities under the Research Plan, in advance of each scheduled JSC meeting. If there are any UCB Reserved Proteins, the update shall describe the status of research conducted with regard to such UCB Reserved Proteins.
3.2.4. To the extent that the Parties agree that any un-performed Screening Assay under the Research Plan would not be scientifically feasible to perform, then the JSC may, during the Research Term, amend the Research Plan to substitute such un-performed Screening Assay with a new Screening Assay(s) that is of similar scope and require similar efforts and expenditures, provided that such substitution(s) shall not cause either UCB or FivePrime to incur any additional costs. In addition, if, before ***, the Parties determine jointly to forego all of the planned in vitro Screening Assays in the Fibrosis Project, then the JSC may, during the Research Term, amend the Research Plan to substitute these planned and un-performed in vitro Screening Assays in the Fibrosis Project with alternative Screening Assays and/or other research activities to be agreed upon by the Parties at such time. Resource Commitment. In conjunction with the projections for Services for each fiscal year, a certain amount of Ad Hoc Services will be estimated and costed and included in the overall annual cost to the Recipient. Once the estimated Ad Hoc Services have been established, Provider will specify the number of human resources to be made available to Recipient in terms of man-hours and/or specific personnel for Ad Hoc Services. Status reports prepared by Provider pursuant to this Addendum IV shall summarize the remaining man hours available to Recipient for project management purposes and describe Recipient's use of available man hours during the period covered by such report. All Ad Hoc Services are intended to be performed by this committed level of resources. If this resource level is insufficient to perform the requested Ad Hoc projects, the Recipient will have the option of requesting adding resources at extra cost. The costs for underutilized Ad Hoc resources will not be refunded. The resources available for project work will be shared with those resources required for technology support as is the current practice. This means that any promised delivery dates will be subject to modification if support or operations issues arise. Recipient will be promptly informed if the latter situation occurs. Provider will use commercially reasonable efforts to increase the resource level on any project if Recipient requests and Recipient is agrees to fund all incremental costs thereof. The Provider, however, does not guarantee the ability to increase resource levels due to the specialized nature of certain skill sets.
