RIGHTS IN SOFTWARE AND DOCUMENTATION. TRA acquires a right of use in respect of the it-systms/software and Documentation delivered by the Consultant. TRA is not entitled to copy Software and Documentation beyond what is necessary for the operation and security of the system/software. TRA may delegate the operation and maintenance of the it-system/software to a third party. Upon TRA’s acceptance of the it-system/software, TRA acquires a right to use the software in accordance with the rights holder’s standard. The Consultant must provide TRA with informations regarding the rights holder standards.The right of use is indefinite.

RIGHTS IN SOFTWARE AND DOCUMENTATION. The customer solely acquires a right of use in the software and documentation delivered. This shall apply to standard products as well as adjustments, special developments and the like. The right of use shall be of indefinite duration unless otherwise expressly specified in Appendix 4. The right of use shall also imply a right to carry out further developments and changes unless otherwise specified in Appendix 9. The customer shall not be entitled to copy software and documentation to a wider extent than necessary for the operation and safety of the system. The customer may assign the operation of the system to a third party. A more detailed description of the content of the right of use in software and documentation is also given in Appendix 9. However, Appendix 9 cannot be taken as an implication that the specification of requirements will not be complied with. The purpose of Appendix 9 is exclusively to define the specific content of the right of use, including limitations on the right to assign the right of use. In case Appendix 9 contains other conditions in addition thereto, e.g. in relation to duration, installation, breach of contract, maintenance, warranty, liability, etc., the parties agree that such conditions shall be left out of account in all relations between the supplier and the customer. In the event that the customer, owing to requirements from subcontractors, is to sign licence terms directly with these, such licence terms shall be disregarded in all relations between the supplier and the customer to the extent that such conditions do not concern the content and extent of the right of use. Thus the supplier shall also indemnify the customer for any claims from subcontractors which rely on the licence terms in question and which are not imposable on the customer under the present contract. Similarly, the customer shall have the right of use to any change, including updating, of software and documentation delivered under the present contract, e.g. as an element of the maintenance scheme.
RIGHTS IN SOFTWARE AND DOCUMENTATION. Seller hereby grants to Buyer a perpetual, nonexclusive, paid-up, worldwide license to reproduce, distribute copies of, perform publicly, display publicly and make derivative works from software included in or provided with or for products (Software) and related information and materials (Software Documentation) as reasonably required by Buyer in connection with (i) the testing, certification, use, sale or support of a product or the manufacture, testing, certification, use, sale or support of any item including and/or utilizing a product or (ii) the design or acquisition of hardware or software intended to interface with Software. The license granted to Buyer under this article also includes the right to grant sublicenses to its customers as reasonably required in connection with customers’ operation, maintenance, overhaul and modification of any item including and/or utilizing Software. All copies and derivative works made pursuant to the foregoing license or any sublicense to a customer will automatically become the property of Buyer or customer, and Xxxxx agrees to preserve Seller's copyright notice thereon to the extent that such a notice was included with the original Software and/or Software Documentation. Seller acknowledges that Buyer is the owner of all copies of Software and Software Documentation provided to or made by Buyer or customers pursuant to this contract, and Seller hereby authorizes Buyer and customers to dispose of, and to authorize the disposal of, the possession of any and all such copies by rental, lease or lending or by any other act or practice in the nature of rental, lease or lending.

RIGHTS IN SOFTWARE AND DOCUMENTATION. 8.1. All software from third parties to be provided by Contractor hereunder will be licensed to the County pursuant to the terms and conditions of the license agreements provided by the publishers of such software. 8.2. Custom software, if any, developed for the County hereunder will be subject to the requirements in Exhibit A. 8.3. With respect to software routines, programs, scripts, or diagrams or schematics written or formulated by Contractor or its subcontractors hereunder, Contractor will designate any third-party software tools (e.g., compilers or CAD programs) that were used in the development of such software, diagrams, or schematics. It is the preference of the County that non-proprietary tools be used for the development of such software, diagrams, or schematics, but if proprietary software tools must be used, then Contractor must provide the County with an object-code version, as well as available documentation on the use of such tools. The County may use such proprietary tools solely for the purpose of maintaining and modifying the software, diagrams, or schematics written or formulated by Contractor or its subcontractors for the Project. 8.4. All documentation required to be developed for the County pursuant to Exhibit A ("Documentation”) will not be based on Contractor Confidential Information, unless there is a compelling need and the County agrees in writing. The County shall own all such Documentation delivered hereunder except for (a) Documentation Contractor can demonstrate was previously developed by or for Contractor and is not in the public domain; or (b) Documentation identified in writing by Contractor and proved to the County's reasonable satisfaction as being developed solely with Contractor resources. 8.5. With respect to Documentation which is deemed to belong to Contractor in accordance with Section 8.4, Contractor grants the County a non-exclusive, royalty-free license to use and copy any such Documentation for its own internal use. The County shall have the right to disclose such Documentation to successor vendors, contractors, or computer hardware or software maintenance organizations, provided such entities (a) have a need to know such information for the purposes of modifying, maintaining, or enhancing the County's equipment or software, and (b) agree not to use such information except with respect to work for the County.   • Software and Documentation Licensee may make as many copies of the Software necessary for it to use the Software as licensed. Each copy of the Software made by Licensee must contain the same copyright and other notices that appear on the original copy. Licensee will not modify the Documentation. Documentation may: (a) only be used to support Licensee’s use of the Software; (b) not be republished or redistributed to any unauthorized third party; and (c) not be distributed or used to conduct training for which Licensee, or any other party, receives a fee. Licensee will not copy any system schema reference document related to the Software.

  • Hardware and Software In order to use the Services, you must obtain and maintain, at your expense, compatible hardware and software as specified by Credit Union from time to time. Credit Union is not responsible for any third party software you may need to use the Services. Any such software is accepted by you as is and is subject to the terms and conditions of the software agreement you enter into directly with the third party software provider at time of download and installation.

  • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.

  • Technical Documentation Prior to commencement of the Tests on Completion, the Contractor shall supply to the Engineer the technical documentation as specified in the Employer’s Requirements. The Works or Section shall not be considered to be completed for the purposes of taking- over under sub-clause 10.1 [Taking Over of the Works and Sections] until the Engineer has received the technical documentation as defined in this sub-clause 5.7, the "history file" including design calculations and certain certification as well as any other documents required to meet the CE Marking requirements.

  • Hardware and Software Requirements In order to access and retain Disclosures electronically, you must satisfy the following computer hardware and software requirements: access to the Internet; an email account and related software capable of receiving email through the Internet; a web browser which is SSL-compliant and supports secure sessions, and hardware capable of running this software.

  • Licensed Documentation If commercially available, Licensee shall have the option to require the Contractor to deliver, at Contractor’s expense: (i) one (1) hard copy and one (1) master electronic copy of the Documentation in a mutually agreeable format; (ii) based on hard copy instructions for access by downloading from the Internet

  • Embedded Software To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.

  • Third Party Software 1. The Software may contain third party software that requires and/or additional terms and conditions. By accepting this XXXX, You are also accepting the additional terms and conditions, if any, set forth therein.

  • Software Licenses Seller has all necessary licenses to use all material third-party software used in Seller's business, and Seller's use of third-party software does not infringe the rights of any Person.
