Services and Standards. Subject to the terms of this Agreement, Alliance Data, as an independent contractor, shall provide to Bank the services as more fully described in Appendix A (collectively, the “Services”). Alliance Data agrees to perform the Services in accordance with the service standards set forth in Appendix B, or any other service standards as specifically directed by Bank and agreed to by Alliance Data for individual client(s). To the extent that any level of service required by Bank is not enumerated in Appendix B, Alliance Data agrees to provide at least the same level of service to Bank that Alliance Data provides to other clients. In addition, Alliance Data shall continue to provide the number, types and content of reports regarding servicing that it currently provides Bank under the 2006 Service Agreement.

Services and Standards. (a) Delta agrees to provide to Airline those routine and on-call maintenance services more particularly described in the Exhibits hereto (“Services”) at the location(s) designated in each of the Exhibits on an as requested, as-needed basis. In those instances where Delta and Airline have a need for work at the same time, Delta will prioritize those needs, taking into account the type of problem, departure times and resources then currently available. After such evaluation, Delta will satisfy the most critical need first. Where such evaluation reveals that each of Delta’s and Airline’s needs are equally critical, Delta’s need will be satisfied first, however, Delta will make reasonable efforts to call in additional resources to minimize any impact on Airline’s operation. Services and Standards. 2.1 During the term of this Agreement, Contractor shall furnish security services to DELTA, as that term is generally understood in the air transportation industry and as more particularly set forth in Section 2.5 below (such services are sometimes referred to herein as the "work" or the "services"), at Willxxx X. Xxxby Airport located in Houston, Texas (the "Airport"), in a designated location(s) at the Airport, and Delta retains Contractor to furnish such services and shall pay Contractor therefor as hereinafter provided. Contractor shall furnish ALL personnel required to furnish the services in accordance with this Agreement and, if specified on Exhibit A attached hereto shall also provide certain material, equipment and supplies, as specified in Exhibit A, such costs to be included in the fees set forth in Section 3.
Services and Standards. 2.1 From and after the Commencement Date, Contractor shall furnish to Delta at Delta's facilities located at Cleveland Hopkxxx Xxxernational Airport in Cleveland, Ohio (the "Airport") the ground services described in Exhibit A attached hereto and incorporated herein by reference (such services are sometimes referred to herein as the "work"). These measures do not include all the output services as detailed in the Statement of Intent 2012-2015.   • Services and Utilities Landlord shall use all reasonable efforts to furnish or cause to be furnished to the Premises the utilities and services described in the Standards for Services and Utilities, attached hereto as Exhibit B, subject to the conditions and in accordance with the standards set forth therein. Landlord’s obligation to furnish services pursuant to Exhibit B shall be subject to the rules and regulations of the supplier of such services and governmental rules and regulations. Landlord shall use reasonable efforts to restore any service required of it that becomes unavailable; however, such unavailability shall not render Landlord liable for any damages caused thereby, be a constructive eviction of Tenant, constitute a breach of any implied warranty, or entitle Tenant to any abatement of Tenant’s obligations hereunder. Notwithstanding the foregoing, if: (i) any such utility service is interrupted because of the grossly negligent acts of Landlord, its employees, agents or contractors; (ii) Tenant notifies Landlord of such interruption in writing (the “Interruption Notice”); (iii) such interruption does not arise in whole or in part as a result of an act or omission of a Tenant Party; (iv) such interruption is not caused by a fire or other Casualty; (v) the repair or restoration of such service is reasonably within the control of Landlord; and (vi) as a result of such interruption, the Premises or a material portion thereof, is rendered untenantable (meaning that Tenant is unable to use the Premises in the normal course of it business) and Tenant in fact ceases to use the Premises, or material portion thereof, then, Tenant’s sole remedy for such interruption shall be as follows: on the tenth (10th) consecutive Business Day following the latest to occur of the date the Premises (or material portion thereof) becomes untenantable, the date Tenant ceases to use such space and the date Tenant provides Landlord with an Interruption Notice, the Rent payable hereunder shall be abated on a per diem basis for each day after such ten (10) Business Day period based upon the percentage of the Premises so rendered untenantable and not used by Tenant, and such abatement shall continue until the date the Premises become tenantable again.

  • Standards Any additions, modifications, or replacements made to a Party’s facilities shall be designed, constructed and operated in accordance with this Agreement, NYISO requirements and Good Utility Practice.

  • Service Standards We provide the Services materially in accordance with the features and functionalities set out in the Specification Documents. We will use commercially reasonable efforts to make the Services available to you subject to operational requirements including maintenance and security.

  • Professional Standards The Contractor agrees to maintain the professional standards applicable to its profession and to Contractors doing business in the United States Virgin Islands.

  • Quality Standards Each Party agrees that the nature and quality of its products and services supplied in connection with the other Party's Marks will conform to quality standards set by the other Party. Each Party agrees to supply the other Party, upon request, with a reasonable number of samples of any Materials publicly disseminated by such Party which utilize the other Party's Marks. Each Party will comply with all applicable laws, regulations, and customs and obtain any required government approvals pertaining to use of the other Party's marks.

  • Work Standards The Contractor shall execute its responsibilities by following and applying at all times the highest professional and technical guidelines and standards. If the State becomes dissatisfied with the work product of or the working relationship with those individuals assigned to work on this Contract, the State may request in writing the replacement of any or all such individuals, and the Contractor shall grant such request.
