Services General. We will perform all Services in accordance with good industry practices and will use appropriately skilled and qualified personnel.
Services General. 1. To access the Services via ATB Personal, you must use your Credentials. You may also be required to answer a Security Question or enter a Passcode that is sent to you via email or SMS text.
2. You agree that ATB may act upon any instructions provided to us through ATB Personal when your Credentials have been used to access ATB Personal, whether or not it is you who accessed ATB Personal. You agree that electronic display pages accessed by entering your Credentials constitute written documents and that clicking or otherwise electronically activating "OK", "submit", "continue", "approve", or similar areas of such pages shall have the same legal effect as if you had signed by hand and delivered hard copy versions of such pages to ATB with intent to be legally bound by their contents. You agree that once such instructions are provided, ATB shall have no obligation to reverse them.
3. You agree that neither ATB Personal or the Services will be used for illegal or fraudulent purposes or for purposes which could affect the security or integrity of ATB Personal, the Services or any other ATB systems, hardware or software.
4. ATB reserves the right to deny access to ATB Personal, your Accounts, or some or all of the Services under certain circumstances, including, without limitation:
i. if any of your assets are attached or assigned by a legal order;
ii. if in the judgment of ATB any activity on any of your Accounts, or your use of ATB Personal, or any one or more of the Services, is for illegal or fraudulent purposes;
iii. if in the judgment of ATB access to your Accounts is being performed fraudulently or without your consent;
iv. if you are in arrears in any obligation to ATB including loan payments, service charges, etc.; or
v. if access to ATB Personal and/or the Services is being used to attempt to obtain unauthorized access to ATB systems, hardware or software. If you request reinstatement of access to an Account, ATB Personal, or any Services, ATB may require that you take certain steps, such as updating security software on your Device, before ATB may permit access.
5. Some Services, functionality, content or information (including, without limitation, notices, legal and privacy terms and statements) available through ATB Personal may not be available through a Mobile Device.
6. Access to ATB Personal through a Device and/or a Mobile Device may not be available from certain locations outside Canada.

4.2. You agree that We will be relying upon the accuracy of all representations, statements, information, materials and documents (Data) supplied by You in connection with the Services and that We shall be under no obligation to test, check or confirm the accuracy of any Data prior to performing the Services. We accept no responsibility or liability whatsoever for or resulting from any Data prepared and/or supplied by You or a third party on Your behalf.

The Company shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and the Company shall notify the Customer in any such event.
6.2. The Company warrants to the Customer that the Services will be provided using reasonable skill and care.
6.3. The conditions implied by sections 3, 4 and 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded from the Agreement.
6.4. The Customer shall inform the Company as soon as reasonably practicable if the Value of Stock increases by more than twenty- five (25)%. Failure to notify the Company of such changes may, subject to clause 13.1, reduce the Company’s liability to the Customer in the event of any claim made by the Customer.
Services General. 1. Seller will provide telephone consultation or service Monday through Friday during regular business hours 8:30am to 5:00pm Central Time, except for those days which are recognized national or state holidays. Seller reserves the right to limit any one telephone call to one hour and each contact to one question or issue (“incident” as defined below).
2. Upgrades: Seller will provide internet available software upgrades for the plan membership period.

Services General. 8.1 The Supplier shall, during the Term (as defined in clause 17), provide the Services to the Customer in accordance with this Agreement. The Supplier warrants that the Services will be performed with reasonable skill and care.
8.2 The Supplier shall use commercially reasonable endeavours to provide the Services in accordance with the service levels set out in the applicable Service Option (the “Service Levels”). This clause shall not apply to the extent of any non-conformance of the Services which is caused by the use of the Services contrary to the Supplier’s instructions or modification or alteration of the Services by any party other than the Supplier. If the Services do not conform to the Service Levels, the Customer’s sole and exclusive remedy is as set out in the applicable Service Option.
8.3 The Supplier does not warrant that the Customer's use of the Services will be uninterrupted or error-free; nor that the Services and/or the information obtained by the Customer through the Services will meet the Customer's requirements; and is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the Customer acknowledges that the Services may be subject to limitations, delays and other problems inherent in the use of such communications facilities.
8.4 The Supplier will provide the Customer with the maintenance and support as set out in the applicable Service Option (the “Maintenance and Support”). The Supplier may amend the Maintenance and Support provided in its sole and absolute discretion from time to time.
8.5 The Customer is solely responsible for any fraud that occurs in connection with the Customer’s equipment and any Fees arising as a result. The Supplier shall have no responsibility or liability over the configuration, use or operation of the Customer’s equipment unless expressly agreed otherwise in writing.
Services General. The program shall consist of the CITY providing two (2) full time sworn officers with the Costa Mesa Police Department (“CMPD”) to the function of School Resource Officers (“SRO’s”). The SRO’s shall perform services under the supervision and control of the Costa Mesa Chief of Police (“Chief of Police”). The type and manner of performance of the Services should promote safety in the learning environment. The Services contemplated by this AGREEMENT are limited to the NMUSD schools located within the CITY Costa Mesa High School (“CMHS”), Estancia High School (“EHS”), Early College High School, Xxxxxxxx Middle School, and any Elementary Schools in need of SRO presence.
