Site Assessment and Planning. During the Initial Period, Provider shall have the right, at its own expense, to assess the suitability of the Premises for the Project and shall act diligently in conducting such assessment. The assessment shall include the right to inspect the physical condition of the structures on which the Project will be located; to apply for any building permits or other governmental authorizations necessary for the construction of the Project; and to arrange interconnections with the Local Electric Utility; to make any applications to the appropriate Public Utilities Commission or other agencies for receipt of payments for the Project under the Applicable Solar Program; to apply to any other governmental agencies or other persons for grants or other determinations necessary for the construction of or receipt of revenues from the Project; or to make any other investigation or determination necessary for the financing, construction, operation or maintenance of the Project. The Provider, at its own cost shall perform and determine a structural analysis of the Host’s site to determine feasibility, safety, and to ensure the proper install, maintenance, and operation of the solar system. Provider shall provide a copy of the building permit, a stamped engineering drawing and related structural engineering analysis to the Director of Public Buildings prior to Commencement of Construction. Provider will do nothing that violates the roof warranty, and will hire a roofing contractor certified by the roofing material manufacturer to provide continuation of warranty documentation to Host.

Seller shall make any current and available project construction budget available to Buyer at Buyer’s request. Buyer may terminate this Agreement, effective upon Thirty (30) days prior written notice to Buyer, on any date that is more than Twenty Four (24) months later than the Effective Date of this Agreement if Seller has not completed construction of the Project before the date of such notice. Upon such termination, Seller may require Buyer to pay to Seller the applicable Early Termination Amount. The Parties agree that during the Initial Period and the Operations Period, Seller shall have control of the Site, as the term “control” is contemplated by applicable law and by the requirements of the State of Rhode Island Distributed Generation Contracts Program (the “DG Program”). Seller and its employees, agents, advisors, lenders, and independent contractors may at all reasonable times during the Initial Period, and with reasonable prior notice, enter on and have access to the Site and the Property for the purpose of making inspections, performing tests, conducting surveys and investigations, performing due diligence, conducting reviews, and obtaining data. Buyer will make available to Seller and such representatives such information, documents, items, energy usage records, FAA filings, engineering reports, specifications of Buyer’s existing wind turbine located on the Property (the “Existing Turbine”), foundation designs, as-built’s and field job reports, lists of subcontractors and design professionals that provided services with respect to the Existing Turbine, wind studies, financial pro-forma’s created by Buyer or its consultants, books, records, ...
