SPECIAL TOOLS AND EQUIPMENT. All special tools and automotive service equipment owned by the Dealer on the effective date of termination or nonrenewal which were designed especially for servicing VEHICLES, which are of the type recommended in writing by the Company and designated as "special" tools and equipment in the applicable CUSTOMER SERVICE BULLETIN or other notice pertaining thereto sent to the Dealer by the Company, which are in usable and good condition except for reasonable wear and tear, and which were purchased by the Dealer within the three (3) year period preceding the effective date of termination or nonrenewal. The price for each special tool and item of automotive service equipment shall be its fair market value on such effective date as agreed by the Company and the Dealer, or, if they cannot agree, as determined by a qualified independent appraiser selected by the Company and the Dealer.

SPECIAL TOOLS AND EQUIPMENT. If the price stated in the Offer includes the cost of any special tooling or special test equipment fabricated or required by the Vendor to fulfill the Agreement, such special tooling and/or equipment and all process sheets associated thereto shall become the property of Xxxx and shall be identified by the Vendor as such. Xxxx will also have the right to recall the property. EFFECTIVE DATE/TERM: Unless otherwise specified in the Purchase Order, this Agreement shall be effective as of the date Xxxx issues the Purchase Order, and shall continue in effect until all obligations are performed in accordance with the Agreement or cancelled. CONFIRMATIONS: Vendor must provide to Xxxx within 24 hours of receipt of EACH PURCHASE ORDER, a confirmation confirming receipt of the Purchase Order unless you have been notified by Xxxx in writing that the confirmation is not mandatory. Any deviation from the Purchase Order or Terms and Conditions must be noted at this point regardless of confirmation requirement. Confirmations must be faxed or emailed to the appropriate buyer noted on the purchase order with contact information.
SPECIAL TOOLS AND EQUIPMENT. The Authority shall provide special tools and equipment in sufficient quantity for the number of employees required to use them or to accomplish the prescribed work. Special tools are: 3/4” or larger pneumatic guns, hydraulic jacks, etc. Equipment provided by the Authority will be brooms, mops, soap, towels, rags, batteries, flashlight bulbs, air hoses and creepers. Utility employees must have some basic mechanics tools as outlined by the Shop Manager by the end of their ninety (90) calendar day probationary period. It is also expected that all Utility personnel will continue to build his/her tool collection towards that of a full Mechanic.

SPECIAL TOOLS AND EQUIPMENT. All special tools and equipment for Honda Automobiles owned by Dealer and purchased from Distributor by Dealer or pursuant to request of Distributor. The price for such special tools and equipment shall be a reasonable price determined by Distributor, but such price shall in no event be less than Dealer's cost price for such tools and equipment reduced by a straight line depreciation on the basis of a useful life of five years. Further Dealer agrees that within thirty (30) days after termination or expiration without renewal, it will deliver to Distributor a list of all special tools and equipment in its inventory, possession or control.
SPECIAL TOOLS AND EQUIPMENT. If special tools or equipment are necessary for the assembly, regular repairs and maintenance of the Work, Contractor shall be obliged to warn Customer of this fact, including details on the availability and regular cost of such tools or equipment, in writing prior to concluding the Contract for Work. If special tools or equipment are in the exclusive possession of Contractor and they cannot be obtained by Customer in any other way, Contractor undertakes to lend Customer special tools or equipment for the necessary operations at request, but no later than 2 days from the day of request. Transport costs are covered by Customer.
SPECIAL TOOLS AND EQUIPMENT. If the price stated on the face hereof includes the cost of any special tooling or special test equipment fabricated or required by Seller for the purpose of filling this order(s), such special tooling equipment and any process sheets related thereto shall become the property of the Buyer and to the extent feasible shall be identified by the Seller assuch.

SPECIAL TOOLS AND EQUIPMENT. Notwithstanding the provisions of Section 22.2(c), Owner shall not be permitted to take possession of and utilize specialty tools and equipment that were specially designed and manufactured by Westinghouse for inspecting and testing AP1000 Nuclear Power Plants. However, Westinghouse covenants and agrees that any such specialty tools and equipment, along with qualified personnel to perform Work utilizing such specialty tools and equipment, will be made available on an as-needed basis to Owner at prevailing time and material rates charged to other AP1000 Nuclear Power Plant customers.

  • SERVICES AND EQUIPMENT Section 21.01. Landlord shall, at its cost and expense:

  • Fixtures and Equipment Each of the Company and its Subsidiaries (as applicable) has good title to, or a valid leasehold interest in, the tangible personal property, equipment, improvements, fixtures, and other personal property and appurtenances that are used by the Company or its Subsidiary in connection with the conduct of its business (the “Fixtures and Equipment”). The Fixtures and Equipment are structurally sound, are in good operating condition and repair, are adequate for the uses to which they are being put, are not in need of maintenance or repairs except for ordinary, routine maintenance and repairs and are sufficient for the conduct of the Company’s and/or its Subsidiaries’ businesses (as applicable) in the manner as conducted prior to the Closing. Each of the Company and its Subsidiaries owns all of its Fixtures and Equipment free and clear of all Liens except for (a) liens for current taxes not yet due and (b) zoning laws and other land use restrictions that do not impair the present or anticipated use of the property subject thereto.

  • Materials and Equipment ‌ Material means property that may be consumed or expended during performance, component parts of a higher assembly, or items that lose their individual identity through incorporation into an end item. Equipment means a tangible item that is functionally complete for its intended purpose, durable, nonexpendable, and needed for performance. Materials and Equipment shall be priced in accordance with the terms of the task order award, contract type, and applicable FAR and agency-specific regulatory supplements. Unless otherwise directed by task order terms and conditions, the Contractor may apply indirect costs to materials and equipment consistent with the Contractor’s usual accounting practices.

  • Plant and Equipment The plants, structures and ------------------- equipment of the Company are structurally sound with no known defects and are in good operating condition and repair and are adequate for the uses to which they are being put. None of such plants, structures or equipment are in need of maintenance or repairs except for ordinary, routine maintenance and repairs which are not material in nature or cost. The Company has not received notification that it is in violation of any applicable building, zoning, anti- pollution, health or other law, ordinance or regulation in respect of its plants or structures or their operations.

  • Facilities and Equipment Except as set forth herein, Consultant shall, at its sole cost and expense, provide all facilities and equipment that may be necessary to perform the services required by this Agreement. City shall make available to Consultant only the facilities and equipment listed in this section, and only under the terms and conditions set forth herein. City shall furnish physical facilities such as desks, filing cabinets, and conference space, as may be reasonably necessary for Consultant’s use while consulting with City employees and reviewing records and the information in possession of the City. The location, quantity, and time of furnishing those facilities shall be in the sole discretion of City. In no event shall City be obligated to furnish any facility that may involve incurring any direct expense, including but not limited to computer, long-distance telephone or other communication charges, vehicles, and reproduction facilities.

  • Leased Equipment The risk of loss or damage to leased equipment, goods or property shall not transfer to the University except as provided in §680.219, Florida Statutes. Any security interest in the leased equipment, goods or property granted to the Contractor contrary to AGO 79-72 and AGO 80-9 is null and void. Limitations of remedies provisions, which are unconscionable under applicable Florida law, are void. MATERIAL SAFETY DATA SHEET (MSDS). In compliance with Florida Statutes, Ch. 442, a Material Safety Data Sheet (MSDS) must accompany any applicable item delivered under this Agreement.

  • Supplies and Equipment The Union and employees will not use state-purchased supplies or equipment to conduct union business or representational activities. This does not preclude the use of the telephone for representational activities if there is no cost to the Employer, the call is brief in duration and it does not disrupt or distract from the Employer’s business.

  • Machinery and Equipment Except for items disposed of in the ordinary course of business, all machinery, tools, furniture, fixtures, equipment, vehicles, leasehold improvements and all other tangible personal property (hereinafter “Fixed Assets”) of the Company currently being used in the conduct of its business, or included in determining the net book value of the Company on the Balance Sheet Date, together with any machinery or equipment that is leased or operated by the Company, are in fully serviceable working condition and repair. Said Fixed Assets shall be maintained in such condition from the date hereof through the Closing Date. Except as described on Schedule 4.14 hereto, all Fixed Assets owned, used or held by the Company are situated at its business premises and are currently used in its business. Schedule 4.14 describes all Fixed Assets owned by or an interest in which is claimed by any other person (whether a customer, supplier or other person) for which the Company is responsible (copies of all agreements relating thereto being attached to said Schedule 4.14), and all such property is in the Company’s actual possession and is in such condition that upon the return of such property in its present condition to its owner, the Company will not be liable in any amount to such owner. There are no outstanding requirements or recommendations by any insurance company that has issued a policy covering either (i) such Fixed Assets or (ii) any liabilities of the Company relating to operation of the Business, or by any board of fire underwriters or other body exercising similar functions, requiring or recommending any repairs or work to be done on any Fixed Assets or any changes in the operations of the Business, any equipment or machinery used therein, or any procedures relating to such operations, equipment or machinery. All Fixed Assets of the Company are set forth on Schedule 4.14 hereto.

  • Property and Equipment All property and equipment purchased by CONTRACTOR with funds received under this Agreement, or purchased on behalf of CONTRACTOR for the program site(s) covered under this Agreement, shall be insured by CONTRACTOR at replacement value against fire, theft, and destruction equal to the full replacement cost.
