Supplier’s Responsibility. The Supplier is obliged to comply with the statutory and regulatory requirements that affect its business processes. Continuous improvement of their processes, as well as reliability in terms of delivery schedules and quantities represent integral parts of the Supplier´s quality policy. Subcontracting to third parties is not permitted without explicit prior approval of the Buyer. The Supplier commits their subcontractors to also comply with this QAA.

If the Supplier fails within a reasonable period of time to take appropriate action on the Seller’s recommendation as to the necessary corrective action and the Warranty Beneficiary submits to the Seller, within a reasonable period of time, proof of such failure, then the Seller will take action in accordance with the provisions of Clause 12.3
Supplier’s Responsibility. The Supplier is obliged to take responsibility for the quality as per requirements of the SG Group in terms of quality and also on behalf of its own sub-suppliers and to ensure that sub-suppliers adhere to the analogical principles as described in this document. The Supplier will be informed about documented expenses, which arise in connection with delivery of non-conform materials or components. Responsibi- lity for these ex-penses and their reimbursement will be negotiated and agreed upon by both parties.

Supplier’s Responsibility. The Supplier’s liability shall be limited to the lowest cost of the restoring of the defective product and the cost of a new product to replace it, plus the costs of a standard transfer to the Client’s location if located in Europe. The Supplier, upon his own judgment, will decide whether to restore or replace the defective product. The Supplier is not responsible for the cost of removing or disassembling the defective product or for the cost of the travel, or employment of third parties. The responsibility of the Supplier does not include compensation of damages to things or persons and the eventual loss of profits or other costs no matter what nature. This restraint to the Supplier’s responsibility derives from the fact that the Supplier is usually not aware of how the products are used, where they will be set in and the consequences of any malfunctions. The parties agree that many of the problems can be avoid, and the costs of intervening will be lessened, by the following: - Access to the installation / Site where the product has been set in: the supplied products have a variable operative life, but usually shorter that the installation in which they are set in. For this reason there shall be enough room to easily replace them. If this rule is not observed, the Supplier is relieved of any responsibility for any consequences and related costs. - The Client is responsible for informing the Supplier if the product will be placed in non-standard conditions (i.e. presence of aggressive elements in the air; installation at Mt. 2500, etc.) or if there will be exceptional damages as a result of any defects to the supplied products. The Supplier’s Technical Office shall have the right to evaluate the product and any assembly thereof and, if necessary, to have it tested to be approved. If the Client fails to provide such necessary information, the Supplier is not responsible for any damages of other consequences thereafter.
Supplier’s Responsibility. Supplier shall become acquainted with conditions governing the delivery, receipt and storage of materials at the site of the work so that Supplier will not interfere with Ordering Company's operations. For items other than those identified in Section 6.4, ORDERING COMPANY'S RESPONSIBILITY, above, storage space will not necessarily be provided adjacent to the site of the work. Therefore, Supplier shall be expected to select, uncrate, remove and transport materials from the storage areas provided. Except to the extent that Supplier's property located on Ordering Company's property is damaged or misappropriated by employees, contractors or representatives of Ordering Company, Ordering Company is not responsible for the safekeeping of such property. When Supplier's property located on Ordering Company's property is damaged or misappropriated by employees, contractors, or representatives of Ordering Company, Ordering Company shall be liable to Supplier for such damage or misappropriation. Supplier shall not stop, delay or interfere with Ordering Company's work schedule without the prior approval of Ordering Company. Supplier shall provide and maintain sufficient covering and take any other precautions necessary to protect Ordering Company's stock, equipment and other property from damage due to Supplier's performance of the work.
