Xxxx Control. 1. All site locations shall be treated with a pre-emergent herbicide in accordance with the manufacturer’s recommendations. The treatment shall occur in the Spring of each contract term on or before April 1 or the first cutting, whichever occurs first. The cost of weed control shall be included in the regularly scheduled grounds maintenance monthly unit cost. 2. Weeds are defined as undesirable plants not intentionally planted or seeded. Seedlings of shrubs, trees and ornamental grasses are generally considered weeds and shall be removed by Contractor. Root-suckers are also considered weeds but shall not be treated with herbicides. Contractor shall cut out or manually pull out all root-suckers rather than treating with herbicides as they are physically attached to the desirable landscape plant. 3. The Contractor shall control weeds and unwanted naturally occurring plant growth in all beds, tree rings, rip-rapped outlets, and planting areas by hand, as needed, to maintain a neat and orderly appearance at all times. 4. Weeds are to be controlled within the formally maintained portion of each site, including the following areas: beds, tree rings, paved parking areas, curbs, walkways, fence-lines, utility/equipment areas, and around structures. Contractor shall have considerable knowledge of landscape plants to avoid damage to desirable species. Weeds shall be killed or removed before they grow larger than 4” in height or spread. Weeds shall be controlled April through October. Where possible, weed control shall be accomplished by application of glyphosate herbicide. No other herbicides are to be combined with the glyphosate. Tank mix is to be prepared and applied according to label instructions at the lowest effective concentration. 5. Herbicide spraying is the preferred method of control, but hand-pulling shall be used if weeds are too close to landscape plants or too large for a safe and effective herbicide application. Top-growth and roots of weeds shall be removed when hand- weeding. Herbicide contact with any part of landscape plants due to overspray, dripping or splashing is prohibited. Herbicide shall be applied as a course-pattern, low-pressure spray to wet each weed, but not to the point of dripping. Herbicide shall not be broadcast or sprayed on mulch, tree trunks or non-vegetative surfaces. Moderation and care should be used when spraying around fences, objects and structures. Xxxx Control. Unless and except as otherwise expressly approved in writing by the Department or provided at Exhibit E to this Agreement, the Awardee shall have control of the property at all times, and such control shall not be contingent on the approval of any other party. The status and nature of the Awardee's title and interest in the property must be acceptable to the Department. The Project must comply with the site control requirements as set forth at UMR Sections 8303 and 8316. Where site control will be satisfied by a long-term ground lease, the Department will require the execution and recordation of the Department’s form lease rider, which shall be entered into by and among the ground lessor, the ground lessee, the Department, and any other applicable parties. In all cases, the lease rider shall be recorded against the fee interest in the Project property.
Xxxx Control. 1. The Contractor shall be trained in and use Integrated Pest Management practices, and be responsible for pest control on all trees, shrubs, ground cover, and other site features. All work must comply with the Santa Rosa’s Citywide Integrated Pest Management Policy. 2. All pesticides used on City properties need to be reported to contract administrator. Including the name of the pesticide, date of application, application rate (eg., ounces per acre), and location. These applications must be reported monthly and in months where no pesticides are used a statement should be provided stating no pesticides used during the month. 3. Annual weeds are to be controlled during their growing season in the winter and spring when they are most susceptible to cultural control methods (see Xxxxx Chart in Appendix B). Frequent control when plants are young will enhance overall control in the landscape and prevent them from establishing large populations. 4. Perennial weeds are to be controlled to the extent possible during the winter and spring with cultural control methods when soils are moist and roots can be fully removed (see Xxxxx Chart in Appendix B). 5. The general non-organic herbicide guidelines (for locations where such herbicides are allowed) follows: a. Review pesticide labels for time periods for optimum control and weed species control. Most pesticides are ineffective when used at incorrect times in a weed’s lifecycle. b. Properly identity all weeds before treatment, and limit all pesticide applications to time periods when they are effective. c. Roundup Custom™ Herbicide is not to be applied within 15 feet of public paths or on grounds of areas frequented by children without temporary closure.. d. It will not be e. Recommended Pest Control Methods Based on Landscape Type and Service Frequency: The following describes the programmatic treatment for the different types of site conditions. Xxxx Control. If at the commencement of, or at any time(s) during the term of this Lease, the rent(s) reserved in this Lease shall not be fully collectible for reason of any Federal, State, County or City law, proclamation, order or regulation, or direction of a public officer or body pursuant to law, Tenant shall enter into such agreement(s) and take such other steps (without additional expense to Tenant) as Owner may request and as may be legally permissible to permit Owner to collect the maximum rents which may from time to time during the continuance of such legal rent restriction be legally permissible (and not in excess of the amounts reserved therefor under this Lease). Upon the termination of such legal rent restriction prior to the expiration of the term of this Lease, (a) the rents shall become and thereafter be payable hereunder in accordance with the amounts reserved in this Lease for the periods following such termination, and (b) Tenant shall pay to Owner, if legally permissible, an amount equal to (i) the rents which would have been paid pursuant to this Lease but for such legal rent restriction, less (ii) the rents paid by Tenant to Owner during the period(s) such legal rent restriction was in effect. Any security deposited by Tenant may be retained by Owner for one year after such termination of this Lease, to secure collection of any amount Owner may be entitled to receive pursuant to clause (b) above.

  • Quality Control A. Controlled Affiliate agrees to use the Licensed Marks and Name only in connection with the licensed services and further agrees to be bound by the conditions regarding quality control shown in attached Exhibit A as they may be amended by BCBSA from time-to-time. B. Controlled Affiliate agrees to comply with all applicable federal, state and local laws. C. Controlled Affiliate agrees that it will provide on an annual basis (or more often if reasonably required by Plan or by BCBSA) a report or reports to Plan and BCBSA demonstrating Controlled Affiliate’s compliance with the requirements of this Agreement including but not limited to the quality control provisions of this paragraph and the attached Exhibit A. D. Controlled Affiliate agrees that Plan and/or BCBSA may, from time-to-time, upon reasonable notice, review and inspect the manner and method of Controlled Affiliate’s rendering of service and use of the Licensed Marks and Name. E. As used herein, a Controlled Affiliate is defined as an entity organized and operated in such a manner, that it meets the following requirements: (1) A Plan or Plans authorized to use the Licensed Marks in the Service Area of the Controlled Affiliate pursuant to separate License Agreement(s) with BCBSA, other than such Controlled Affiliate’s License Agreement(s), (the “Controlling Plan(s)”), must have the legal authority directly or indirectly through wholly-owned subsidiaries to select members of the Controlled Affiliate’s governing body having not less than 50% voting control thereof and to: (a) prevent any change in the articles of incorporation, bylaws or other establishing or governing documents of the Controlled Affiliate with which the Controlling Plan(s) do(es) not concur; (b) exercise control over the policy and operations of the Controlled Affiliate at least equal to that exercised by persons or entities (jointly or individually) other than the Controlling Plan(s); and Notwithstanding anything to the contrary in (a) through (b) hereof, the Controlled Affiliate’s establishing or governing documents must also require written approval by the Controlling Plan(s) before the Controlled Affiliate can: (i) change its legal and/or trade names; (ii) change the geographic area in which it operates; (iii) change any of the type(s) of businesses in which it engages; (iv) create, or become liable for by way of guarantee, any indebtedness, other than indebtedness arising in the ordinary course of business; (v) sell any assets, except for sales in the ordinary course of business or sales of equipment no longer useful or being replaced; (vi) make any loans or advances except in the ordinary course of business; (vii) enter into any arrangement or agreement with any party directly or indirectly affiliated with any of the owners or persons or entities with the authority to select or appoint members or board members of the Controlled Affiliate, other than the Plan or Plans (excluding owners of stock holdings of under 5% in a publicly traded Controlled Affiliate); (viii) conduct any business other than under the Licensed Marks and Name; (ix) take any action that any Controlling Plan or BCBSA reasonably believes will adversely affect the Licensed Marks and Name. In addition, a Plan or Plans directly or indirectly through wholly owned subsidiaries shall own at least 50% of any for-profit Controlled Affiliate. (2) A Plan or Plans authorized to use the Licensed Marks in the Service Area of the Controlled Affiliate pursuant to separate License Agreement(s) with BCBSA, other than such Controlled Affiliate’s License Agreement(s), (the “Controlling Plan(s)”), have the legal authority directly or indirectly through wholly-owned subsidiaries to select members of the Controlled Affiliate’s governing body having more than 50% voting control thereof and to: (a) prevent any change in the articles of incorporation, bylaws or other establishing or governing documents of the Controlled Affiliate with which the Controlling Plan(s) do(es) not concur; (b) exercise control over the policy and operations of the Controlled Affiliate.   • Control Notwithstanding any other provision of the Agreement, it is understood and agreed that the Trust shall at all times retain the ultimate responsibility for and control of all functions performed pursuant to this Agreement and has reserved the right to reasonably direct any action hereunder taken on its behalf by the Sub-Adviser.

  • Climate Control a. The air conditioning/heating units shall be functional at all times. b. The air discharged from the air conditioner interior vent system shall be continuously cool. c. All air conditioning temperature controls and functions shall operate as originally designed and manufactured with no knobs or components broken or missing. d. Systems shall operate on all OEM speeds with no excessive noise.

  • Site Control In the total loss of building use scenario, what likely exists will be a smoking pile of rubble. This rubble will contain many components that could be dangerous. It could also contain any personnel on the premises at the time of the disaster. For these reasons, the local fire marshal with the assistance of the police will control the site until the building is no longer a threat to surrounding properties and the companies have secured the site from the general public. During this time, the majority owner of the building should be arranging for a demolition contractor to mobilize to the site with the primary objective of reaching the cable entrance facility for a damage assessment. The results of this assessment would then dictate immediate plans for restoration, both short term and permanent. In a less catastrophic event, i.e., the building is still standing and the cable entrance facility is usable, the situation is more complex. The site will initially be controlled by local authorities until the threat to adjacent property has diminished. Once the site is returned to the control of the companies, the following events should occur. An initial assessment of the main building infrastructure systems (mechanical, electrical, fire and life safety, elevators, and others) will establish building needs. Once these needs are determined, the majority owner should lead the building restoration efforts. There may be situations where the site will not be totally restored within the confines of the building. The companies must individually determine their needs and jointly assess the cost of permanent restoration to determine the overall plan of action. Multiple restoration trailers from each company will result in the need for designated space and installation order. This layout and control is required to maximize the amount of restoration equipment that can be placed at the site, and the priority of placements. Care must be taken in this planning to ensure other restoration efforts have logistical access to the building. Major components of telephone and building equipment will need to be removed and replaced. A priority for this equipment must also be jointly established to facilitate overall site restoration. (Example: If the AC switchgear has sustained damage, this would be of the highest priority in order to regain power, lighting, and HVAC throughout the building.) If the site will not accommodate the required restoration equipment, the companies would then need to quickly arrange with local authorities for street closures, rights of way or other possible options available.
