Additional Support Services. Subject to an agreement of the Parties, Licensor is willing to provide the following additional Sup- port services to Licensee, at the following conditions:
Additional Support Services. ADP shall, at no additional cost, provide to ISS the following support services (together with the Support Services, the “Services”) for the Consolidated Datafeed (including all updates, enhancements and modifications thereto): (a) provide telephone support on every Business Day to assist in the implementation, utilization and maintenance of the Consolidated Datafeed; (b) provide upgrades or updates (and appropriate documentation) that contain error or defect corrections; and (c) correct any error or defect in content or the transmission of the Consolidated Datafeed reported by ISS, or any of which ADP becomes aware, within a reasonable time frame given the severity of such error or defect, which error or defect causes the Consolidated Datafeed not to perform substantially in accordance with the description of its functions contained in the Statement of Work; and (d) answer questions and respond to problems related to (i) data communications, data quality and accuracy, (ii) whether a share position has been reported, and (iii) whether an electronic ballot has been transmitted, received, confirmed, released, or reported for tabulation. Upon request by ISS or custodians of ISS’ clients, ADP will ascertain the current voting status of any account, including review of unreleased votes. Telephone or telecommunication charges under this Agreement will be borne by the party placing the call. ADP may but shall not be obligated to record telephone calls and ISS hereby consents to the recording of such calls.

Additional Support Services. During the Term, and upon request by Zomedica, Qorvo will provide certain additional services to Zomedica pursuant to a Services SOW agreed to by the Parties that would govern the terms of such services (“Additional Services”). Additional Support Services. Contractor shall provide without additional cost to the County, except as provided in this Agreement, the following additional services: a) On-Site Hardware Repair: Contractor will provide (1) on-site visit per term not to exceed five (5) working days to repair Verity Voting System Hardware by one Xxxx technician. Materials, supplies, and replacement parts (with the exception of Consumables), and standard transportation/shipping thereof, are included. Consumables are defined as batteries (all types, including CMOS and device backup batteries), Vdrives, Verity keys, paper rolls, paper, ballot stock, toner, Xxxxxx Scanner calibration packets, Xxxxxx Scanner Cleaning Kits, Xxxxxx Scanner Roller Replacement Kits, and Isopropyl alcohol wipes. . b) Hardware Return Merchandise Authorization (RMA): County may ship Return Merchandise Authorization Hardware (RMA), goods returned for repair, to Contractor for repair in up to four (4) shipments per term, each shipment not to exceed one (1) percent of the County’s total inventory of Verity Scan and Ballot Boxes, Verity Touch Writer (and printers and booths), and Verity Print (and printers). All parts and materials required for RMAs of the equipment are included at no additional charge, with the exception of Consumables (defined in a)). Contractor shall be required to return all completed RMA’s in a period of sixty (60) calendar days or less from the date the Contractor received the item. Contractor shall be required to provide in writing to the Project Manager if the RMA will exceed the sixty (60) calendar day requirement due to parts delay. Description of the part(s) on backorder and expected delivery time shall be included. c) Computer and Peripherals Configuration: Configuration of Verity PCs and peripherals, purchased through the Contractor according to Contractor’s published specifications, as per the requirements defined by The State of California Secretary of State, are included. d) Engineering Services Support: No service days are included. Projects required by the County will be billed at Xxxx’x then prevailing Engineering Services rates, less 40%. e) Training in Austin: County may take advantage of training at Contractor’s facility in Austin. There is no limit to the number of County employees or days, and the cost of training is included. Additional Support Services. 11.1 Where specified in the Order, the Supplier will provide the Customer with Additional Support Services as detailed in Schedule 4.1 (Fault Management Connectivity) in relation to Service Faults which relate any customisation or configuration of the Direct Routing Service undertaken by the Supplier by way of Professional Services provided upon implementation. 11.2 For the Supplier to provide Additional Support Services in accordance with Schedule 4.1 (Fault Management Connectivity), the Supplier must be granted access to the Customer Tenant with Global Administrative Permissions. Where the Supplier does not provide the Customer with Microsoft 365 licenses, the access can be granted at the time the Customer reports the Service Fault and then revoked once resolved. In such circumstances, the Service Fault Targets will be calculated from the time that access has been granted and communicated to the Supplier.

Upon written (for the avoidance of doubt, including email) request by ISS or custodians of ISS’s clients, Broadridge will ascertain the current voting status of any account, including review of unreleased votes. Telephone or telecommunication charges under this Agreement will be borne by the party placing the call. Broadridge may, but shall not be obligated to, record telephone calls and ISS hereby consents to the recording of such calls. In addition, Broadridge shall also provide the additional services, together with reasonable maintenance, set forth in Exhibit 4.2 hereto, as part of the Datafeed Vote Instruction Fee.
Additional Support Services. This optional task provides a placeholder budget allowance for additional work that may be required during this phase that is not otherwise explicitly identified herein but could include tasks such as geotechnical evaluation of the backfilled retaining wall at Well 3 site which was observed to have issues in 2016, early CEQA environmental permitting support, high hazard flood mitigation support, additional funding support, permit coordination, additional sewer or distribution system hydraulic modeling and/or other additional support services.
