Appointment of Agency. The COMPANT shall permit Agency to sell and/or act as nonexclusive Agent of Record for certain insurance coverages made available through the COMPANY as described in the Proposals, but only in compliance with all rules, regulations, and standards established by the COMPANY (including in the Proposals) or by the underwriters, carriers or managing general agents for such coverages. This Agreement shall apply to all coverages made available through the COMPANY and sold by Agency.

Appointment of Agency. Client hereby appoints Agency, and Agency hereby agrees to serve as, the Client’s Agency of Record for advertising/marketing/public relations/(etc.). Agency shall provide Client those services listed on Exhibit “A” attached hereto and incorporated herein by reference. As such, the Agency is authorized to purchase outside services on the Client’s behalf as the Client’s Agent, subject to Client’s approval of such purchases; provided however, Client shall execute all contracts with third parties for the outside services, and Client shall be solely responsible for the same. To that end, the Agency agrees to devote its best efforts to furthering the Client’s interests and endeavor in every way to make their communications successful. As requested by the Client, the Agency will supervise all media, graphic design, packaging, collateral and promotional materials (etc.) for appearance, accuracy, timeliness, position, size and mechanical reproduction. The Agency will make no commitments or disbursements or incur any obligations for the Client’s account without proper authorization or approval from the Client. The Agency will therefore require the Client’s approval on all project estimates and media authorizations before ordering production material, making commitments with suppliers or making reservations for media space or time. The Client will designate in writing who within their organization may sign such estimates and authorizations. The Client may request changes or cancellations, or stop any work in progress, provided these are within the Agency’s contractual obligations. Where previously approved work has already incurred charges, Client agrees to reimburse the Agency for unrecoverable charges or expenses arising from requested changes or cancellations. The Agency will submit to the Client for approval all copy, layouts, artwork, drawings, storyboards, scripts and media schedules.

Appointment of Agency. 3.1.1 Subject to and in accordance with the provisions of this Agreement, Applicable Laws and the Applicable Permits, CGM hereby appoints the Agency to undertake all the activities necessary for exploration of the blocks commencing from the Appointed Date, and the Agency hereby accepts such appointment and agrees to deliver the services subject to and in accordance with the terms and conditions set forth herein. The Contract Period of the Agreement is 18 (eighteen) months. Provided further that, the Contract Period shall be deemed to have expired in the event the Parties mutually agree that the exploration activities are completed and geological report accepted by the CGM. 3.1.2 Subject to and in accordance with the provisions of this Agreement, the Agency shall be obliged to: (a) manage, operate and maintain exploration activities in accordance with this Agreement; (b) perform and fulfill all of the Agency’s obligations under and in accordance with this Agreement; (c) save as otherwise expressly provided in this Agreement, bear and pay all costs, expenses and charges in connection with or incidental to the performance of the obligations of the Agency under this Agreement; and (d) neither assign, transfer or sub-let or create any lien or encumbrance on this Agreement, hereby granted or on the whole or any part of the Block, nor sell, transfer, exchange, lease or part possession thereof , save and except as expressly permitted by this Agreement. 3.1.3 Subject to and in accordance with the provisions of this Agreement, the Agency shall be entitled (as the case may be) to: (a) access to the Site for the purpose of, and to the extent, conferred by the provisions of this Agreement; and (b) receive Exploration Charge from CGM in respect of exploration activities and geological report thereof subject to and in accordance with this Agreement.

Appointment of Agency. GENERAL POWERS AND DUTIES A. HPI appoints Agency as an agency with authority to solicit applications for issuance of HPI’s plans, including individual Medicare plans, including but not limited to HealthPlus MedicarePlus Advantage PPO plans. B. Agency agrees that it will be covered by an errors and omissions policy of insurance to such an extent as is consistent with currently accepted practice within the insurance business. C. Agency agrees to notify HPI of any termination, suspension, or expiration of its license to engage in the health insurance business within the State of Michigan. D. Agency will comply with HPI’s underwriting regulations and other pertinent rules and regulations. E. Agency agrees to obtain a subscription rate quote from HPI prior to submitting or presenting any rate quote to any Group or individual. F. Agency, its employees or sub-agencies, will not employ or make use of any advertisement or material in which HPI’s name and/or corporate symbols are contained, without the express prior written consent of HPI. Agency will indemnify and save harmless HPI from any and all claims, liability, costs, damage or expense, for or on account of any damage or loss, occurring by reason of any failure by the Agency, its employees or sub-agencies to comply with this Agreement, or actions in soliciting business for HPI.
