Contract Structure. The Contract sets forth the basic requirements, duties, and responsibilities of the Department and the Grantee. It is supplemented by the documents attached hereto and incorporated by reference in Section II. The General Grant Requirements for the Distribution and Expenditure of State Aid and Targeted Grants (the “General Grant Requirements”), attached hereto as Exhibit A, contain provisions that apply to State Aid Grants and Targeted Grants awarded or distributed to Grantee under this Contract. Additionally, each Targeted Grant (identified by letter, e.g. “Grant E”) outlines requirements for the administration of that particular grant. The Contract and all documents incorporated herein, should, to the extent there is no conflict, be read and interpreted as a single document. The Grantee shall be bound by the duties, responsibilities, and requirements of each part of this Contract. If a provision contained in the General Grant Requirements conflicts with a provision in a Targeted Grant, the Targeted Grant provision controls.
Contract Structure. This Agreement consists of the following parts: these General Terms (which set out the contractual framework under which the Consultant will perform the Services); the Statement of Work (which sets out the Services and specific terms associated with the Services which the Consultant will perform as agreed from time to time); and any supplementary terms agreed by the parties, as set out in a Statement of Work. If there is any inconsistency between any of the parts of this Agreement, then the part listed higher in clause 2.1.1. prevails to the extent of any inconsistency.

The Contract and all documents incorporated herein, should, to the extent there is no conflict, be read and interpreted as a single document. Grantee shall be bound by the duties, responsibilities, and requirements of each part of this Contract. If a provision contained in the General Grant Requirements conflicts with a provision in a Targeted Grant, the Targeted Grant provision controls.
Contract Structure. 2.1 A Reseller Agreement comprises
2.1.1 the Order entered into in accordance with Clause 4;
2.1.2 the terms of the applicable Specific Schedule(s); and
2.1.3 the terms and conditions included in these GTC, (together, the "Reseller Agreement")
2.2 In the event of a conflict between this GTC and any other document incorporated into the Reseller Agreement, these GTC shall take prece- dence.
2.3 No terms and conditions of the Supplier shall apply to any transac- tion entered into by the Supplier and Reseller to which this Reseller Agreement applies unless such terms are specifically agreed by the Supplier and Reseller and incorporated into this Reseller Agreement (or any Order) in writing.
Contract Structure. 1.1. The terms applicable to the provision and use of the Services to and by Customer will be set out in an order form which shall be executed by both Cascade and Customer (Order Form). Upon execution by both parties, the Order Form will be incorporated into the terms of this Enterprise Services Agreement and together such documents take effect as the binding agreement regarding the Services (Agreement).
1.2. Any new features, tools or updates which are made available by Cascade to Customer during the Term as Services will also be subject to the Agreement.
1.3. In the event of any inconsistency between the terms contained within this Enterprise Services Agreement, the Terms of Use incorporated in the Enterprise Services Agreement, and the Order Form, the provisions will prevail in the following decreasing order:
1.3.1. the Special Conditions (if any);
1.3.2. the remaining provisions of the Order Form;
1.3.3. the Enterprise Services Agreement; and
Contract Structure. This Contract has two distinct parts. The State Financial Assistance Contract sets forth the basic requirements, duties and responsibilities of the Commission and the Grantee. It is supplemented by the Compliance Resource Manual, described in Subsection 2.2.1, that has been incorporated by reference into this Contract. The Compliance Resource Manual, which includes the General Grant Requirements-All Grants, hereinafter referred to as “General Grant Requirements”, as well as the provisions relating to the particular type of grant(s) received by Grantee under this Contract, referred to as the “Individual Grant Requirements”. The document entitled the General Grant Requirements contains provisions that are applicable to every grant awarded or distributed under this Contract. Additionally, each individual grant, identified by name and by letter, outlines the provisions relating to requirements for the administration of the particular grant. The State Financial Assistance Contract and the Compliance Resource Manual, which includes the General Grant Requirements and the applicable individual grant provisions should, to the extent there is no conflict, be read and interpreted as a single document. The Grantee shall be bound by the duties, responsibilities and requirements of each part of this Contract. If any specific provision contained in the General Grant Requirements conflicts with any provisions in the individual grant, the specific individual grant provision controls.
Contract Structure. 2.1 This Contract is divided into 7 parts:
(a) Part I: Introduction;
(b) Part II: Becoming an INMS Subscriber;
(c) Part III: Testing;
(d) Part IV: Service Delivery;
(e) Part V: Termination of the Services;
(f) Part VI: General Terms and Conditions; and
(g) Part VII: Definitions.
2.2 The relationship between SD and INMS is governed by:
(a) the Telecommunications Act;
(b) the Numbering Plan;
(c) the Business Rules; and
(d) this Contract. On any point of conflict between any of these documents, the document dealing with the point of conflict ranked first in the list will prevail.
Contract Structure. 2.1 This third party support services agreement is made and entered into by Support Revolution Limited, a company registered in England and Wales under company number 3626045 whose registered office is at 0-0 Xxxxxxxxx, Xxxxxx Xxx, Xxxxxxxx, XX00 0XX XX (the "Supplier") and , a company registered in ………………. under company number whose registered office is at………………………………………………………. ………………………………………………..……………………………… (the "Client").
2.2 The Client and the Supplier agree to be bound by:
2.2.1 these terms and conditions (subject to clause 3.3);
2.2.2 the Proposal;
2.2.3 the Service Description; and
2.2.4 the Quotation, (together, the "Agreement").
2.3 If there is any conflict or ambiguity between the terms of the documents listed in clause 2.2, a term contained in a document higher in the list shall have priority over one contained in a document lower in the list.
Contract Structure. Primary Nature of Vendor’s Obligations. Vendor’s liabilities and obligations under this MSA are primary and enforceable against Vendor at any time and in any legally permissible sequence, i.e., either before, simultaneously with, or after proceeding against any property or security available to USAC or against any Affiliate of Vendor or Subcontractor. Vendor’s obligations as outlined in this Section 2.1 will remain in full force and effect regardless as to any renewal, modification or extension of the MSA, and will survive the termination of the MSA until the expiration of all applicable statutes of limitations for claims which could be made by the claiming Party.
Contract Structure. The Department of Energy (DOE), National Energy Technology Laboratory (NETL) requires Utility Management Support Services for the DOE Federal Energy Management Program (FEMP) and the DOE Office of General Counsel (OGC).to mitigate programmatic impacts of the increasing cost of utility services. This contract will provide technical support services that will assist in meeting programmatic objectives through participation in utility rate proceedings to protect the DOE and other Federal Executive Agencies (FEAs) consumer and programmatic interests. Additionally, this contract will provide support services in determining the most cost effective way to meet the utility service requirements at DOE and DOE National Nuclear Security Administration facilities, together referred to as DOE Facilities, herein. The Contractor shall perform work on a contract line item number (CLIN) basis. The contract will contain two (2) CLINs, which are summarized below in Section 5.0 Contract Line Item Numbers (CLINS).
