Contractor's Employees and Sub-Contractors. The Contractor shall ensure that its contracts with suppliers or approved sub-contractors engaged for the purposes of the Project include a written condition undertaking to make payment for the supply of their goods and/or services within thirty days of receipt of the supplier's or sub-contractor's invoice (provided that such goods and/or services have been supplied in accordance with the relevant contract). The Contractor shall take all reasonable steps to satisfy itself that its employees or any approved sub-contractors (or their employees) are suitable in all respects to perform the Project. If the Department notifies the Contractor that it considers that an employee or sub-contractor is not appropriately qualified or trained to perform the Project or otherwise is not performing the Project in accordance with this Contract, then the Contractor shall, as soon as is reasonably practicable, take all such steps as the Department considers necessary to remedy the situation or, if so required by the Department, shall remove the said employee or sub-contractor from performing the Project and shall provide a suitable replacement (at no cost to the Department). The Contractor shall take all reasonable steps to avoid changes of employees or sub-contractors assigned to and accepted to perform the Project under the Contract except whenever changes are unavoidable or of a temporary nature. The Contractor shall give at least four week’s written notice to the Project Manager of proposals to change key employees or sub-contractors The Contractor shall immediately notify the Department if they have any concerns regarding the propriety of any of its sub-contractors in respect of work/services rendered in connection with this Contract.

Copyright in all reports and other documents and materials arising out of the performance by the Contractor of their duties under this Contract are to be assigned, and are hereby assigned, to and shall vest in the Crown absolutely. This condition shall apply during the continuance of this Contract and after its termination howsoever arising.

Contractor shall arrange and pay for background checks to be performed through the City of Des Moines Police Department on all employees before the employees work on DMWW property. No employees who have been convicted of a felony and no employees listed on the Sex Offender Registry shall be assigned to work on DMWW property. Background check documentation on employees shall be provided prior to employees working on DMWW property. Contractor shall pay employees and provide Workers Compensation and other required benefits in accordance with the laws of the State of Iowa. Contractor employees shall be courteous to the general public while performing services on DMWW property. Employees shall wear appropriate clothing at all times including full length brightly colored shirts (e.g. orange, florescent green, yellow), pants or work shorts, and safety shoes. Contractor employees are required to wear type two retro reflective safety vests while mowing on DMWW property. Clothing worn by the Contractor employees may include the Contractor’s logo or other business information but may not include any inappropriate markings. The Contractor shall not use sub-contractors.

Where a certification is required the Contractor shall provide evidence to prove that the CRB Check has been successfully performed to the Department on request by the Department’s Contract Manager. 7.9 The Contractor shall ensure that CRB checks are renewed in accordance...
