Description of Products and Services. 3.1. The Company shall be responsible for providing the Products and Services described in Exhibit B attached to this Contract and incorporated herein by reference. Without limiting the foregoing, the Company will perform the Services and meet the requirements as set forth in Exhibit B. However, the Company shall not be responsible for tasks specifically assigned to the City in this Contract or in Exhibit B. 3.2. The Company shall perform the Services on site at the City’s facility in Charlotte, North Carolina, except as mutually agreed upon in writing in specific instances by the City.

Description of Products and Services. BridgePay is providing Client with information concerning the technical requirements for allowing the Products and Services to send and receive electronic transaction data for authorization and/or settlement from and to Provider. To utilize the Products and Services, Client must: (i) provide for Client's own access to the World Wide Web and pay any fees associated with such access, and (ii) provide all equipment necessary for Client to make such connection to the World Wide Web, including a computer, modem and Web browser. Client will receive a password when registering. Upon approval, that password will allow Client access to the Products and Services. Client is responsible for maintaining the confidentiality of the password and account, and is fully responsible for all activities that occur under Client's password or account. Client agrees to immediately notify BridgePay of any unauthorized use of Client's password or account or any other breach of security.

Description of Products and Services. CVAL will conduct an ASHRAE Level I/II Audit of the facility to review equipment operation and provide recommendations to reduce energy consumption and improve facility performance. The facility assessment includes the building enclosure; lighting system; heating, ventilation system; domestic hot water equipment; equipment controls; and appliances and process loads. We uncover major facility modifications requiring detailed economic analysis and minor operation modifications offering simple and/ or quick paybacks. A list of major Energy Conservations Measure’s (ECM) are developed for each energy consuming systems (i.e., enclosure, HVAC, lighting, power, etc.). Upon final review of information and data gathered, and the reactions from customer at the conclusion of the field survey review, a finalized list of ECMs are developed and reviewed with Customer. Description of Products and Services. Workiva (the “Software”) implemented by Verosoft will enable CPS to prepare a full set of annual financial statements via the Workiva platform. The Software will have a complete transaction audit trail. The Software will have the capacity to help prepare the Annual Comprehensive Financial Report (ACFR) and State Annual financial reports. The Software will provide a single solution that allows CPS to publish all components of the Popular Annual Financial Report (“PAFR”). The Software will enable CPS to prepare a full set of monthly and quarterly financial statements for the senior management of CPS in a timely manner. The Software will allow users to share tasks while working on the same engagement. It is able to share the individual tasks and entire ACFR easily with external parties, especially the auditors. The Software is able to roll forward the current year figures and make them comparative figures for the next fiscal year. The Software will enable CPS to perform other data analysis quickly to help analyze financial ratios and other data. The Software will have the capacity to easily switch into an efficient and highly flexible XBRL format when that format will be highly recommended by the State of Illinois in the next couple of years. The Software enables CPS to easily customize content, styles, and formatting. Also, Vertosoft, LLC will provide support and guidance in Workiva, Lease Reporting (GASB 87) and SBITA Reporting features (GASB 96). • Vendor will support CPS in the Lease Reporting - GASB 87 in the following areas: o Generate GASB 87 journal entries for each individual lease and all leases in aggregate. o Prepare the information needed for GASB 87 Disclosures o Provide amortization schedules for each individual lease and all leases in aggregate. o Provide support for the following Lessee and Lessor lease types for both Equipment and Real Estate. • Vendor will support CPS in the SBITA Reporting - GASB 96 in the following areas: o Generate GASB 96 journal entries for each individual subscription arrangement and all SBITAs in aggregate. o Prepare the information needed for GASB 96 Disclosures o Provide amortization schedules for each individual subscription arrangement and all SBITAs in aggregate. Intuit will periodically sponsor promotions each calendar year for all clients participating in Growth and Retention Services designed to acquire, retain, cross sell or up sell End Users. As part of its sponsorship, Intuit will develop relevant themes and corresponding promotional materials that are targeted directly to Customer’s End Users which may include an incentive, cash prize or other prize. These promotions may include, but are not limited to: (a) Marketing campaign creative materials delivered over the web or other medium; (b) Webcast-delivered training sessions or onsite training relative to End User growth and retention; (c) Email campaign support in the form of message templates that can be used for recruitment, cross sell or retention campaigns; (d) Banners and Xxxx Pay Prompts placed on Customer’s website if Customer’s website is hosted by Intuit; (e) A flash demo; (f) Peer benchmark reports and best practice research techniques or procedures; (g) Acquisition or Activation retail merchandise, direct mail and email programs through third party vendors; (h) Other program components that Intuit may add, from time-to-time during the Term.
Description of Products and Services. This Exhibit describes AirWorks’ Services and certain technical features as well as rules and restrictions on the usage of AirWorks Services. This Exhibit adopts and incorporates by reference the terms and conditions of the Software as a Service Agreement between AirWorks Solutions, Inc. and applies to all Order Forms signed by Subscriber unless such Order Forms explicitly deviate from the descriptions herein. Transactions performed under this Order Form will be conducted with and be subject to the terms and conditions of this Exhibit and the Software as a Service Agreement between the parties hereto.
