DUTIES AND OBLIGATIONS OF THE COMPANY. (1) use its best efforts to make available to the Travel Agency the lowest fares available for all arrangements requested by the Travel Agency employees and comply with the Travel Agency’s travel policies in effect from time to time; (2) use its best efforts to ensure that third party providers of hotel services or vehicle services or other third party goods or services suppliers, selected or used by the Company in the provision of Services to the Travel Agency hereunder, are solvent and provide high quality services; and (3) monitor compliance & report supplier compliance with the Travel Agency’s travel policies as communicated to the Company from time to time.

DUTIES AND OBLIGATIONS OF THE COMPANY. The company appoints the second party as sole selling agent of the company for the [[Area Allotted]]. The company shall not make any direct supply to any dealer of the area of sole selling agent. If any such order is received, the same shall be forwarded to the sole selling agent for its execution. However, in case of urgency, if any supply to any dealer is made direct by the company, the sole selling agent shall get its [[Percentage]] % commission from the company direct. If in future necessity arises the company can open its own retail shop or appoint some other agent in the area of sole selling agent in order to promote public distribution system, but before doing that, the company shall obtain prior consent of the sole selling agent. Retail price of the product shall be determined by the company in consultation with the sole selling agent.

DUTIES AND OBLIGATIONS OF THE COMPANY. The Company agrees to give and deliver over to the Hirer the said machinery and equipment described in the Schedule hereunder written on hire on the terms and conditions hereinafter mentioned and pursuant to the said Agreement the Company has delivered possession of the said machinery and equipment to the Hirer. The Company through its authorized representative shall be entitled to inspect the said machinery and equipment during working hours at any time and for that purpose to enter into the premises where the said machinery and equipment will be installed or kept and the Hirer shall allow the Company and its representative to do so. The Company does not give any warranty as to the quality or fitness of the mechanism of the said machinery and equipment and will not be responsible or liable for any defect found therein. If the Hirer commits breach of any term of this Agreement or fails to pay any two monthly installments of hire charges, the Company will have the right to terminate this agreement by giving one month’s prior notice to that effect and unless in the meanwhile the breach is remedied and the hire charges are paid as the case may be, this agreement shall, on the expiration of the notice period stand terminated. If the agreement is terminated as aforesaid the Hirer’s option to purchase as hereinafter mentioned shall stand forfeited or cancelled. On the termination of this agreement by efflux of time or earlier termination by the Company or the Hirer or otherwise as aforesaid, the Company shall return to the Hirer the amount of deposit less the amounts payable by the Hirer to the Company for hire charges or otherwise and the expenses to be paid or incurred by the Hirer in terms of these presents and not paid by him. Notwithstanding the completion of sale of the machinery and equipment, the Company shall have a lien or charge on the same for all the moneys due and payable by the Hirer under this Agreement. The Company declares that : The Hirer shall have and enjoy quiet possession of the said machinery and equipment during the subsistence of this agreement. That the said machinery and equipment is free from any charge or encumbrance in favour of any third person. The Company has a right to sell the said machinery and equipment. The said machinery and equipment is [[new/second]] hand. DUTIES AND OBLIGATIONS OF THE COMPANY. A. The Company or its agent shall furnish to USBFS the data necessary to perform the services described herein at such times and in such form as mutually agreed upon by the parties. B. In connection with its use of the System, the Company shall comply with the terms of Section III of Exhibit B.
DUTIES AND OBLIGATIONS OF THE COMPANY. During the Term of this Agreement, the Company agrees to carry out and perform all of the duties and obligations set forth in this Section 2(b). (i) As consideration for Seller’s services hereunder, subject to Sections 1(b) and 1(c) hereof, the Company shall pay Seller an amount equal to the Costs by wire transfer of immediately available funds within thirty (30) days of Seller’s invoice. (ii) At all times during the Term of this Agreement, the Company and the Buyer shall manage the day-to-day activities of the Holtec Seconded Employees and Back-Office Personnel, respectively, (provided that Seller shall maintain ultimate direction and control over the Back-Office Personnel, and Company shall maintain day-to-day direction and supervision over the Seconded Employees during such period). The Company may request that Seller terminate the secondment of any Holtec Seconded Employee who cannot or will not comply with the directions of Company during the Term of this Agreement. (iii) The Company shall be responsible for OSHA compliance and shall document, and notify the Seller of the names of Holtec Seconded Employees with recordable or lost-time injuries under OSHA. (iv) On the Termination Date, Company shall, subject to Section 2(a)(ix), offer employment to all such Holtec Seconded Employees effective on the Termination Date.
DUTIES AND OBLIGATIONS OF THE COMPANY a) The Company will provide the ETX Capital Trading account to the Client for the purposes of Trading. b) The Company shall appoint: i. A Company Risk Manager in respect of the Account who will work with the Client on a need to basis; and ii. A coordinator at ETX Capital who will receive and act upon the instructions, howsoever received, from the Client. c) All major queries and points requiring clarification should be addressed to the relevant Company contact persons as defined in Appendix B to this Agreement. They have a duty to use their best endeavours to respond to the Client as soon as possible on all matters relating to the agreed work programme.
