Duties and Place of Employment. The Executive shall serve as the Chief Financial Officer of the Corporation, with such duties, responsibilities, and authority as are commensurate and consistent with his position, and such other duties, responsibilities and authority as may be, from time to time, reasonably assigned to him by the Chief Executive Officer of the Corporation (the “CEO”) or the Board of Directors of the Corporation (the “Board”). The Executive shall report directly to the CEO and the Board. During the Term (as defined in Section 3), the Executive shall devote his full business time and efforts to the performance of his duties hereunder unless otherwise authorized by the CEO or the Board. Notwithstanding the foregoing, the expenditure of reasonable amounts of time by the Executive for the making of passive personal investments (including, without limitations equity interests in Xxxxxxx Partners Holdings, LLC), the conduct of private business affairs, and charitable and professional activities shall be allowed, provided such activities do not materially interfere with the services required to be rendered to the Corporation hereunder and do not violate the confidentiality provisions set forth in Section 8 below. The Executive shall perform his services for the Corporation at the Corporation’s offices at 000 0xx Xxxxxx, Xxx Xxxx, XX 00000, or such other location as mutually agreed to by the parties.
Duties and Place of Employment. (1) During the continuance of his employment the Executive shall, without prejudice to the duties imposed on him by law, use his best endeavours to promote, develop and extend the business and interests of the Company and shall devote the whole of his working time, attention and ability to the business and affairs of the Company both during normal business hours and such additional hours as his duties shall require. The Executive agrees that the 48 hour weekly working time limit under the Working Time Regulations 1998 shall not apply to him. He understands that he can withdraw his agreement to this by giving the Company not less than 3 months’ notice. The Executive agrees to co-operate fully in assisting the Company to maintain such records of his working hours as may be required from time to time.
Duties and Place of Employment. (a) Employee shall perform all duties customarily performed by executives of publicly-held companies engaged in a business similar to Employer's business and who are employed in the same capacity as Employee pursuant to this Agreement. Employee shall devote his full business time during normal business hours to the business and affairs of Employer, use his best efforts to promote the interests of Employer and, use his best efforts to perform faithfully and efficiently responsibilities assigned to Employee hereunder. To the extent Employee has performed personal, civic or charitable activities or served on corporate boards or committees not significantly interfering with the performance of his responsibilities to Employer prior to the date of this Agreement, the continued conduct of such activities (or the conduct of activities similar in nature and scope thereto) subsequent to the date of this Agreement shall not be deemed to interfere with the performance of Employee's responsibilities to the Company. It is expressly agreed that Employee's continuing service on any boards or committees with which he shall be connected, as a member or otherwise, as of the date of this Agreement, or any such service approved by Employer during the Term of this Agreement, shall, not be deemed to interfere with the performance of Employee's services to Employer pursuant to this paragraph (a). Employee shall report directly and only to the Board of Directors or an executive committee of the Board of Directors. Employee shall perform his duties, at Employer's principal executive offices which are currently located at 0000 X.X. 00xx Xxxxxx, Xxxxxxxx, Xxxxxx 00000, or such other location as shall be mutually agreed upon by Employee and Employer. Subject to the terms of this Agreement, Employee shall comply promptly and faithfully with Employer's reasonable instructions, directions, requests, rules and regulations. Employer shall not be deemed to have waived the right to require Employee to perform any duties hereunder by assigning Employee to any other duties or services.
Duties and Place of Employment. (a) Employee shall be responsible for, and perform duties customarily performed by executives employed in the position of Vice President, Customer Relations or other duties as may be directed by the Employer, from time to time. Employee shall: (i) devote his full business time which shall include the time he reasonably and in good faith deems necessary to the xxxxxxxx xxd affairs of Employer; (ii) use his best efforts to promote the interests of Employer; (iii) perform faithfully and efficiently his responsibilities and duties; and (iv) refrain from any endeavor outside of his employment which interferes with his ability to perform his obligations hereunder. Employee shall perform the majority of his duties in Portland, Oregon, provided, however, that both parties understand that the position may require frequent travel to other locations as may be directed by Employer from time to time. Subject to the terms of this Agreement, Employee shall comply promptly and faithfully with all of Employer's policies, instructions, directions, requests, rules and regulations.

Employee shall be responsible for, and perform duties associated with his position as Executive Vice President and other duties as may be directed by the Employer, from time to time. Employee shall: (i) devote his full business time during normal business hours to the business and affairs of Employer; (ii) use his best efforts to promote the interests of Employer; and (iii) perform faithfully and efficiently his responsibilities. Employee shall perform his duties at the Employer's principal executive offices which are currently located at One Airport Center, 7700 N.E. Ambassador Place, Porxxxxx, Xxxxxx 00000, xx xxxx xxxxx xxxxxxxxx xx xxx be reasonably directed by Employer from time to time. Subject to the terms of this Agreement, Employee shall comply promptly and faithfully with all of Employer's policies, instructions, directions, requests, rules and regulations.
Duties and Place of Employment. The Executive shall serve as the Vice President of Operations of the Corporation, with such duties, responsibilities, and authority as are commensurate and consistent with his position, and such other duties, responsibilities and authority as may be, from time to time, reasonably assigned to him by the Chief Executive Officer (“CEO”) or the Board of Directors (the “Board”) of the Corporation; provided, that on the second anniversary of the Effective Date, the Executive shall become the Chief Operating Officer of the Corporation. The Executive shall report directly to the CEO. During the Term (as defined in Section 3), the Executive shall devote his full business time and efforts to the performance of his duties hereunder unless otherwise authorized by the CEO. Notwithstanding the foregoing, the expenditure of reasonable amounts of time by the Executive for the making of passive personal investments, the conduct of private business affairs, and charitable and professional activities shall be allowed, provided such activities do not materially interfere with the services required to be rendered to the Corporation hereunder and do not violate the confidentiality provisions set forth in Section 8 below. The Executive shall be permitted to perform his services for the Corporation from his home in Virginia Beach, VA or such other location as mutually agreed to by the parties.
Duties and Place of Employment. (a) Employee shall be responsible for, and perform duties associated with his position as Vice President- Distribution and other duties as may be directed by the Employer, from time to time. Employee shall: (i) devote his full business time during normal business hours to the business and affairs of Employer; (ii) use his best efforts to promote the interests of Employer; and (iii) perform faithfully and efficiently his responsibilities. Employee shall perform his duties at the Employer's distribution center, which is currently located in Wilmington, Ohio, or such other locations as may be directed by Employer from time to time. Subject to the terms of this Agreement, Employee shall comply promptly and faithfully with all of Employer's policies, instructions, directions, requests, rules and regulations.
Duties and Place of Employment. (a) Employee shall be responsible for, and perform duties associated with, her position as Chief Accounting Officer and other duties as may be directed by the Employer, from time to time. Employee shall: (i) devote her full business time during normal business hours to the business and affairs of Employer; (ii) use her best efforts to promote the interests of Employer; and (iii) perform faithfully and efficiently her responsibilities. Employee shall perform her duties at the Employer's principal executive offices, which are currently located at 7000 X.X. 00xx Xxxxxx, Xxxxxxxx, Xxxxxx 00000, or such other locations as may be directed by Employer from time to time. Subject to the terms of this Agreement, Employee shall comply promptly and faithfully with all of Employer's policies, instructions, directions, requests, rules and regulations.
Duties and Place of Employment. Employee agrees to serve as Regional Director of the Company, shall perform the duties, if so requested, which are consistent therewith and shall undertake and perform such additional or other duties which are commensurate with such position. Such services are to be performed at the locations in Wilmington, Newark and Dover, Delaware.
