EDUCATIONAL AND OTHER PAYS. Section 23.1 In April of each year, an employee with an Associate Degree shall receive Four-Hundred Dollars ($400.00) or in the alternative, a Bachelor’s Degree, Seven-Hundred Section 23.2 An employee enrolled in continuing education in the law enforcement field shall receive assistance in the amount of $75.00 per credit hour, and the cost of the textbook. Textbooks shall then remain the property of the Oberlin Police Department for future use. An employee must attain the grade of “C” or better. Course work must be approved by the Chief of Police or his designee prior to enrolling in the course. Reimbursement will be made upon completion of the course and documentation of the required grade. In no event shall an employee exceed payment of seven-hundred fifty dollars per year ($750.00) for continued education. Section 23.3 Any employee who is designated by the Employer to act as the senior officer in charge of a shift and performs such duties by being in charge of a work shift shall receive an additional Two Dollars and Seventy-Five Cents ($2.75) per hour for each hour worked. Section 23.4 Any employee required to utilize his personal vehicle to attend required or approved training shall be entitled to a mileage reimbursement consistent with the prevailing IRS mileage allowance rate. Such mileage reimbursement shall be deemed full reimbursement for all fuel, maintenance, repair and insurance costs. Additionally, employees attending such training shall be entitled to reasonable meal reimbursement at the applicable rate approved by the City when meals are not otherwise provided. Section 23.5 Employees assigned by management to perform K-9 handling and related duties shall be compensated seven (7) hours per two (2) week period when performing those duties. The Chief or his designee shall determine how those seven (7) hours during the two (2) week period are to be scheduled in relationship to the operating requirements of the department. Specifically, the canine handler may be scheduled to work seventy-three (73) hours per two (2) weeks, with the remainder of the normal two (2) week period consisting of the seven (7) paid hours of off-duty canine responsibilities. Alternatively, the canine handler may be scheduled to work the normal eighty (80) hours per two (2) week period, or more, with the seven (7) hours of canine responsibility being considered additional hours of work. EDUCATIONAL AND OTHER PAYS. Section 1. Education Cost Reimbursement Each full-time Officer who enrolls in and satisfactorily completes a college level law enforcement course (or related field of study), or a required or elective course, approved by the Chief of Police, at an accredited institution which can be applied toward a, bachelor’s degree or master’s degree in law enforcement or related field, as determined and approved by the Chief of police, will receive 50% reimbursement for tuition, parking, and books, provided the Employee provides the Employer with receipts and proof of completion of courses and maintains academic good standing or a 3.0 accumulative grade point average. Each full-time Officer anticipating enrollment for college level classes shall notify the Police Chief of their intent at least thirty (30) days in advance of said enrollment. The Police Chief may accept or reject notifications filed with less than thirty (30) days notice. For each quarter or semester of reimbursement, reimbursement shall not exceed equivalent fees at Youngstown State University. The equivalency rates for institutions other than Y.S.U. will be determined by calculating an equivalent per/quarter or per/semester rate for Y.S.U. Section 2. Conditions for Officers Xxxxx Xxxxx to December 31, 1999 An officer hired by the City of Xxxxxxxx as a police officer prior to December 31, 1999 and who has earned a degree (as specified in Section 1 of this article) while in the employ of the City of Xxxxxxxx as a police officer shall be reimbursed for the remaining 50% of the cost of tuition and books, and quarter/semester parking permit fees receipted after January 1, 2000. Said reimbursement shall be made only if the officer completes two (2) continuous years of employment with the City of Xxxxxxxx as a police officer after receipt of said degree.
EDUCATIONAL AND OTHER PAYS. ‌ 19.01. An employee who has received a training certificate attesting to the satisfactory completion of all Law Enforcement courses offered towards an Associate Degree in Law Enforcement, shall receive additional pay in the amount of two hundred dollars ($200.00), annually. 19.02. Any employee, who has received an Associate Degree in Law Enforcement or related fields, shall receive additional pay in the amount of four hundred dollars ($400.00), annually. 19.03. Any employee, who has received a Bachelor’s Degree in Law Enforcement or related fields, shall receive additional pay in the amount of eight hundred dollars ($800.00), annually. 19.04. Any employee, who has received a Master’s Degree in Law Enforcement or related fields, shall receive additional pay in the amount of one thousand two hundred dollars ($1,200.00) annually. 19.05. Payment pursuant to paragraphs 1, 2, 3, & 4 of this Article shall be paid on or before the first of December each year. Payment to new hires during their first year of employment shall be on a pro-rata basis. 19.06. Each employee, who is employed with the Employer as of November 15th, shall receive a medium sized turkey or ham during the Christmas holiday season, at the Employer’s expense.

  • SPECIAL AND OTHER LEAVE ‌ Definition of immediate family for Article 20 (Special and Other Leave): is an employee's parent, stepparent, spouse, common-law spouse, grandparent, grandchild, child, stepchild, brother, sister, father-in-law, mother-in-law, son-in-law, daughter-in-law, legal guardian, legal xxxx, and any other relative permanently residing in the employee's household or with whom the employee permanently resides.

  • Utilities and Other Services 4.4.1 The Tenant shall arrange, at its own cost and expense, for the installation, connection and supply of all utilities and any other services required by it at or in relation to the Premises. 4.4.2 The Tenant shall pay to the suppliers, and indemnify the Landlord against, all charges for the installation, connection and supply of all utilities and any other services consumed or used at or in relation to the Premises and the Tenant shall comply with the requirements and regulations of the respective suppliers. Tenant to initial 4.4.3 For the purposes of this Clause 4.4, the term “utilities” shall include water, electricity, telecommunications network, gas and any water-borne sewerage systems.

  • COMPENSATION AND OTHER FEES As compensation for the services provided by Xxxxxx xxxxxxxxx, the Company agrees to pay to Xxxxxx: (A) The fees set forth below with respect to the Placement: 1. A cash fee payable immediately upon the closing of the Placement and equal to 6% of the aggregate gross proceeds raised in the Placement. Additionally, a cash fee payable within 48 hours of (but only in the event of) the receipt by the Company within 12 months of the Closing Date of any proceeds from the exercise of the Warrants sold in the Placement that are solicited by the Placement Agent and otherwise in compliance with Financial Industry Regulatory Authority (“FINRA”) Rule 5110 equal to 5% of the aggregate cash exercise price received by the Company upon such exercise, if any (the “Warrant Solicitation Fee”), provided, however, the Warrant Solicitation Fee shall be reduced (before any reduction to the Xxxxxx Warrants described in the last sentence of Section A.2 below or any reduction to the expense reimbursement to Xxxxxx in Section B below) to the extent (and only to the extent) that Xxxxxx’x aggregate compensation for the Placement, as determined under FINRA Rule 5110, would otherwise exceed 8%. Such determination of the actual Warrant Solicitation Fee shall be made promptly following completion of the Placement and communicated in writing to the Company. 2. Such number of warrants (the “Xxxxxx Warrants”) to be issued to Xxxxxx or its designees at the Closing to purchase shares of Common Stock equal to 5% of the aggregate number of Shares sold in the Placement. The Xxxxxx Warrants shall have the same terms as the Warrants (if any) issued to the Purchasers in the Placement except that the exercise price shall be at least 125% of the public offering price per share, but in any event not less than the Warrant exercise price, and the expiration date shall be November 27, 2012. The Xxxxxx Warrants shall not have antidilution protections or be transferable for six months from the date of the Offering except as permitted by FINRA Rule 5110, and further, the number of Shares underlying the Xxxxxx Warrants shall be reduced if necessary to comply with FINRA rules or regulations. Such determination of the actual number of Shares underlying the Xxxxxx Warrants shall be made promptly following completion of the Placement and communicated in writing to the Company. (B) The Company also agrees to reimburse Xxxxxx’x expenses (with supporting invoices/receipts) up to a maximum of 0.8% of the aggregate gross proceeds raised in the placement, but in no event more than $30,000 and only in the event the Placement has been consummated. If payable, such reimbursement shall be paid immediately upon the closing of the Placement.

  • Administrative and Other Services (a) Subadviser will, at its expense, furnish (i) all necessary investment and management facilities, including salaries of personnel required for it to execute its duties faithfully, and (ii) administrative facilities, including bookkeeping, clerical personnel and equipment necessary for the efficient conduct of the investment affairs of the Fund (excluding determination of net asset values and shareholder accounting services). (b) Subadviser will maintain all accounts, books and records with respect to the Fund as are required of an investment adviser of a registered investment company pursuant to the Investment Company Act and the rules thereunder. Subadviser agrees that such records are the property of the Trust, and will be surrendered to the Trust promptly upon request. The Manager shall be granted reasonable access to the records and documents in Subadviser’s possession relating to the Funds. (c) Subadviser shall provide such information as is necessary to enable Manager to prepare and update the Trust’s registration statement (and any supplement thereto) and the Fund’s financial statements. Subadviser understands that the Trust and Manager will rely on such information in the preparation of the Trust’s registration statement and the Fund’s financial statements, and hereby covenants that any such information approved by Subadviser expressly for use in such registration and/or financial statements shall be true and complete in all material respects. (d) Subadviser will vote the Fund’s investment securities in the manner in which Subadviser believes to be in the best interests of the Fund, and shall review its proxy voting activities on a periodic basis with the Trustees.

  • Administrative and Other Fees The Borrower agrees to pay the administrative and other fees of the Administrative Agent as provided in the Fee Letter and as may be otherwise agreed to in writing from time to time by the Borrower and the Administrative Agent.

  • Stamp and other duties The Borrowers shall pay all stamp, documentary, registration or other like duties or taxes (including any duties or taxes payable by any of the Creditors) imposed on or in connection with any of the Underlying Documents, the Security Documents or the Loan and shall indemnify the Creditors or any of them against any liability arising by reason of any delay or omission by the Borrowers to pay such duties or taxes.

  • Improper and Other Payments (a) Neither the Company, any director, officer, employee thereof, nor any agent or representative of the Company nor any person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any person or authority, (b) no contributions have been made, directly or indirectly, by the Company to a domestic or foreign political party or candidate; and (c) the internal accounting controls of the Company are believed by the Company’s management to be adequate to detect any of the foregoing under current circumstances.

  • Financial and Other Covenants Borrower shall at all times comply with the financial and other covenants set forth in the Schedule.

  • Fees and Other Charges (a) The Borrower will pay a fee on each outstanding Letter of Credit requested by it, at a per annum rate equal to the Applicable Margin then in effect with respect to Eurocurrency Loans under the Revolving Facility (minus the fronting fee referred to below), on the face amount of such Letter of Credit, which fee shall be shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date; provided that, with respect to any Defaulting Lender, such Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit during the period prior to the time such Lender became a Defaulting Lender and unpaid at such time shall not be payable by the Borrower so long as such Lender shall be a Defaulting Lender except to the extent that such Lender’s ratable share of any letter of credit fee shall otherwise have been due and payable by the Borrower prior to such time; provided further that any Defaulting Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit shall accrue for the account of the Borrower so long as such Lender shall be a Defaulting Lender. In addition, the Borrower shall pay to each Issuing Lender for its own account a fronting fee on the aggregate face amount of all outstanding Letters of Credit issued by it to the Borrower separately agreed to by the Borrower and such Issuing Lender (but in any event not to exceed 0.25% per annum), payable quarterly in arrears on each Fee Payment Date after the issuance date. (b) In addition to the foregoing fees, the Borrower shall pay or reimburse each Issuing Lender for costs and expenses agreed by the Borrower and such Issuing Lender in issuing, negotiating, effecting payment under, amending or otherwise administering any Letter of Credit requested by the Borrower.

  • Litigation and Other Notices Furnish to the Administrative Agent (which will promptly thereafter furnish to the Lenders) written notice of the following promptly after any Responsible Officer of the Company obtains actual knowledge thereof: (a) any Event of Default or Default, specifying the nature and extent thereof and the corrective action (if any) proposed to be taken with respect thereto; (b) the filing or commencement of, or any written threat or notice of intention of any person to file or commence, any action, suit or proceeding, whether at law or in equity or by or before any Governmental Authority or in arbitration, against any Loan Party or any Subsidiary as to which an adverse determination is reasonably probable and which, if adversely determined, would reasonably be expected to have a Material Adverse Effect; (c) any other development specific to any Loan Party or any Subsidiary that is not a matter of general public knowledge and that has had, or would reasonably be expected to have, a Material Adverse Effect; (d) the development of any ERISA Event that, together with all other ERISA Events that have developed or occurred, would reasonably be expected to have a Material Adverse Effect; and (e) any change in the information provided in the Beneficial Ownership Certification delivered to such Lender that would result in a change to the list of beneficial owners identified in such certification.
