Employment Commitment. As partial consideration for the benefits --------------------- available to Executive under this Agreement, Executive hereby agrees to remain as an officer and employee of Sensormatic during any Attempted Change in Control and for a period of six months immediately after a Change in Control first occurs (the "Commitment Period"), and during the Commitment Period to devote substantially all his business time and efforts to the business and affairs of Sensormatic, provided that Executive shall be entitled to terminate his employment by Sensormatic during an Attempted Change in Control or at any time following a Change in Control in circumstances which constitute an involuntary termination pursuant to Section 10 hereof. Executive's participation in other businesses, as a director or otherwise, with the approval of Sensormatic's Board of Directors (which approval shall be deemed to include the Board of Directors not objecting to such participation following disclosure thereof to the Board of Directors by Executive, and which approval may not be withdrawn following such Change in Control) shall not be deemed to contravene the foregoing provision. In the event that Executive voluntarily terminates his employment with Sensormatic (other than by resignation contemplated in Section 10 hereof) at any time during the Commitment Period, Executive shall not be entitled to any of the benefits provided for in this Agreement, other than those provided under Sections 6(a)(i), 6(a)(ii), 6(a)(iii), 6(a)(iv), 6(b)(ii), 12, 13 and 15 hereof, and shall promptly repay to Sensormatic, on an after-tax basis, any benefits previously received by him pursuant to any provisions of Sections 6 or 7 of this Agreement not referred to in this sentence, but Sensormatic shall have no other remedy for Executive's failure to remain an employee and officer as required by this Section 4. Any amounts or benefits received by Executive pursuant to the Officer Agreement or any other written employment agreement between Sensormatic and Executive or any other compensation plan or arrangement of Sensormatic, even if similar or identical to those to which he would be entitled under this Agreement, shall not be deemed received pursuant to this Agreement or be repayable to Sensormatic for purposes of the preceding sentence.

Employment Commitment. Executive shall devote such time, attention, knowledge, and skills to the business and interests of the Company as Company may reasonably require, and the Company shall be entitled to all of the benefits and profits arising from or incident to the work, services, advice, inventions, or innovations of Executive in connection with the Company’s business.
Employment Commitment. (a) An employee who accepts educational assistance is expected to commit to continued employment for at least six (6) months after completion of the course(s). If the employee fails to complete the course within this timeframe, they may be required to provide full reimbursement of all educational assistance received within thirty (30) days.

A Full-Time Equivalent Job will be considered new if the individual was hired on or after Effective Date. 4.3.3. Determination each year of compliance with the Employment Commitment will be based on the employment data provided to the City pursuant to this Agreement for the year under evaluation.

As a condition of being granted sabbatical leave, will be required to sign a written commitment, the Return to Service Agreement for Sabbatical Leave, to return to the department for a period of employment equal to their period of sabbatical leave. A UT who does not honour this commitment will be required to repay the monies paid to him or her during the sabbatical leave or a portion thereof based on the number of months worked by the UT after returning from sabbatical leave. at the UT-2 or UT-3 level, who are granted a first sabbatical leave within ten (10) years of joining the College, will be on leave without pay and may be granted an allowance in lieu of salary equal to of their annual rate of pay in effect at the commencement of the leave, except as provided for in (e) of this clause. Pay increments and promotion increases based on performance prior to the commencement of the sabbatical leave will be implemented on the normal increment date, and the allowance will be adjusted accordingly.

Employment Commitment. A. The Grantee acknowledges and agrees that the grant provided pursuant to this Agreement is conditioned upon the representations of the Grantee set forth in this Agreement, including without limitation the Company Economic Impact Goals. B. The Grantee hereby certifies and reports that it employed the Base Employment Number at the Project Location as of the Commencement Date. C. For purposes of Indiana Code § 5–28–6–6, and Indiana Code § 5-28-7-2(4), and Indiana Code § 5-28-7-2(4), the IEDC hereby expects, and the Grantee hereby agrees, that from the Commencement Date until the Expiration Date, the Grantee shall maintain operations of the Project at any site where grant funds are used. D. For purposes of Indiana Code § 5–28–6–6, and Indiana Code § 5-28-7-2(4), the IEDC hereby expects, and the Grantee hereby agrees, that between the Expiration Date and the end of the Reporting Period, the Grantee shall (i) maintain operations of the Project at any site where grant funds are used and (ii) employ a number of full-time employees from whom Indiana withholdings are collected, employed at the Project Location of at least eighty percent (80%) of the Grantee’s Base Employment Number. E. In the event that the IEDC finds that the Grantee has not met the terms of this Paragraph 7, the Grantee may be subject to a determination by the IEDC that the Grantee shall be required to repay to the IEDC all or part of the funds disbursed under this Agreement, plus any reasonable collection costs, attorney’s fees, and other expenses, and all applicable interest and penalties. In the event that the IEDC determines that the Grantee has ceased to maintain material operations of the Project at any site where grant funds were used, the Grantee hereby agrees that the repayment of all funds received under this Agreement, plus any reasonable collection costs, attorney’s fees, expenses, and all applicable interest and penalties, would be fair, reasonable, and balanced in proportion to the Grantee’s default in light of expectations surrounding the grant’s original award. F. Prior to making a final determination, and only to the extent required by Indiana Code § 5–28–6–6, the IEDC shall hold a closed-door hearing to provide the Grantee an opportunity to prove its compliance or otherwise explain its noncompliance.
