Equipment Terms. These terms relate to the purchase and installation of the Equipment. Our full terms relating to the purchase of the Equipment will be provided to you before submitting your order at which point you will need to tick the box to confirm you agree to the Equipment Terms.
Equipment Terms. If Seller is providing Equipment to HSY, Seller shall abide by the following terms:
(A) EQUIPMENT WARRANTY: The warranty shall be for twelve (12) months from the date of successful Site Acceptance Testing (SAT) and HSY acceptance. No limitation of hours shall apply during the warranty period. The warranty shall be inclusive of all expenses for parts, shipping, labor, and travel.
(B) SPARE PARTS: Furnish a recommended spare parts list, minimum of 45 days prior to shipment, including the Original Equipment Manufacturer (OEM) part numbers with current pricing. Describe your spare parts ordering process including ordering procedures, parts origination, stocking location, lead times for quotes and order release, etc.
(C) BANNED MATERIALS: HSY will not accept equipment deliveries which contain any of the following banned materials:
(i) Glass (except lamps totally covered by plastic lenses). All equipment components where glass is normally used shall utilize shatter-resistant materials.
(ii) Mercury
(iii) Asbestos
(iv) Wood
(v) Non-food grade lubricants (except for special applications approved by HSY)
(vi) Fiberglass (except for building insulation and control boxes approved by HSY)
(vii) Polychlorinated biphenyls (PCBs)
(viii) Lead (ix) Chromates
(x) Exposed silver or silver plating
(D) APPROVAL DRAWINGS: All approval drawings submitted for review shall be in English. All final documentation shall be in English and in AutoCAD (.dwg) format. Release 2010 format is preferred but release 2004 thru 2010 format is acceptable. Older formats are not acceptable. Cut sheets must also be in the above referenced AutoCAD format. Adobe Portable Document Format (PDF), Tagged Image Format (TIF), Bitmap (BMP), Joint Photographic Experts Group (JPEG) or any other image formats are not acceptable.
Equipment Terms. 5.1 Client agrees to purchase, and Fiserv agrees to sell, the Computer System described in Exhibit M - n in accordance with the terms specified in Exhibit L. Fiserv shall arrange for installation of the Computer System in consideration of the Installation Fees listed on Exhibit M - n.
5.2 Unless the parties agree otherwise in writing, Fiserv shall not be responsible for the provision of any maintenance or repairs to the Computer System or of any parts or replacements for the Computer System.
Equipment Terms. Client will utilize equipment that meets or exceeds the minimum standards established by Fiserv for the implementation and operation of the Software System.
Equipment Terms. SUB-ITEMS a., b. AND c. BELOW APPLY ONLY TO EQUIPMENT PURCHASED BY CUSTOMER DIRECTLY FROM ITRON:
Equipment Terms. You agree to use terminals and related equipment acceptable to us. Any advertising material, card imprinters, imprinter plates, authorization terminals, credit and card authenticators or other equipment, unused forms and the deposit plastic cards provided by the Bank will not become Merchant’s property. You will protect the equipment from loss, theft, damage or any legal encumbrance and will allow the Bank and its designated representative reasonable access to your premises for their repair, removal, modification, installation and relocation. Rental fees for the equipment are listed on the Schedule of Rates and Fees attached hereto. In the event any of the equipment is subsequently purchased from the Bank pursuant to the terms contained in the Schedule of Rates and Fees, such equipment will become the property of the Merchant. Payment for equipment must be made to the Bank by check, money order, or debit to the Settlement Account.
Equipment Terms. Rental hardware includes the repair and replacement for the term of the agreement. Buy hardware includes one-year replacement of equipment. Does not cover excessive wear and acts of God.
Equipment Terms. 7.1 Client agrees to purchase, and Fiserv agrees to sell, Equipment described in each Exhibit 2n. Client understands that Fiserv is acting as an independent sales organization representing each manufacturer or supplier identified in each Exhibit 2n.
7.2 Client also understands and agrees that Fiserv's ability to obtain Equipment may be subject to availability and delays due to causes beyond Fiserv's control. Fiserv shall promptly place any orders submitted under this Agreement with each manufacturer or supplier and shall, at Client's direction, request expedited delivery whenever available.
7.3 Client shall be responsible for appropriate property insurance for all equipment, whether Client-owned or Fiserv-owned, within Client's premises.
7.4 On Client's behalf, Fiserv shall arrange for Equipment delivery to the site or sites (collectively, "Installation Site") designated by Client on each Exhibit 2n on or about the date ("Delivery Date") requested by Client. In the absence of shipping instructions, Fiserv shall select a common carrier on Client's behalf.
7.5 Fiserv shall arrange for Equipment installation in consideration of the Installation Fees listed on each Exhibit 2n. Client shall not perform any installation activities without Fiserv's written consent. Client shall provide Fiserv or its designee access to the Equipment and Installation Site until installation is completed. Fiserv agrees to comply with Client's access and security requirements while performing Services on Client site, provided that (i) Client provides Fiserv with all such requirements in writing not less than 30 days prior to Fiserv's personnel arrival onsite, (ii) all such requirements are reasonable in nature and do not conflict with Fiserv policies and practices, and (iii) Client shall reimburse Fiserv for any costs incurred by Fiserv in complying with such Client's requirements. If a suitable installation environment is not provided by Client, then Fiserv shall be required to perform only as many normal installation procedures as it deems to be practicable within the available facilities. Equipment installation will take place during normal Fiserv business hours, Monday through Friday, exclusive of Fiserv holidays, unless otherwise agreed by Fiserv.
