ETHICAL STANDARDS AND HUMAN RIGHTS. 34.1 The Supplier warrants, to the best of its knowledge and belief, that in relation to its performance of this Agreement and unless otherwise required or prohibited by Applicable Law:
(A) it does not employ engage or otherwise use any child labour in circumstances such that the tasks performed by any such child labour could reasonably be foreseen to cause either physical or emotional impairment to the development of such child;
(B) it does not use forced labour in any form (prison, indentured, bonded or otherwise) and its employees are not required to lodge papers or deposits on starting work;
(C) it provides a safe and healthy workplace, presenting no immediate hazards to its employees. Any housing provided by the Supplier to its employees is safe for habitation. The Supplier provides access to clean water, food, and emergency healthcare to its employees in the event of accidents or incidents at the Supplier’s workplace;
(D) it does not discriminate against any employees on any ground (including race, religion, disability or gender);
(E) it does not engage in or support the use of corporal punishment, mental, physical, sexual or verbal abuse and does not use cruel or abusive disciplinary practices in the workplace;
(F) it pays each employee at least the minimum wage or a fair representation of the prevailing industry wage (whichever is the higher) and provides each employee with all legally mandated benefits;
(G) it complies with Applicable Laws on working hours and employment rights in the countries in which it operates; and
(H) it is respectful of its employees’ right to join and form independent trade unions and freedom of association.
34.2 In relation to its performance of this Agreement, the Supplier complies with and shall continue to comply with the Supplier Code set out in Exhibit 10 (Standards and Policies) and hereby gives the agreements, representations and covenants contained in that Exhibit.
34.3 The Supplier is responsible for controlling its own supply chain and shall encourage compliance with ethical standards and human rights by any supplier of goods and services (including Materials) that are used by the Supplier when performing its obligations under this Agreement (including the Nominated Suppliers and Permitted Subcontractors).

19.1.7. it complies with the laws on working hours and employment rights in the countries in which it operates;
19.1.8. it is respectful of its employees’ right to join and form independent trade unions and freedom of association.
19.2. The conclusion of Agreement shall be tantamount to Supplier’s confirmation that there exists no conflict of interest in connection with performance of the Agreement and that Supplier is not linked or affiliated with GSK and its employees by way of connections of financial, personal or other kind.
19.3. The Supplier agrees that it is responsible for controlling its own supply chain and that it will encourage compliance with ethical standards and human rights by suppliers of goods and services that are used by the Supplier under the Agreement.
19.4. The Supplier will ensure that it has ethical and human rights policies and an appropriate complaints procedure to deal with any breaches of such policies.

ETHICAL STANDARDS AND HUMAN RIGHTS. Each Party certifies that it shall encourage compliance by itself, its Affiliates, and its and their respective personnel and Contractors with ethical standards and human rights relating to discrimination, safe and healthy work environment, fair wages and other employee rights, when performing its obligations under this Agreement.

(e) it does not engage in or support the use of corporal punishment, mental, physical, sexual or verbal abuse and does not use cruel or abusive disciplinary practices in the workplace;
(f) it pays each employee at least the minimum wage, or a fair representation of the prevailing industry wage, (whichever is the higher) and provides each employee with all legally mandated benefits;
(g) it complies with the laws on working hours and employment rights in the countries in which it operates;
(h) it is respectful of its employees right to join and form independent trade unions and freedom of association; and
(i) it complies with the GSK Anti-Bribery and Corruption Requirements set out in Schedule D.
(1) Flamel is responsible for controlling its own supply chain and shall encourage compliance with ethical standards and human rights by any subsequent Flamel of goods and services that are used by Flamel when performing its obligations under this Agreement.
(2) Flamel shall ensure that it has ethical and human rights policies and an appropriate complaints procedure to deal with any breaches of such policies. In the case of any complaints, Flamel shall report the alleged complaint and proposed remedy to GSK.
ETHICAL STANDARDS AND HUMAN RIGHTS. 21.1 Unless otherwise required or prohibited by law, the Supplier shall
(a) not use child labors and/or forced labors. The Supplier must comply with all labour laws and respect fundamental rights at work.;
(b) ensure responsible procurement of raw material by adopting high ethical standard of our procurement activity;
(c) cause its supplier or contractor to adhere to the same initiatives as mentioned in the Corporate social responsibility/Environmental, Social, and Corporate Governance (“CSR/ESG”) Policies xxxxx://xxx.xxx.xxx/sustainability/index.html in order to promote CSR/ESG awareness and activities; and
(d) warrant that any and all information provided to NSK, regardless of the form in which it is provided (whether written, in electronic or other format), is fair, true and accurate. If necessary, NSK personnel may visit the Supplier business premises to inspect CSR/ESG initiatives. Any breach of this clause shall be deemed a material breach under this Contract.
ETHICAL STANDARDS AND HUMAN RIGHTS. ALLERGAN does not employ engage or otherwise use any child labour in circumstances such that the tasks performed by any such child labour could reasonably be foreseen to cause either physical or emotional impairment to the development of such child;

Codexis represents and warrants, to the best of its knowledge, that in connection with this Agreement, it respects the human rights of its staff and does not employ child labor, forced labor, unsafe working conditions, discrimination on the basis of race, religion, disability or gender, or cruel or abusive disciplinary practices in the workplace; and that it pays each employee at least the minimum wage, provides each employee with all legally mandated benefits, and complies with the laws on working hours and employment rights in the countries in which it operates. Codexis shall encourage compliance with these standards by any supplier of goods or services that it uses in performing its obligations under this Agreement.
ETHICAL STANDARDS AND HUMAN RIGHTS. Supplier represents and warrants, to the best of its knowledge, that in connection with the Agreement, it respects the human rights of its staff and does not employ child labour, forced labour, unsafe working conditions, or cruel or abusive disciplinary practices in the workplace and that it does not discriminate against any workers on any ground (including race, religion, disability, gender, sexual orientation or gender identity); and that it pays each employee at least the minimum wage, provides each employee with all legally mandated benefits, and complies with the laws on working hours and employment rights in the countries in which it operates and will not use any employees to perform the Agreement who are employed under a zero hour contract. Supplier will be respectful of its employees’ right to freedom of association and will encourage compliance with these standards by any subcontractor that it uses in performing its obligations under the Agreement.

(a) it complies with applicable U.S. laws, including, but not limited to, the Uyghur Forced Labor Prevention Act; and (b) it is prepared to provide the documentation necessary to substantiate that compliance upon request by Company or by U.S. Customs and Border Protection. Customer further acknowledges and agrees that Company is relying on Customer’s representation and warranty in deciding to sell Products to Customer.
17.2 Customer represents and warrants that, to the best of its knowledge, in connection with the Contract or its use of the Products, it respects the human rights of its staff and does not employ child labor, forced labor, unsafe working conditions, or cruel or abusive disciplinary practices in the workplace and that it does not discriminate against any workers on any ground (including race, religion, disability, gender, sexual orientation or gender identity); and that it pays each employee at least the minimum wage, provides each employee with all legally mandated benefits, and complies with the laws on working hours and employment rights in the countries in which it operates. Customer shall be respectful of its employees’ right to freedom of association and shall encourage compliance with these standards by any supplier of goods or services that it uses in performing its obligations under the Contract and its use of the Products.
17.3 Customer shall implement and maintain standardized language in its contracts with third-party suppliers of goods and services requiring compliance with human rights and anti-forced labor laws. Customer shall promptly terminate its relationship with any third- party supplier of goods or services in connection with this Contract or its use of the Products upon becoming aware of a violation of human rights or anti-forced labor laws by the third party.
17.4 Customer shall promptly notify Company upon learning or having reason to know of (a) any potential violation of applicable human rights or anti-forced labor laws by any director, officer, employee, agent or representative of Customer in connection with the Contract or their use of the Products; or (b) any investigation by, or any inquiry, request or subpoena received from, any governmental authority regarding the same.
