Licensee Services. The following tasks will be the responsibility of the Licensee. These items will need to be completed in order to support the successful introduction of the new functionality. Prior to any work being performed by TripSpark, Licensee will be required to execute the TripSpark license and maintenance agreements and as amended and provide an executed purchase order (PO) for the value of the project. Licensee's staff will be required to participate in the Operational Review. In advance of the conference calls, Licensee's staff may be required to collect information and respond to a simple survey. Within five (5) days of delivering the operational review, the TripSpark PM will schedule a meeting to review the document. It's encouraged that Licensee review the document internally prior to the meeting.

Note: Licensee is free to record any training provided by TripSpark to be used solely for its internal business purposes. The final phase of the implementation will be acceptance testing. This involves Licensee utilizing the Software in the test environment to ensure the Software responds accurately to users input and the features and functions of the Software work as specified. We estimate the duration of user acceptance for this implementation to be approximately two (2) weeks. The table below identifies the resource requirements for the Licensee.

Licensee Services. Licensee represents, warrants, covenants and agrees that Licensee Services (i) will comply with all Applicable Laws; (ii) will satisfy all conditions and requirements as set out in this Agreement (including any Documentation); (iii) will be developed in strict compliance with the Documentation; (iv) will not infringe upon or misappropriate any third party Intellectual Property Rights or other proprietary right of a third party; (v) will not be used for nuclear energy equipment, air traffic control, the operation of critical communication system, public transportation control, life support devices, or other ultra-hazardous uses where failure of the Licensee Service to perform would be reasonably expected to cause deaths, injuries or severe physical property or environmental losses; (vi) will not disable, hack or otherwise interfere with any authentication, content protection, digital signing, digital rights management, security or verification mechanisms implemented in the Samsung Service or Samsung Devices; and (vii) will not contain any viruses, Trojan horses, malware, spyware, adware or other disruptive software, or any software code which is designed to disrupt, damage, or perform unauthorized actions on a computer system, or which transmits data from Samsung webservers or other computer systems of Samsung or any third party.
Licensee Services. Subject to clause 4.2, RI Advice Group will provide to the Representative the services that RI Advice Group believes are reasonably necessary to enable the Representative to provide the RI Advice Group Services. At a minimum RI Advice Group will provide the Representative with the services described in Schedule 2 (which RI Advice Group may amend by giving the Representative not less than 6 months’ written notice).
Licensee Services. 3.1. The Licensee shall be responsible for providing installation, training and support services to the end user for all Products sold by the Licensee. The Licensee may charge the end user for any such services at a rate determined by the Licensee.
Licensee Services. 1.1. Under this Agreement, GAEA provides the Licensee with a license to operate a cafeteria on Consulate premises for the purpose of selling food and beverage services to Consulate employees and Consulate customers. No United States Government funds are obligated under this agreement. 1.2. The Licensee will operate cafeteria and snack services on Consulate work days, generally Monday through Friday from 7:45 am to 3:30 pm, except for Consulate holidays. GAEA may change work days and hours as needed, with written notice to the Licensee. A list of Consulate holidays will be provided. 1.3. The Licensee agrees that occasionally food, snacks and beverages will be sold on the Consulate compound by the Guangzhou American Employee Association (GAEA) as well as other outside vendors. GAEA agrees to endeavor that the sales of food, snacks and beverages do not interfere with the overall sales volume of the Licensee and that the sales of these types of items are only meant to supplement, and not replace the sales of the Licensee's menu items. 1.4. Any change in menu items or prices must be approved in advance by the Consulate's Cafeteria Board. The Licensee, in coordination with the Consulate's Cafeteria Board, shall plan and advertise menus through various media, and post daily menus near the service counter. 1.5. The Licensee agrees to communicate regularly with the Consulate Cafeteria Board regarding initiating and implementing improvements to the menu. The Licensee agrees to strive to ensure customers are satisfied with the variety and quality of menu items as well by responding to customer and board feedback in a reasonable period of time. 1.6. The Licensee shall ensure that dining facilities leave a favorable impression of the Consulate to employees and guests. The Licensee shall remove and wash any soiled dishes, provide clean dishes, and assure that tables and chairs are cleaned before each patron is seated. The Licensee shall remove trash from the cafeteria needed several times each day.

Licensee Services. Licensee may by serving notice in writing on Licensor terminate the Licensee Services (i) if Licensor becomes bankrupt or insolvent or is unable to pay its debts or enters into compulsory or voluntary liquidation other than for the purpose of any corporate restructuring or reorganisation not in consequence of debt or compounds with or convenes a meeting of its creditors or has a receiver or manager or an administrative receiver or an administrator is appointed over its assets or ceases for any reason to carry on business or takes or suffers any similar or analogous action in any jurisdiction of the Territory or (ii) by reason of the operation of Section 6.1.1(b) above, in which cases, for the avoidance of doubt, Licensee shall adhere to the Migration Plan as set out in Section 6.3 below.
Licensee Services. Licensor may by serving notice in writing on Licensee terminate the Licensee Services if: (i) Licensee is in material breach of any obligation in this agreement relating to the Licensee Services (including those set out in Sections 4 or schedule C) or in breach of any obligation in Section 5 and fails to remedy such breach (if capable of remedy) within ninety (90) days of a written notice served by Licensor specifying the breach; or (ii) Licensee becomes bankrupt or insolvent or is unable to pay its debts or enters into compulsory or voluntary liquidation other than for the purpose of any corporate restructuring or reorganisation not in consequence of debt or compounds with or convenes a meeting of its creditors or has a receiver or manager or an administrative receiver or an administrator is appointed over its assets or ceases for any reason to carry on business or takes or suffers any similar or analogous action in any jurisdiction of the Territory.
Licensee Services. 11.2.1 Subject to Section 11.4 below, Licensee shall not be liable for: (a) any loss of anticipated savings, loss of business, loss of profits, loss of revenue, and/or (b) any loss of availability, business interruption, loss of or corruption of data; and/or (c) any additional operational and/or administrative costs and expenses; or (d) any indirect or consequential loss or damage; arising out of or in connection with the Licensee Services and all such liability is hereby excluded howsoever arising whether arising in contract, in tort (including in negligence), for breach of statutory duty or otherwise. 11.2.2 Subject to Section 11.4 below, the maximum aggregate combined liability of Licensee to Licensor howsoever arising (whether arising in contract, tort (including negligence) or otherwise) in connection with the Licensee Services relating to events in any calendar year shall not exceed the aggregate of the consideration paid or payable to Licensor by Licensee under Section 5.2 during such year.
