Local, Statewide or National Association Officer Leave. ‌ A. The District shall grant a leave to the President of the Association or statewide or national association officer for each school year covered by this Agreement on the basis of the portion of the school day determined by the Association. Such leave shall be granted in multiples of .2 at the secondary level or in multiples of .5 at the elementary level. B. Provided that the Association shall reimburse the District monthly in advance for the full scheduled salary and benefit costs to the District, the District shall: 1. Make salary payments to the President inclusive of contracted additional days as if he/she were not on leave. 2. Allow the President to participate in District-approved insurance programs, provided that such participation is allowed by the insurance carriers. 3. Grant a total of twelve (12) days sick leave at the beginning of each school year, prorated on an FTE basis. Use and cash out of sick leave shall be the same as that described in Section 4.1. C. In the event the Association fails to reimburse the District in advance as required above, the District may, at its discretion, cancel this Section in its entirety. D. Upon expiration of said leave, subject to eligibility under layoff and recall provisions in effect at the time of expiration, the employee shall be returned to his/her former position or one of similar nature, and unused accumulated leave in Section 4.1, A. to which the employee is entitled before the leave shall be maintained and restored to the employee upon return to active employment, and for purposes of salary schedule placement the year of leave shall be considered the same as a year of local service. E. The Association agrees to indemnify the District and hold it harmless against any and all claims, demands, suits, attorney fees, or other forms of liability that may arise out of or by reason of the District's compliance with the terms of this Section. The Association shall have the right to select the legal counsel to be used. The District shall cooperate by providing all information available to it that is deemed necessary by the legal counsel for adequate representation of the District.

  • CHIEF EXECUTIVE OFFICER AND CHIEF FINANCIAL OFFICER CERTIFICATION The undersigned Chief Executive Officer and Chief Fiscal Officer of the Recipient, as both are designated in Appendix B of the Agreement, hereby request the Director to disburse financial assistance moneys made available to Project in Appendix C of the Agreement (inclusive of any amendment thereto) to the payee as identified below in the amount so indicated which amount equals the product of the Disbursement Ratio and the dollar value of the attached cost documentation which was properly billed to the Recipient in exclusive connection with the performance of the Project. The undersigned further certify that:

  • Association President The President of the Association has the right to visit schools. The President will coordinate the visits with the offices of the principals in order to facilitate the purpose of this visit. Visits that are made to solve special problems of teachers will be arranged in advance by notifying the office of the principal.

  • Chief Operating Officer The Chief Operating Officer shall be responsible for managing the day to day operations of the Company and shall see to it that all orders of the Chief Executive Officer are carried into effect.

  • Certificate of Chief Financial Officer On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

  • OFFICER AND CHIEF FINANCIAL OFFICER CERTIFICATION Pursuant to Section 6(b) and 6(c) of the Agreement, the undersigned Chief Executive Officer and Chief Fiscal Officer of the Recipient, as both are designated in Appendix B of the Agreement, hereby request the Director to disburse financial assistance moneys made available to Project in Appendix C of the Agreement (inclusive of any amendment thereto) to the payee as identified below in the amount so indicated which amount equals the product of the Disbursement Ratio and the dollar value of the attached cost documentation which was properly billed to the Recipient in exclusive connection with the performance of the Project, or, in the case of a final disbursement request, the amount entered at Line V of this Appendix E. The undersigned further certify that:

  • Union Officers Employees hereafter elected or appointed to full­ time Union office shall be granted a leave of absence without loss of sen­ iority but without accumulating seniority during the period of the leave of absence.

  • Legal and Accounting Services The Company may obtain legal and accounting services to the extent reasonably necessary for the conduct of the Company's business.

  • President’s Leave The Employer shall authorize a leave of absence with pay for the President of the Association. The leave of absence with pay shall be taken for a two-year period beginning two (2) weeks after written notice by the Association to the Bureau of Employee Relations and the newly-elected President’s agency. During such leave of absence with pay, the President shall continue to receive and retain all of his/her wages, rights, benefits, and seniority as a state employee except that all leave accumulation shall be frozen for the duration of the leave of absence. Upon returning from the leave of absence, the President shall resume earning leave at the rates appropriate to his/her service at the time of return. The Employer agrees that there shall be no action taken with respect to the President or the President’s state position prior to or following his/her return from the leave of absence because of his/her legal union activities. The Association agrees to reimburse the Employer for the full cost of the wages and benefits for the President, and to indemnify the Employer against any and all liabilities associated with the leave of absence, including but not limited to workers' compensation.

  • Certificate of Financial Officer — Compliance Concurrently with any delivery of financial statements under Section 8.01(a) or Section 8.01(b), a certificate of a Financial Officer in substantially the form of Exhibit D hereto (i) certifying as to whether a Default has occurred and, if a Default has occurred, specifying the details thereof and any action taken or proposed to be taken with respect thereto, (ii) setting forth reasonably detailed calculations demonstrating compliance with Section 8.13(b) and Section 9.01 and (iii) stating whether any change in GAAP or in the application thereof has occurred since the date of the audited financial statements referred to in Section 7.04 and, if any such change has occurred, specifying the effect of such change on the financial statements accompanying such certificate.
