Maintenance Management Plan. 5.5.1 On or before 60 days after the date of issuance of Maintenance NTP1, Maintenance Contractor shall prepare and submit, for TxDOT’s review and approval, a Maintenance Management Plan. The Maintenance Management Plan shall meet the requirements set forth in Section 1903 of Exhibit 2, and comply with the Capital Maintenance Agreement Documents, applicable Government Approvals, and applicable Law. Following the delivery of the initial Maintenance Management Plan, Maintenance Contractor shall submit to TxDOT, for TxDOT’s review and approval, a Maintenance Management Plan update meeting the requirements of Section 1903 of Exhibit 2 by each anniversary of the Initial Maintenance Term Commencement Date. 5.5.2 The Maintenance Management Plan and each update shall show the timing of and methodology for performing the various Maintenance Services. The duration and number of working days of any Maintenance Services set forth in the Maintenance Management Plan that require lane closures shall be subject to the written approval of TxDOT. 5.5.3 TxDOT shall review the Maintenance Management Plan and each update and shall meet with Maintenance Contractor within 30 Days after its submittal to discuss revisions and clarifications or to resolve any disagreements. Within 15 Days after such meeting, Maintenance Contractor shall resubmit the Maintenance Management Plan to TxDOT. TxDOT will either approve or disapprove the Maintenance Management Plan within 15 Days, with comments, objections, recommendations or disapprovals noted in writing. If TxDOT disapproves the Maintenance Management Plan, within ten days after receiving written notice of comments, objections, recommendations or disapprovals from TxDOT, Maintenance Contractor shall submit to TxDOT a revised initial or updated Maintenance Management Plan rectifying such matters and, for matters Maintenance Contractor disagrees with, a written notice setting forth those comments, objections, recommendations and disapprovals that Maintenance Contractor disputes, which notice shall give details of Maintenance Contractor’s grounds for dispute. If Maintenance Contractor fails to give such notice within such time period, it shall be deemed to have accepted the comments, objections and recommendations and the initial or updated Maintenance Management Plan, as applicable, shall thereupon be deemed revised to incorporate the comments and recommendations and to rectify the objections or disapprovals. Maintenance Management Plan. 5.6.1 Developer shall submit the Maintenance Management Plan (“MMP”) to TxDOT for review and approval its sole discretion at least 60 days prior to NTP2. Approval by TxDOT of the MMP shall be a condition of NTP2. Developer shall update the MMP and submit it along with the initial O&M Work Schedule to TxDOT for review and approval no later than 90 days before Substantial Completion of Phase 1 of the Project. The MMP shall meet the requirements set forth in Section 19 of the Technical Provisions, and comply with the Contract Documents, applicable Government Approvals, and applicable Law. Following the delivery of initial MMP, Developer shall submit to TxDOT, for TxDOT’s review and approval in its sole discretion, an MMP update meeting the requirements of Section 19 of the Technical Provisions by each anniversary after Substantial Completion of Phase 1 of the Project. 5.6.2 The MMP and each update shall show the timing of and methodology for performing the various O&M Work. The duration and number of working days of any O&M Work set forth in the MMP that requires Lane Closures shall be subject to the written approval of TxDOT. 5.6.3 TxDOT shall review the MMP and each update and shall meet with Developer within 30 Days after its submittal to discuss revisions and clarifications or to resolve any disagreements. Within 15 Days after such meeting, Developer shall resubmit the MMP to TxDOT. TxDOT will either approve or disapprove the MMP, in its sole discretion, within 15 Days, with comments, objections, recommendations or disapprovals noted in writing.
Maintenance Management Plan. 4.2.1 DB Contractor shall submit the Maintenance Management Plan (MMP) to TxDOT for review and approval in its discretion no later than 120 days prior to the Initial Maintenance Term Commencement Date. DB Contractor may not commence Maintenance Services until TxDOT has approved the applicable MMP. 4.2.2 The MMP is an umbrella document that describes DB Contractor’s managerial approach, strategy, and quality procedures to maintain the Maintained Elements and satisfy all requirements of the CMC Documents. The MMP shall define the process for maintenance of the Maintained Elements throughout the Maintenance Period. Unless otherwise agreed by TxDOT, the MMP shall be consistent with the maintenance approach and MMP submitted with the Proposal. 4.2.3 TxDOT shall review the MMP and each update thereto and shall meet with DB Contractor within 30 days after DB Contractor submits the MMP to discuss any revisions, clarifications or points of disagreement. TxDOT will either approve the MMP or disapprove the MMP with comments or objections in writing within 15 days of such meeting. If TxDOT disapproves the MMP, DB Contractor shall within ten days of receiving such disapproval, submit to TxDOT a revised MMP or update thereto, as applicable.
Maintenance Management Plan. (a) At the Department’s request, the Development Entity shall promptly meet and confer with the Department to review and discuss any Maintenance Management Plan submitted to the Department pursuant to Section 10 (Operation & Maintenance) of the Technical Provisions.
Maintenance Management Plan. 8.4.1 Notwithstanding any other provision of this Agreement to the contrary, the Authority shall be required to approve each Maintenance Management Plan prepared by Developer in accordance with Section 23 (Maintenance) of the Requirements and Provisions for Work. The Authority may only withhold its approval of any such Maintenance Management Plan if: 8.4.1.1 it does not comply with the requirements of Section 23 (Maintenance) of the Requirements and Provisions for Work; 8.4.1.2 with respect to any annual or five year Renewal Work Schedule, it does not set out a proposed program of Renewal Work that is reasonably likely to ensure that the condition of the Project Facilities will meet or exceed the Maintenance Performance Requirements over the period to which the proposed Renewal Work Schedule relates; or 8.4.1.3 during the Handback Period only, the proposed Renewal Work Schedule is not consistent with the Handback Renewal Work Plan. 8.4.2 At the Authority’s request, Developer and its Maintenance Contractor(s), if any, shall promptly meet and confer with the Authority to review and discuss any annual or five year Renewal Work Schedule submitted to the Authority pursuant to Section 23 (Maintenance) of the Requirements and Provisions for Work.

TxDOT will either approve the MMP or disapprove the MMP with comments or objections in writing within 15 days of such meeting. If TxDOT disapproves the MMP, DB Contractor shall within ten days of receiving such disapproval, submit to TxDOT a revised MMP or update thereto, as applicable. 5.5.4 As part of the MMP, DB Contractor shall submit a Maintenance Services Quality Management Plan in accordance with Section 4.1 of Exhibit 2. 5.5.5 The DB Contractor shall submit an annual report to TxDOT by each anniversary of the Initial Maintenance Term Commencement Date. This annual report shall comply with the requirements of Section 6.2 of Exhibit 2 to this Comprehensive Maintenance Agreement.

Until resolution of any portion of the initial or updated Maintenance Management Plan that is in Dispute, the treatment of that portion in the immediately preceding approved Maintenance Management Plan shall remain in effect and govern.
