Obligations of Service Provider. Provider will take reasonable steps to: • Implement and maintain a written comprehensive information security program containing administrative, technical and physical safeguards for the security and protection of Nonpublic Personal Information and further containing each of the elements set forth in § 314.4 of the Gramm Xxxxx Xxxxxx Standards for Safeguarding Client Information (16 C.F.R. § 314) and the Red Flag Rules issued by the Federal Trade Commission; • Ensure the security and confidentiality of Nonpublic Personal Information received from Client; • Protect against any anticipated threats or hazards to the security or integrity of Nonpublic Personal Information; • Protect against unauthorized access to or use of such information that could result in harm or inconvenience to Client; • Ensure the proper disposal of Nonpublic Personal Information, as set forth in the MSA or in Service Attachments signed under the MSA, and • Notify Client of any loss or breach of the security or Confidentiality of Client's Nonpublic Personal Information.
Obligations of Service Provider. (a) Service Provider represents and warrants that it has implemented a comprehensive written information security program that includes administrative, technical and physical safeguards for the protection of Customer Information that are appropriate to Service Provider’s size, complexity, nature and scope of activities, and that is designed to:
(i) ensure the integrity and confidentiality of Customer Information;
(ii) protect against any anticipated threats or hazards to the security or integrity of Customer Information; and
(iii) protect against unauthorized access to, or use of, Customer Information that could result in substantial harm or inconvenience to any customer.
(b) Service Provider agrees to ensure that any agent, including a subcontractor, to whom it provides Customer Information received from, or created or received by Service Provider on behalf of GLBA Licensee, agrees to the same restrictions and conditions that apply through this Agreement to Service Provider with respect to such Customer Information.
(c) In no event shall Service Provider, without GLBA Licensee’s prior written approval, provide Customer Information (received from, or created or received by Service Provider on behalf of GLBA Licensee) to any employee or agent, including a subcontractor, if such employee, agent or subcontractor receives, processes, or otherwise has access to the Customer Information outside of the United States.
(d) Service Provider agrees to make policies, procedures, and documentation relating to the safeguarding of Customer Information available to the GLBA Licensee, or at the request of the GLBA Licensee to a DOI, in a time and manner designated by the GLBA Licensee or DOI, for purposes of the DOI determining GLBA Licensee’s compliance with GLBA.
(e) Service Provider agrees to affirm in writing, upon request from GLBA Licensee from time to time, Service Provider’s continued compliance with its representations, warranties and obligations under this Agreement.
Obligations of Service Provider. 6.1. Service Provider shall make the DAC6pro Service available to Subscriber, for internal use by Subscriber’s employees appointed by Subscriber during the term of this Agreement. Service Provider is obliged to keep the DAC6pro up-to-date.
6.2. Service Provider shall provide the DAC6pro Service related help and support to Subscriber, to the extent this does not exceed reasonable software maintenance efforts as defined per Article 10 below.
6.3. Per request of Subscriber, within a reasonable time frame Service Provider shall provide Subscriber with the most recent information and documentation pertaining to the performance of the DAC6pro Service and Service Provider’s IT security status.
Obligations of Service Provider. 1. Service Provider shall be obliged to provide Services in accordance with the specifications provided by Client, and agreed to in Annex 1
2. Service Provider shall complete the Services within the time set in the project planner after Client design approval and milestone payment, excluding any time required by Client for feedback, changes, additional complexities not discussed in the proposal and approvals.
3. Service Provider undertakes to acquire and maintain all necessary licenses, authorizations and approvals required for rendering the Services.
4. Each approval for any design or function by Client shall require written confirmation, prior to proceeding to the next phase or milestone of the project.
5. Service Provider shall exercise all reasonable skills, care and diligence in accordance with sound internationally recognized professional standards while performing its obligations.
Obligations of Service Provider. Service Provider shall carry out its duties and obligations under this Agreement in a timely and diligent manner with expertise, with the highest professional standards and ethical business practices and shall execute and discharge the Services to the entire satisfaction of ___________ in accordance with the direction and specific instructions as may be issued by _________________ from time to time.
Obligations of Service Provider. The Service Provider undertakes to comply with Swiss data protection legislation, as well as any other applicable legislation. If the General Data Protection Regulation (GDPR) is applicable, the Service Provider also undertakes to comply with the obligations mentioned in art. 28 point 3 GDPR.
Obligations of Service Provider. (i) The Service Provider shall impart appropriate and reasonable training to the Delivery Personnel to provide the Services and to meet service quality standards as agreed under this Agreement.
(ii) The Service Provider agrees that in the event any Consignment for delivery is marked as ‘Cash On Delivery’ (COD), it shall collect the invoice value of the Consignment against delivery of the Consignment to the Customer by cash or card through POS devices in favour of The Client (“Customer Payment”), which shall be remitted to The Client weekly and without any kind of deduction or adjustment. The Service Provider agrees that for the delivery of the Consignments indicated as COD, the Consignments will be delivered to the Customer only on receipt of the Customer Payment.
(iii) The Service Provider shall from time to time provide The Client the list of pin codes of the areas lying within the Territory where Service Provider shall make the delivery of the Consignments. This list shall be updated by the Service Provider as and when new service areas are added to the coverage under the scope of this Agreement.
(iv) The Service Provider shall on real time basis provide uninterrupted interface for tracking Consignment information such that any and all requisite information is spontaneously available to The Client to satisfy Customers’ queries with respect to delivery of Consignments.
(v) The Service Provider shall comply with all applicable laws in relation to the Delivery Services.
Obligations of Service Provider. 5.1 Service Provider shall carry out its duties and obligations under this Agreement in a timely and diligent manner with expertise, with the highest professional standards and ethical business practices and shall execute and discharge the Services to the entire satisfaction of in accordance with the direction and specific instructions as may be issued by from time to time.
5.2 Service Provider is responsible and liable for compliance and implementation of all statutory provisions applicable to it and to its employees from time to time.
5.3 Service Provider shall obtain and maintain all licenses, registrations, approvals, permissions, sanctions, etc. under applicable laws necessary to perform the Services. Service Provider will promptly notify license is revoked or has expired. in writing in the event any permit or
5.4 Service Provider shall comply with all applicable laws and regulations in rendering the Services hereunder. shall in the event of any violation of this clause, have the option at its sole discretion to terminate this Agreement with immediate effect without notice or payment in lieu thereof.
5.5 Service Provider agrees that any Services which are not performed to the satisfaction of or fail to meet the requirements of shall be re- performed or rectified by the Service Provider at its own cost and expense to the satisfaction of .
Obligations of Service Provider. 1.1 Service Provider shall upload correct hotel rates for the various seasons on the portal;
1.2 Service Provider shall ensure that all the hotel documents with health and safety and other insurance is in place;
1.3 Service Provider shall make sure to provide proper hotel description and the hotel category on the portal and if any added facility with the hotel room should be mentioned in the description;
1.4 Any incorrect details provided with respect to hotel shall be the liability of the Service Provider;
1.5 Service Provider shall ensure that the hotel shall at all times comply with the applicable laws and related policies implemented by TBO;
1.6 Service Provider shall at all times provider proper assistance and support to TBO in case of any discrepancy in the services;
1.7 Service Provider shall inform TBO in case there is any change in the hotel category or in case there is construction in the property;
1.8 The Service Provider shall ensure that the extranet feed for every hotel property featured shall clearly indicate the availability of all facilities.
1.9 Service Provider shall at all times keep the log in credentials and password confidential and it shall not disclose it to unauthorized parties and to not use it for purposes other than those it has been provided for.
Obligations of Service Provider. 15.1. Pursuant to the laws and regulations in force, the Service Provider shall act in accordance with the practices of the profession.
15.2. The Service Provider shall not be held liable for a consequence arising from a breakdown in the means of transmitting the Orders used, regardless of whether the breakdown happens between the Client and itself, between itself and an agent it would have designated as its representative, or between itself and the Market on which the Order is presented.
15.3. In performing its assignment, the Service Provider may appoint an agent to represent it pursuant to the standards and practices internationally recognised in the business.
