On-Site Audit. 4.1 As part of an audit, the auditor will conduct site visits to:
(i) examine all applications that consume Turquoise Data;
(ii) examine any permissioning systems used;
(iii) discuss any discrepancies discovered during the audit preparation work.
(iv) The auditor will, where possible, resolve all audit queries whilst on site.
(v) Both the auditor and the audited party should cooperate to resolve outstanding queries or resulting follow up items as soon as possible after the completion of the site work.
On-Site Audit. TTM, our customers and Regulatory Authorities shall be granted right of access to all Supplier and Sub-Tier Supplier Facilities inclusive of all Quality Records involved in fulfilling TTM Purchase Orders. On-Site Audit. Viasystems, its customers, and regulatory authorities shall be granted the right of access to all supplier and sub-tier supplier facilities and all quality records involved in fulfilling Viasystems purchase orders. There is more information regarding on-site audits in Section 3, Supplier Status & Maintenance.
On-Site Audit. ERSRI shall have the right, at Morneau Shepell’s premises at any time during business hours, on 30 days’ written notice, for up to three (3) Business Days, (based on an eight hour day during regular business hours of Morneau Shepell) per calendar year, to conduct an audit (i) to confirm that security and data protection protocols utilized by Morneau Shepell comply with NIST or other industry acceptable standards; (ii) to verify Fees invoiced to ERSRI pursuant to this Agreement; or (iii) to satisfy ERSRI’s own audit or governance and oversight requirements. If ERSRI requires more than three (3) Business Days per calendar year or if Morneau Shepell is required to produce special reports as part of the audit process, Morneau Shepell will have the right to charge for this function at an agreed-upon rate. Morneau Shepell shall have the right to refuse the use by ERSRI of any particular auditor or firm, provided that it has reasonable grounds for doing so, including that such firm is a competitor of Morneau Shepell. Morneau Shepell shall be provided with any draft findings, reports, or observations and have a reasonable period of time to respond thereto. Upon the conclusion of an audit, a copy of any findings, reports or observations shall be provided to Morneau Shepell. In the event that, as a result of any such audit, ERSRI identifies any issue which, in ERSRI’s reasonable judgment, is deficient, or requires improvement, then ERSRI shall promptly notify Morneau Shepell of same in writing, such notice to include ERSRI’s requirements for correcting any such deficiency. Within thirty (30) Business Days of receipt of such notice, Morneau Shepell shall confirm in writing that it will promptly implement such corrective measure, or shall notify ERSRI of its disagreement with said requirements. In the event of disagreement between the parties, the dispute shall be resolved in accordance with Article 11 (Dispute Resolution).
On-Site Audit. Customer may contact Xactly to request an on-site audit of Xactly’s Processing activities covered by this DPA (“On-Site Audit”). An On-site Audit may be conducted by Customer either itself or through a Third-Party Auditors (as defined below in Section 6.2.4.) selected by Customer when:
1. Xactly’s provision of an Audit Report is not sufficient to demonstrate compliance with the obligations set out in this DPA; or
2. such an audit is required by Data Protection Laws and Regulations or by Customer’s competent Supervisory Authority. Any On-Site Audits will be limited to Personal Data Processing and storage facilities operated by Xactly or any of Xactly’s Affiliates. Customer acknowledges that Xactly operates a multi-tenant cloud environment. Accordingly, Xactly shall have the right to reasonably adapt the scope of any On-Site Audit to avoid or mitigate risks with respect to, and including, service levels, availability, and confidentiality of other Xactly customers’ information.
On-Site Audit. If an on-site audit is required, Customer will give Company written notice of at least thirty (30) days of any audit or inspection and must be subject to reasonable confidentiality procedures. The frequency, time frame and scope of any audit will be mutually agreed upon between the parties acting reasonably and in good faith, including the selection of any third- party auditor. Customer will notify Company of any non-conformance discovered during the audit. If an on-site audit is mandatory it shall be conducted in such a manner as not to unreasonably interfere with Company’s business operations.
On-Site Audit. Each Borrower, at its sole expense, shall, at any ------------- and all reasonable times during business hours, periodically grant Lender access to enter upon said Borrower's premises and permit Lender to examine and audit the books and records of the business and accounts of said Borrower including but not limited to reviewing, auditing and reconciling said Borrower's Books, Accounts and collection results.
On-Site Audit. Customer may contact Area 1 Security to request an on-site audit of Area 1 Security’s Processing activities covered by this DPA (“On-Site Audit”). An On-Site Audit may be conducted by Customer either itself or through a Third-Party Auditor (as defined below in section 6.2.4) selected by Customer when: ■ the information available pursuant to section “Third-Party Certifications and Audits” is not sufficient to demonstrate compliance with the obligations set out in this DPA and its Schedules; ■ Customer has received a notice from Area 1 Security of a Customer Data Incident; or ■ such an audit is required by Data Protection Laws and Regulations or by Customer’s competent supervisory authority Any On-Site Audits will be limited to Customer Data Processing and storage facilities operated by Area 1 Security or any of Area 1 Security’s Affiliates. Customer acknowledges that Area 1 Security operates a multi-tenant cloud environment. Xxxxxxxxxxx, Xxxx 0 Security shall have the right to reasonably adapt the scope of any On-Site Audit to avoid or mitigate risks with respect to, and including, service levels, availability, and confidentiality of other Area 1 Security customers’ information.
