President/CEO. The President/CEO shall be the principal executive officer of the Company and shall, subject to Managers’ control, generally supervise and control the Company’s business and affairs. The President/CEO shall, when present, preside at all Managers’ and Member meetings, and shall perform all duties incident to the office of President/CEO and such other duties as may be prescribed by this Agreement or by the Managers. The offices of President and CEO may be held by two separate individuals with the authority and responsibilities of each office determined by the sole discretion of the Managers.

President/CEO. The president and chief executive officer of the Corporation (the “President & CEO”) shall see that all orders and resolutions of the Board are carried into effect, and the President & CEO shall have the general powers of supervision and management usually vested in the president and chief executive officer of a corporation, including the authority to vote all securities of other corporations and business organizations held by the Corporation, and, subject to the control of the Board, shall have general management and control of the affairs and business of the Corporation. The President & CEO shall appoint and discharge employees and agents of the Corporation (other than officers elected by the Board) and fix their compensation. In the absence or disability of the Chairperson of the Board, or if that office has not been filled, the President & CEO also shall perform the duties of the Chairperson of the Board as set forth in these Bylaws. The President & CEO shall have the power to execute bonds, mortgages and other contracts, agreements and instruments of the Corporation, and shall do and perform such other duties as from time to time may be assigned to the President & CEO by the Board.

President/CEO. The Company covenants and agrees to use commercially reasonable efforts to identify, select and retain a new President/CEO of the Company within 90 days after the Closing Date. The retention of such President/CEO shall require the prior written consent of Investor, such approval not to be unreasonably withheld. The Investor agrees to cooperate with the Company in the identification, selection and retention of a new President/CEO of the Company. The parties acknowledge that the identification, selection and retention of a new President/CEO of the Company is a critical element for the ongoing success of the Company and the parties agree to act in good faith in connection therewith. Upon the retention of a new President/CEO of the Company in accordance with this Section, the Company shall use its best efforts to cause a Director who is not an Investor Nominee to resign from the Board, the Company will cause such new President/CEO to be nominated as a director at the next succeeding annual meeting of the Company and the Company and the Investor will use their best efforts to cause such new President/CEO to be elected to the Board.
President/CEO. The President/CEO of Chamber/CVB shall act as the President/CEO of the TBID, without charge to TBID. The President/CEO shall report to the TBID Board of Trustees and shall serve as the “Director” of the TBID funds as required by state statute (Montana Code Annotated-2007; 7-12-1121). The President/CEO shall have supervisory authority and responsibility for all staff of the Chamber/CVB, and shall have sole discretion to hire, fire and evaluate and assign duties to employees. The President/CEO will be evaluated by the Chamber/CVB Board. One member from the TBID Board may participate and have input on the President/CEO evaluation.
