Provision of Consulting Services. You agree to exercise the highest degree of professionalism and utilize your expertise and creative talents in performing these services. You will not be required to report to the Company’s offices during the Consulting Period, except as specifically requested by the Company. When providing such services, you shall abide by the Company’s policies and procedures.
Provision of Consulting Services. The Company and the Consultant agree that, for a term commencing on the Commencement Date and continuing thereafter throughout the period of time provided in this Agreement, the Company may retain the Consultant to provide, and the Consultant will provide upon request, consulting services to or for the Company on an as-needed and as requested by the Company basis. The persons authorized to request on behalf of the Company the performance of such consulting services are Xxxxxx Carleone, and Xxxxxx Xxxxxxx. The Consultant shall deliver to the Company any materials, work product and other deliverables resulting from or required by the services provided by the Consultant hereunder, including any such deliverables agreed by the parties to be provided. The Consultant shall deliver the deliverables when and as agreed by the parties. Upon delivery to the Company of any deliverables, the Company shall have the opportunity to review such deliverables and report to the Consultant the results of the review and the Consultant shall make changes reasonably requested by the Company within a reasonable time period from the Company’s request. The process of review described in this Section shall continue until the Company accepts the deliverables. During performance of the services provided under this Agreement, the Consultant shall, from time to time as requested by the Company, provide the Company with copies of or access to drafts, work in progress and other materials relating to such services.

You agree to make yourself available to perform such Consulting Services throughout the Consulting Period, on an as-needed basis, up to a maximum of one (1) business day per week. You will not be required to report to the Company’s offices during the Consulting Period. When providing such services, you shall abide by the Company’s policies and procedures.
Provision of Consulting Services. 2.1 Unless otherwise specified in the applicable order form or statement of work, Consulting Services will be provided on a time and materials basis and the scope shall be limited to implementation, configuration and Software enablement.
Provision of Consulting Services. The Company and the Executive -------------------------------- agree that, for a term commencing on the Commencement Date and continuing thereafter throughout the period or periods of time provided in this Agreement, the company will retain the Executive as a consultant, and the Executive will provide consulting services to the Company.
Provision of Consulting Services. Rattigan agrees that xx xxxx devote his full time and attention to the consulting services to be rendered by Rattigan hereunder duxxxx xxxmal working days and on weekends and evenings when reasonably required by the proxy contest. Rattigan's services sxxxx xx xxndered in a manner consistent with the manner in which such services are customarily rendered by similarly situated consultants. It is recognized and agreed that Rattigan shall providx xxxx xonsulting services principally from his residence in Florida, but he recognizes that he may be required, in order to effect the goals of the proxy contest, to travel frequently outside the State of Florida in connection with providing the services hereunder.
Provision of Consulting Services. Consultant shall advise the Company in such areas as market development, strategic planning and provide counsel regarding material legal matters to the CEO (the “Services”). Consultant shall reasonably determine the amount of time required in performing such Services, and to perform the duties hereunder at such times and places in the reasonable discretion of Consultant, in light of the tasks involved. Consultant shall not be required to comply with any established work schedule and shall have no regularly scheduled duties assigned to it by Company. Company shall, in soliciting Consultant’s advice and requesting Consultant’s performance of its duties hereunder, give Consultant reasonable notice and guidance of the same.
Provision of Consulting Services. During the period beginning on the Effective Date and continuing until the second anniversary of the Effective Date (the "Consulting Period"), the Executive shall provide consulting services commensurate with his status and experience with respect to matters related to strategic acquisitions as shall be reasonably requested from time to time by the Chairman of the Board of Directors of the Company. The Executive shall provide consulting services to Company as needed and when reasonably requested, provided that, without his prior consent, Executive shall not be required to devote more than 50 hours in any calendar month to the performance of any consulting services hereunder. The Executive shall determine the time and location at which he shall perform such services, subject to the right of the Company to reasonably request by advance written notice that such services be performed at a specific time and at a specific location. The Executive shall honor any such request unless he has a conflicting business commitment that would preclude him from performing such services at the time and/or place requested by the Company, and in such circumstances shall make reasonable efforts to arrange a mutually satisfactory alternative. The Company shall use its reasonable best efforts not to require the performance of consulting services in any manner that unreasonably interferes with any other business activity of the Executive.
Provision of Consulting Services. During the period beginning on the Retirement Date and continuing until the third anniversary of the Retirement Date, or until the death or disability (as defined at paragraph 4(b) above) of Hxxxxx, if earlier (the “Consulting Period”), Hxxxxx shall provide consulting services commensurate with his status and experience with respect to matters as shall be reasonably requested from time to time by the Chairman of the Board of Trustees of COPT, including matters related to (i) developing, structuring and reviewing property acquisitions, renovations, new developments and dispositions; (ii) strategic acquisitions, capital raising activities and major financings; (iii) compensation matters; (iv) planning company business strategy; and (v) assisting in the preparation for meetings of the Board of Trustees of COPT. While the parties hereto anticipate that the consulting services contemplated herein shall not constitute a full-time commitment for Hxxxxx, Xxxxxx shall provide consulting services hereunder as needed and when reasonably requested. Hxxxxx shall determine the time and location at which he shall perform such services, subject to the right of COPT or COPLP to reasonably request that such services be performed at a specific time and at a specific location. Hxxxxx shall honor any such request unless he has a conflicting business commitment that would preclude him from performing such services at the time and/or place requested by COPT or COPLP, and in such circumstances shall make reasonable efforts to arrange a mutually satisfactory alternative. Provision of Consulting Services. The parties hereto agree that upon termination of Employment, Executive and the Board of Directors will explore opportunities to engage in a transition services agreement on terms to be negotiated between the parties.
