Provision of Consulting Services. You agree to exercise the highest degree of professionalism and utilize your expertise and creative talents in performing these services. You will not be required to report to the Company’s offices during the Consulting Period, except as specifically requested by the Company. When providing such services, you shall abide by the Company’s policies and procedures.
Provision of Consulting Services. The Company and the Consultant agree that, for a term commencing on the Commencement Date and continuing thereafter throughout the period of time provided in this Agreement, the Company may retain the Consultant to provide, and the Consultant will provide upon request, consulting services to or for the Company on an as-needed and as requested by the Company basis. The persons authorized to request on behalf of the Company the performance of such consulting services are Xxxxxx Carleone, and Xxxxxx Xxxxxxx. The Consultant shall deliver to the Company any materials, work product and other deliverables resulting from or required by the services provided by the Consultant hereunder, including any such deliverables agreed by the parties to be provided. The Consultant shall deliver the deliverables when and as agreed by the parties. Upon delivery to the Company of any deliverables, the Company shall have the opportunity to review such deliverables and report to the Consultant the results of the review and the Consultant shall make changes reasonably requested by the Company within a reasonable time period from the Company’s request. The process of review described in this Section shall continue until the Company accepts the deliverables. During performance of the services provided under this Agreement, the Consultant shall, from time to time as requested by the Company, provide the Company with copies of or access to drafts, work in progress and other materials relating to such services.

You agree to make yourself available to perform such Consulting Services throughout the Consulting Period, on an as-needed basis, up to a maximum of one (1) business day per week. You will not be required to report to the Company’s offices during the Consulting Period. When providing such services, you shall abide by the Company’s policies and procedures.
Provision of Consulting Services. The Company and the Executive --------------------------------- agree that, for a term commencing on the Commencement Date and continuing thereafter throughout the period or periods of time provided in this Agreement, the Company will retain the Executive as a consultant, and the Executive will provide consulting services to the Company.
Provision of Consulting Services. 2.1 Unless otherwise specified in the applicable order form or statement of work, Consulting Services will be provided on a time and materials basis and the scope shall be limited to implementation, configuration and Software enablement.
2.2 This Agreement and the terms contained herein shall constitute the entire agreement between the parties for the provision of Consulting Services to the exclusion of any other terms and conditions (including thosecontained
2.3 Any changes to the terms of this Agreement may only be made in writing and executed by both Parties.
2.4 Consulting Services are calculated based on the currency andlocation in which they are purchased and may only be used by the Customerentity that purchases such Consulting Services and in such location. No refunds or credits shall be provided for any unused prepaid Consulting Services following either the expiration of the Consulting Services term as identified in the applicable order form or statement of work or upon termination of the Agreement: (i) by Customer for any reason; or (ii) by Qlik for Customer’s breach of the Agreement. If no term is identified in an order form or a statement of work, any prepaid Consulting Services will expire twelve (12) months from the date the order is placed.
2.5 Any Consulting Services undertaken: (a) between 6pm and 6am Monday to Friday; or (b) on Sundays or a weekend or a statutory/public holiday will be charged at 200% of the quoted daily rate or if on Saturdays at 150% respectively.
2.6 Consulting Services may be provided at the facilities of Qlik, its subcontractors, or Customer. A minimum of ½ day (4 hours) will be charged for all work at Customer’s facilities. Remote Consulting Services provided via phone, e-mail or remoteaccess to Customer’s site will be charged at the standard hourly rate.
2.7 Unless otherwise set forth in an order form or statement of work, fees for Consulting Services do not include expenses. Customer shall reimburse Qlik for actual, necessary, and reasonable travel expenses incurred by Qlik. Qlik shall be responsible for providing copies of receipts for any expenses equal to or greater than twenty-five US dollars ($25.00) or its equivalent for verification purposes.
Provision of Consulting Services. You agree to exercise the highest degree of professionalism and utilize your expertise and creative talents in performing these services. You agree to make yourself available to perform such Consulting Services throughout the Consulting Period, on a part-time basis during the Consulting Period; provided, however, that during the first month of the Consulting Period you shall not be expected to provide any Consulting Services. You will not be required to keep or submit time reports and it is understood that your level of effort will vary from month to month. However, it is agreed that you will not work more than approximately 50% time over the course of each calendar year during the Consulting Period (i.e., about 120 full work days in a full calendar year). You will not be required to report to the Company’s offices during the Consulting Period, except as specifically requested by the Company. When providing such services, you shall abide by the Company’s policies and procedures. It is not expected that the Consulting Services will require significant amounts of travel, but you do agree to travel as reasonably required to perform your work as a consultant. Any travel will be approved in advance by the Company, will be at the expense of the Company, and will conform to the usual policies and practices applicable to senior executives of the Company when travelling on Company business.
Provision of Consulting Services. The parties hereto agree that upon termination of Employment, Executive and the Board of Directors will explore opportunities to engage in a transition services agreement on terms to be negotiated between the parties.
Provision of Consulting Services. (a) During the Consulting Period (as defined below), Xxxxxxx agrees to provide, when reasonably requested by the Company, services in the capacity of an independent contractor (the "Services"). ln providing the Services, Xxxxxxx shall provide the Company with such of his assessments and evaluations regarding the Company's business as the Company may deem necessary. Xxxxxxx agrees to attend such meetings as the Company may reasonably require for proper communication of his advice and consultation. Xxxxxxx shall coordinate the furnishing of the Services with representatives of the Company in order that such services can be provided in such a way as to generally conform to the business schedules of the Company, but the method of performance, time of performance, place of performance, hours utilized in such performance, and other details of the manner of performance of Xxxxxxx'x provision of the Services shall be within the sole control of Xxxxxxx. During the Consulting Period, (i) Xxxxxxx shall have the right to devote his business day and working efforts to other business and professional opportunities as do not interfere with his rendering of the Services to the Company and (ii) Xxxxxxx shall not be deemed to be an agent of the Company or have any power to bind or cmmnit the Company or otherwise act on its behalf.
(b) As of the Separation Date, Xxxxxxx shall no longer be an employee of the Company or any of its affiliates, and nothing in this Agreement or elsewhere shall change that status. During the Consulting Period, Xxxxxxx shall be an independent contractor and shall not participate in any pension or welfare benefit plans, programs or arrangements of the Company or any of its affiliates unless such benefits are made available to Xxxxxxx by operation of law and due to Xxxxxxx'x former employment status with the Company. As an independent contractor, Xxxxxxx shall be solely responsible for all taxes on the sums received by him pursuant to this Section 7 and Xxxxxxx expressly agrees to pay and be responsible for making all applicable tax filings and remittances with respect to amounts paid to Xxxxxxx pursuant to this Section 7 and to hold the Company hannless for all claims, damages, costs and liabilities arising from Xxxxxxx'x failure to do so.
(c) In exchange for providing the Services set forth in Section 7(a), and for making himself available to do so, the Company shall pay Xxxxxxx a consulting fee in the amount of $20,000 per complete calendar month ...
Provision of Consulting Services. During the Consulting Period, the Consultant will provide the consulting services to the Company as needed, and as reasonably requested by the Chief Executive Officer of the Parent, to whom the Consultant shall report, provided, however, that Consultant shall not be required to provide more than 10 hours of consulting services per week. The Consultant may provide such consulting services from any location, as mutually agreed by Consultant and the Company. The Consultant shall not represent the Company, the Parent, their Board of Directors, their officers or any other members of the Company or the Parent in any transactions or communications nor shall the Consultant make claim to do so.
Provision of Consulting Services. Quintiles hereby engages Consultant, and Consultant hereby accepts and confirms such engagement, to provide certain consulting services, subject to terms and conditions contained herein (the "Services"), as well as the terms of the Employment Agreement that survive termination of employment. The nature and scope of the Services and other specific details relating to the Services are set forth in a Scope of Work which is attached hereto as Schedule 1 (the "Scope of Work"), and constitutes an integral part of this Agreement. Consultant agrees that he will not assign or subcontract this Agreement or use or retain any other person or entity to perform the Services, without the prior written approval of Quintiles.
