Provision of Goods and/or Services. By accepting a PO, the Supplier agrees to be bound by the Terms and provide the goods and/or services specified in the PO in accordance with the Terms. Supply of any goods and/or services under the PO will be deemed as acceptance of the PO and the Terms.
Provision of Goods and/or Services. 2.1 The Supplier shall, on a non-exclusive basis, perform Services and/or deliver Goods to DCU in accordance with the terms and conditions set out herein following the execution by DCU of a Purchase Order and its issue to the Supplier. No Services or Goods are to be performed or delivered unless a Purchase Order is issued to the Supplier..
2.2 It is hereby expressly acknowledged and agreed by the Parties that the Personnel of the Supplier are not employees of DCU.
2.3 The Supplier shall (and shall ensure that its Personnel shall) during the Term:-
(a) provide the Goods and/or Services to DCU at such places and at such times as DCU or its duly authorised agents shall specify in the Purchase Order or otherwise;
(b) xxxx all Goods (and relevant delivery documentation) in accordance with DCU’s instructions and any applicable laws or regulations or instructions of the carrier or manufacturer and pack and secure all Goods properly so that they reach their destination in an undamaged condition;
(c) ensure that on delivery, Goods are received and signed in by an authorised representative of DCU;
(d) co-operate with and comply with all reasonable directions and instructions of DCU, its servants and agents in connection with the provision of the Goods and/or Services;
(e) comply with all applicable laws concerning the manufacture, packaging, packing and delivery of the Goods and the performance of the Services;
(f) comply with all policies, rules, regulations and/or codes of conduct operated by or affecting DCU from time to time and advised to the Supplier;
(g) obtain and comply with all licences, permits and authorisations necessary for the performance of the Services and/or provision, transport, labelling and handling of the Goods (at its own cost); and
(h) take all take all necessary precautions to prevent injury or damage to any person or property on DCU’s premises and comply strictly with all relevant health and safety laws, regulations and codes of practice.
2.4 The Supplier warrants and represents that:
(a) all Goods will be of merchantable quality (within the meaning of the Sale of Goods and Supply of Services Act 1980) and fit for any purpose held out by DCU or made known to the Supplier before the Purchase Order was issued;
(b) all Goods shall be free of defects in design, materials and workmanship;
(c) all Goods shall correspond with any relevant samples provided;
(d) all Goods supplied to DCU hereunder are supplied free of encumbrance and shall not infri...
Provision of Goods and/or Services. 1. For the provision of Goods and/or Services, the Supplier must follow all reasonable directions and instructions given by Xxxx Xxxxx. The Supplier is responsible for timely obtaining any permissions, certificates and licences that are required to carry out the Agreement.
2. The Supplier must inform itself in time about the nature and conditions of the location where Goods are delivered and/or Services are performed, and of all other circumstances that are relevant to the performance of the Agreement.
3. Delivery of Goods is made on an DDP basis (Delivery Duty Paid pursuant to the Incoterms 2010) to the named place of destination, as agreed by the Parties.
4. The Goods delivery must be accompanied by a packing list with Xxxx Xxxxx'x order number, as well as item numbers, quantities and a description of the Goods. The item numbers must be clearly and legibly stated on the Goods.
5. Delivery in instalments is only permitted if agreed by the Parties in advance.
6. If the quantities delivered deviate from those specified in the Agreement or if only a partial delivery is made, Xxxx Xxxxx can refuse the deliveries and return them for the account and risk of the Supplier.
7. The Supplier will make all manuals and product information related to the Goods as well as any quality marks or certificates available to Xxxx Xxxxx and transfer ownership without additional costs.
8. The ownership of the Goods transfers to Xxxx Xxxxx upon delivery and after Xxxx Xxxxx has accepted the Goods. The Supplier will not reserve any rights to the Goods delivered to Xxxx Xxxxx, unless agreed otherwise in writing. Xxxx Xxxxx will nevertheless be allowed to process the Goods delivered and/or sell them as usual in the context of its normal business activities.
9. If the Supplier engages third parties for the production or delivery of Goods or the performance of Services, the Supplier remains responsible at all time for the correct and timely performance of the Agreement. Prior written permission from Xxxx Xxxxx is required for engaging third parties in the performance of Services. Conditions may be imposed on granting such permission.
10. The Supplier will remain responsible at all times for the Agreement being carried out correctly and on time, as if it was its own work.

Provision of Goods and/or Services. To the extent that the Purchase Order relates to the provision of Services only and not to Goods, the terms relating to Goods shall be disregarded, and to the extent the Purchase Order relates to the provision of Goods only and not to Services, the terms relating to Services shall be disregarded.
Provision of Goods and/or Services. 4.1 The Supplier agrees to sell, and the Customer agrees to buy the Goods and/or Services on and subject to these Terms and Conditions of Trade (“Terms”).
4.2 These Terms constitute the entire agreement and supersede any other agreement or understanding between the parties.
4.3 The Customer must, in receipt of the Goods or provision of the Services, comply with the Supplier’s Customer Management Policy as detailed on the Supplier’s Website.
4.4 On request by the Supplier, the Customer must provide any information and assistance reasonably required by OFA on any matters relating to the Goods and / or Services provided.
4.5 At the Supplier’s sole discretion delivery of the Goods/Services shall be deemed to have taken place when:
a) the Supplier provides the Goods/Services at the Supplier’s address; or
b) the Supplier provides the Goods/Services at the Customer’s nominated address.
4.6 Where the Supplier is to provide any Goods/Services at the Customer’s nominated address then the Customer shall be liable for all costs incurred by the Supplier from the time they depart from, and until they return to, their normal place of work (including, but not limited to, mileage and time calculated at the Supplier’s standard rates and any Goods purchased for the Services).
4.7 Where the Supplier is requested to store the Customer’s Goods or equipment, or where Goods or equipment are not collected within twenty-four (24) hours after notification to the Customer that Goods are ready for collection, then the Supplier (at its sole discretion) may charge a reasonable fee for storage.
4.8 Any time specified by the Supplier for delivery of the Goods is an estimate only, and the Supplier will not be liable for any loss or damage incurred by the Customer as a result of late delivery. The parties shall make all reasonable endeavors to enable the Goods to be delivered at the time and place as was initially agreed between the parties.
4.9 In the event that the Supplier is unable to supply the Goods as agreed solely due to any action or inaction of the Customer, then the Supplier shall be entitled to charge a reasonable fee for redelivery and/or storage.
Provision of Goods and/or Services. 2.1 Subject to Clause 2.2, the Terms apply to all Goods and/or Services.
2.2 In the event that the Parties have executed or execute a separate agreement in writing in respect of the Goods and/or Services, these Terms shall apply to all Goods and/or Services in addition to the terms in such separate agreement ("Additional Terms"). In the event of any ambiguity, inconsistency or conflict arising between the provisions in this Agreement and the Additional Terms, the provisions in this Agreement shall prevail to the extent of such ambiguity, inconsistency or conflict.
2.3 In consideration of the mutual covenants and conditions contained in this Agreement, the Supplier agrees to provide to MJT, and MJT agrees to accept from the Supplier, the Goods and/or Services in accordance with the specifications, requirements, standards and timings set forth in this Agreement.
2.4 It is hereby agreed that MJT may at its sole and absolute discretion and where it deems fit, amend, change or vary the specifications (including quantity), requirements, standards and/or timings set forth in the Schedule and in this Agreement in connection with the Goods and/or Services from time to time by way of written notice to be provided to the Supplier.
Provision of Goods and/or Services. The Supplier must provide the Goods and/or Services to CSC on the date, place, and in the manner stated in the Purchase Order. CSC may acting reasonably specify in writing to the Supplier another date, place or manner for delivery or performance, in which case that other date, place or manner applies in place of that stated in the Purchase Order. All Goods must:
(a) be delivered free from all Encumbrances;
(b) be free from defects in materials and workmanship, be of merchantable quality and be fit for their purpose;
(c) meet any requirements or standards specified in the Purchase Order;
(d) be new and unused, unless otherwise stated in the Purchase Order; and
(e) be packed, marked and labelled to ensure their safe delivery and safe handling by CSC after delivery and, if specific packing, marking or labelling is required under the Purchase Order, the Supplier must comply with those requirements. All Services must:
(a) be provided to the standard that would be expected of an experienced and professional supplier of similar services;
(b) be free from defects in performance, meet their purpose and be complete; and
(c) meet any other standard and requirements specified in the Purchase Order.
Provision of Goods and/or Services. Vendor will provide Products as specified in the Purchase Order. Materials not conforming to this Purchase Order or to approved samples are subject to return to Vendor at Vendor’s risk and expense.
Provision of Goods and/or Services. 5.1. The Supplier reserves their right to:

Provision of Goods and/or Services. 2.1 Subject to Clause 2.2, the Terms apply to all Goods and/or Services.
2.2 In consideration of the mutual covenants and conditions contained in this Agreement, the Supplier agrees to provide to JTI, and JTI agrees to accept from the Supplier, the Goods and/or Services in accordance with the specifications, requirements, standards and timings set forth in the PO and in this Agreement.
