Role of Consultant. Consultant shall be available to consult with the Board of Directors, the officers of the Company, and the heads of the administrative staff, at reasonable times, concerning matters pertaining to the organization of the administrative staff, the fiscal policies of the Company, the relationship of the Company with its employees or with any organization representing its employees, and, in general, the important problems of concern in the business affairs of the Company all in fulfillment of the Consultant Services. Consultant shall not represent the Company, its Board of Directors, its officers or any other members of the Company in any transactions or communications nor shall Consultant make claim to do so.
Role of Consultant. Consultant shall provide outbound telemarketing services providing informational awareness for the Client. Consultant shall also provide full disclosure of its role and compensation to any party contacted as contemplated herein.
Role of Consultant a) For the purposes of this contract, a Consultant is defined as a registered medical or dental practitioner who by reason of his/her training, skill and expertise in a designated specialty, is consulted by other registered medical practitioners and who has a continuing clinical and professional responsibility for patients under his/her care, or that aspect of care on which (s)he has been consulted.
b) The Consultant is clinically independent in relation to decisions on the diagnosis, treatment and care of individual patients. This clinical independence derives from the specific relationship between the patient and the Consultant in which the patient places trust in the Consultant personally involved in his/her care to make clinical decisions in the patient’s best interests and to take continuing responsibility for their consequences in the context of systemic contribution to these consequences.
c) The Consultant acknowledges that (s)he is subject to statutory and regulatory requirements and corporate policies and procedures.
d) The Consultant has a substantial and direct involvement in the medical diagnosis, treatment and delivery of care to patients. Each patient will have a named Consultant who has continuing responsibility for his/her diagnosis, treatment and care.
e) The Consultant may discharge his / her responsibilities through:
i) a direct personal relationship with the patient;
ii) shared responsibility with other Consultants who contribute significantly to patient management;
iii) delegation of aspects of the patient’s care to other appropriate staff. Delegation of responsibility to other doctors or staff by a Consultant is subject to:
(1) the Consultant being satisfied that the relevant staff member has the necessary professional capability and
(2) the continued provision of a commensurate level of diagnosis, treatment and care to the patient. The Consultant shall retain a continuing overall responsibility for the care of the patient.
f) The Consultant will generally work as part of a Consultant team. The primary purpose of Consultant teams is to ensure Consultant provided services to patients on a frequent and continuing basis. In effect this requires that the Consultant provides diagnosis, treatment and care to patients under the care of other Consultants on his/her Consultant team and vice versa. Role of Consultant. Consultant Client and the heads of development staff, as instructed by the Client at reasonable times concerning matters pertaining to the organization of the financial related matters, the payments and financial disbursements concerning the Client's debts and obligations in cash.
Role of Consultant. (1) The Consultants shall:
(a) provide strategic planning, financing and other advisory services;
(b) assist the Company with business planning, business strategy, financing strategy and the implementation of such plans;
(c) advise and assist the Company in connection with capital restructuring; and
(d) assist the Company with prospective merger and acquisition targets, (collectively, the “Services”).
(2) The Company hereby appoints the Consultants on an exclusive basis, jointly and severally, to perform the Services for the benefit of the Company as hereinafter set forth, and the Company hereby authorizes the Consultants to exercise such powers as provided under this Agreement. The Consultants accept such appointment on the terms and conditions hereinafter set forth. The Consultants shall have no right or authority, express or implied, to commit or otherwise obligate the Company in any manner whatsoever except to the extent specifically provided herein or specifically authorized in writing by the Company.
(3) For greater certainty, the Consultants shall not advise the Company as to the investing in or the buying and selling of securities.
(4) Nothing contained herein shall be deemed to require the Consultants to devote its exclusive time, attention and ability to the business of the Company. During the term of this Agreement, the Consultants shall, and shall cause each of its agents assigned to performance of the Services on behalf of the Consultants, to:
(a) at all times perform the Services faithfully, diligently, to the best of each Consultant’s abilities and in the best interests of the Company; and
(b) refrain from acting in any manner contrary to the best interests of the Company or contrary to the duties of the Consultants as contemplated herein.
(5) The Consultants are free to engage in any other remunerative contract, calling or occupation.
Role of Consultant. The Consultant shall serve as Interim Chief Financial Officer. The Company will make available to the Consultant an office for his use at such times as the Consultant renders services at the Company’s headquarters and a Blackberry for his business use.

Role of Consultant. The Company acknowledges and agrees that the Consultant’s role is and has been to provide advice to the Company’s management based on data provided and approved by the Company. The Company, its board of directors, and officers remain solely responsible for all business decisions in accordance with the Company’s bylaws and other applicable law. The Consultant does not accept the legal duties owed by officers and directors to the Company’s shareholders, and the Company has not retained the Consultant to discharge any such duties.
Role of Consultant. CTI acknowledges and agrees that Consultant, acting primarily as a consultant on a non-exclusive basis, shall have no authority to enter into any binding commitments or negotiations in connection with any contract on CTI’s behalf without approval and written authorization by CTI. Notwithstanding the foregoing, Consultant shall have the right to:
a. introduce CTI or any of its representatives to any and all:
i. persons, companies, organizations, et al., that can help further Calmare Pain Mitigation Therapy (“Calmare PMT”) and/or CTI; provided, however, that after such introduction, Consultant shall have no continuing obligation in the negotiations or relationship between CTI and such parties.
ii. potential sales prospects, Government-related or otherwise.
b. advise CTI Management or any of its representatives with respect to those skills, talents and situation Consultant is suited to be a value-add to the situation or potential transaction; provided, however, that after such introduction, Consultant shall have no continuing obligation in the negotiations or relationship between CTI and such parties.
